2 Sehr geehrter Kunde, zu unserer neuen Preisliste möchten wir Ihnen nachfolgend einige Erklärungen geben: Dear Customer, We are pleased to provide you with some explanation to our new price list: Die Preise sind Einzelpreise in EUR und verstehen sich zuzüglich der jeweils gültigen gesetzlichen Umsatzsteuer. Unsere Rechnungen sind zahlbar: 10 Tage nach Rechnungsdatum abzgl. 2 % Skonto oder, 30 Tage nach Rechnungsdatum netto. Alle Lieferungen erfolgen auf die Gefahr des Empfängers, auch dann, wenn Franko-Lieferung vereinbart ist. Wir liefern auf dem nach unserem Ermessen günstigsten Versandweg. Bei Kleinaufträgen bis zu einem Nettowarenwert von EUR 300,- wird innerhalb Deutschlands eine Versandkostenpauschale von EUR 8,50 in Rechnung gestellt. Bitte haben Sie Verständnis dafür, dass wir nur komplette Verpackungseinheiten liefern. Wir behalten uns vor, bei Bestellungen die unseren Verpackungseinheiten nicht entsprechen, die Bestellung gem. unseren Verpackungseinheiten auszuführen. Ansonsten verlangen wir einen Zuschlag in Höhe von 10 %. Für Kleinaufträge mit einem Auftragswert unter EUR 75,- berechnen wir EUR 9,50 Mindermengenzuschlag. 60 Verkaufs-, Liefer- und Zahlungsbedingungen - Stand April Gültigkeit Die nachstehenden Bedingungen sind für alle Aufträge verbindlich. Abweichungen oder mündliche Nebenabsprachen bedürfen unserer schriftlichen Bestätigung. Besteller-Bedingungen können wir nicht anerkennen, auch wenn wir nicht widersprechen. Der Besteller erkennt durch Erteilung seines Auftrages unsere Bedingungen an. Unverschuldete Ereignisse und Fälle höherer Gewalt entbinden uns von eingegangenen Verpflichtungen. 2. Angebote Alle Angebote sind freibleibend. Unsere jeweils gültigen Kataloge bzw. Preislisten sind Bestandteil unseres Angebots. Muster werden grundsätzlich gegen Bezahlung geliefert. 3. Aufträge Aufträge gelten erst als angenommen, wenn sie von uns schriftlich bestätigt wurden. Dies gilt auch für Aufträge, die durch unsere Vertreter gebucht werden. Die Annahme eines Auftrages verpflichtet uns nicht zur Annahme von Anschlussaufträgen zu gleichen Konditionen. 4. Preise Die Preise verstehen sich in EUR, zuzüglich gesetzlicher Mehrwertsteuer. Diese sind freibleibend und gelten für Lieferungen ab Werk, ohne Verpackung. Eine Änderung der Preise müssen wir uns vorbehalten, insbesondere, wenn nach dem Kaufabschluss allgemeine Preis- und Lohnerhöhungen oder Erhöhungen der öffentlichen Abgaben eintreten. Alle Preise sind Grundpreise, jedoch bei Weiterverkauf durch den Handel unverbindliche Richtpreise ohne jegliche Preisempfehlung. 5. Mindestauftragswert Für Kleinaufträge mit einem Auftragsnettowert unter EUR 75,-- berechnen wir EUR 9,50 Mindermengenzuschlag. 6. Lieferung Alle Lieferungen erfolgen auf Gefahr des Empfängers, auch dann, wenn Franko-Lieferung vereinbart ist. Die Lieferungen erfolgen auf Rechnung des Empfängers. Wir liefern auf dem nach unserem Ermessen günstigsten Versandweg. Bei Kleinaufträgen bis zu einem Nettowarenwert von EUR 300,- wird eine Versandkosten- und Bearbeitungspauschale in Höhe von EUR 8,50 in Rechnung gestellt. Wir behalten uns vor, bei Bestellungen, die unseren Verpackungseinheiten nicht entsprechen, die Bestellungen gemäß unseren Verpackungseinheiten auszuführen. Ansonsten verlangen wir einen Zuschlag in Höhe von 10%. 7. Lieferzeit In der Regel liefern wir alle unseres Kataloges ab Lager bzw. innerhalb weniger Tage aus. Andernfalls bestätigen wir Ihnen die nach der Beschäftigungslage bedingte Lieferzeit, die für uns jedoch unverbindlich ist. Wird diese von uns überschritten, so kann der Besteller nach Ablauf einer von ihm zu setzenden angemessenen Nachfrist vom Vertrag zurücktreten. Weitere Ansprüche sind ausgeschlossen, Teillieferungen sind zulässig. Verzögert sich die Durchführung auf Verschulden des Auftraggebers, werden wir von unseren Lieferterminen entbunden. Schafft der Käufer nicht sofort Abhilfe, können wir Ersatz der Mehraufwendungen verlangen oder nach einer angemessenen Frist vom Vertrag zurücktreten. 8. Zahlungsbedingungen Unsere Rechnungen sind zahlbar: 10 Tage nach Rechnungsdatum./. 2% Skonto, 30 Tage nach Rechnungsdatum netto. Aufträge mit Warenwerten unter EUR 50,- sind sofort und ohne Abzüge zahlbar. 9. Schutzrechte An Abbildungen, Zeichnungen und sonstigen Unterlagen behalten wir uns das Eigentums- und Urheberrecht vor. 10. Eigentumsvorbehalt Alle Lieferungen erfolgen unter Eigentumsvorbehalt. Die Gegenstände der Lieferungen (Vorbehaltsware) bleiben unser Eigentum bis zur Erfüllung sämtlicher uns gegen den Kunden aus der Geschäftsverbindung zustehenden Ansprüche. Die Gefahr des Untergangs oder der Beschädigung der Vo behaltsware trägt auch während der Zeit der Wirksamkeit des Eigentumsvorbehalts der Käufer. Soweit der Wert aller Sicherungsrechte, die uns zustehen, die Höhe aller gesicherten Ansprüche um mehr als 20% übersteigt, werden wir auf schriftlichen Wunsch des Kunden einen entsprechenden Teil der Sicherungsrechte freigeben Während des Bestehens des Eigentumsvorbehalts ist dem Kunden eine Verpfändung oder Sicherungsübereignung untersagt. Die Weiterveräußerung ist nur Wiederverkäufern (Fachhandel) im gewöhnlichen Geschäftsgang und nur unter der Bedingung gestattet, dass der Wiederverkäufer von seinem Kunden Bezahlung erhält oder den Vorbehalt macht, dass das Eigentum auf seinen Kunden erst übergeht, wenn dieser seine Zahlungsverpflichtungen vollständig erfüllt hat. Im Falle der Weiterveräußerung der unter Eigentumsvorbehalt stehenden Gegenstände, tritt der Kunde mit der Auftragserteilung an uns seine Ansprüche gegen den Erwerber in Höhe unserer noch bestehenden Forderung ab. Im Falle der Verarbeitung der unter Eigentumsvorbehalt stehenden Gegenstände, wird vereinbart, dass die neue Sache bis zur vollständigen Bezahlung unserer Forderung in unser Eigentum übergeht Bei Pfändungen, Beschlagnahmen oder sonstigen Verfügungen oder Eingriffen Dritter hat uns der Kunde unverzüglich zu benachrichtigen Bei Pflichtverletzungen des Kunden, insbesondere bei Zahlungsverzug, sind wir nach erfolglosem Ablauf einer dem Kunden gesetzten angemessenen Frist zur Leistung zum Rücktritt und zur Rücknahme berechtigt; die gesetzlichen Bestimmungen über die Entbehrlichkeit einer Fristsetzung bleiben unberührt. Der Kunde ist zur Herausgabe verpflichtet. 11. Mängelgewährleistung Die Gewährleistungsrechte des Kunden im vollkaufmännischen Geschäftsverkehr setzen voraus, dass dieser seinen nach 377, 378 HGB geschuldeten Untersuchungs- und Rügeobliegenheiten unverzüglich und ordnungsgemäß nachgekommen ist. Soweit ein von uns zu vertretender Mangel der Kaufsache vorliegt, sind wir nach unserer Wahl zur Mangelbeseitigung oder zur Ersatzlieferung berechtigt und verpflichtet. Soweit sich nachstehend nichts anderes ergibt, sind weitergehende Ansprüche des Kunden -gleich aus welchen Rechtsgründen - ausgeschlossen. Wir haften deshalb nicht für Schäden, die nicht am Liefergegenstand selbst entstanden sind; insbesondere haften wir nicht für entgangenen Gewinn oder sonstige Vermögensschäden des Kunden. Die Gewährleistungsfrist beträgt 24 Monate, gerechnet ab Gefahrübergang. 12. Rücksendungen Rücksendungen mit einwandfrei verpackter aktueller Katalogware, die keiner Nacharbeit bedarf, vergüten wir mit einem Abzug von bis zu 20% des jeweiligen Auftragswertes. 13. Maße und Gewichte Die in Angeboten, Prospekten, Katalogen und Preislisten angegebenen Maße, Zeichnungen und Abbildungen sind nicht verbindlich und können von uns ohne besondere Anzeige geändert werden. Alle Maßangaben sind in mm und alle Gewichtsangaben in g. 14. Sonderanfertigungen Für Sonderanfertigungen behalten wir uns Mehr- oder Minderlieferungen von bis zu 15% vor. Aufträge über Sondersorten können nicht zurückgezogen werden. Dies gilt ebenso für serienmäßig hergestellte, wenn sie mit einem Sonderzeichen oder einer Sonderbeschriftung bestellt wurden. 15. Erfüllungsort und Gerichtsstand Erfüllungsort für Lieferungen und Zahlungen ist Attendorn. 61 Terms and conditions of sale, delivery and payment - Effective as of April Validity These terms and conditions shall be binding in respect of all orders. Any departures therefrom or secondary verbal agreements shall be valid only if confirmed by us in writing. We will not accept the terms and conditions of the customer even if we do not expressly refuse to accept them. By placing his order the customer acknowledges our terms and conditions. Events beyond our reasonable control and instances of force majeure shall release us from commitments entered into 2. Offers All offers are made without obligation. Our currently valid catalogues or price lists form an integral part of our offers. Samples are invariably supplied against payment. 3. Orders Orders shall not be deemed accepted by us until we have confirmed them in writing. This provision shall also apply to orders taken by our representatives. The acceptance of an order does not place us under any obligation to accept follow-on orders under the same conditions. 4. Prices Prices are quoted in Euros (Í), excluding value-added tax at the statutory rate. Prices are quoted without obligation and are applicable to delivery ex works, excluding packaging. We reserve the right to adjust our prices, in particular if there are general increases in prices and wages or if higher rates of public taxes and similar charges are imposed after conclusion of the purchase agreement. All prices are basic prices; in the event of resale by the trade, however, they are non-binding target prices and do not constitute a price recommendation. 5. Minimum order value For small orders with a net order value of less than EUR 75,-- we will charge EUR 9.50 surcharge 6. Delivery All deliveries are made at the risk of the consignee even if delivery is agreed carriage paid to destination. Deliveries shall be made for the account of the consignee. We will effect delivery using the method of shipment considered most suitable for the goods in question. For small orders up to a net value of EUR , we will invoice an administration and delivery fee of EUR We reserve the right to deliver the goods in a manner compatible with our packaging s, otherwise a surcharge of 10% will be charged. 7. Delivery lead time As a general rule, we deliver all articles listed in our catalogue ex warehouse or within a few days. In all other cases, a delivery lead time will be quoted which depends on our workload; however, we shall not be bound by the lead time quoted. If the lead time is exceeded by us the customer may, to the exclusion of all other claims, withdraw from the contract upon the lapse of a reasonable extension allowed by him. Partial deliveries shall be permitted. If performance is delayed for reasons attributable to the customer, we shall not be bound by our delivery dates. If the customer does not take remedial action immediately, we shall be entitled to claim compensation for the additional costs incurred by us or withdraw from the contract after the lapse of a reasonable extension. 8. Terms of payment Our invoices are payable within 10 days of the date of the invoice less 2% discount or net within 30 days from the invoice date. Invoices for goods with a value of less than EUR are due for payment immediately and without any deductions. 9. Property rights We reserve title and copyright in illustrations, drawings and other documentation. 10. Reservation of title 10.1 All deliveries will be made with reservation of title. The products delivered (reserved goods) shall remain our property until the customer has met all his obligations arising from the contractual relationship with us. The risk of loss of or damage to the reserved goods shall be borne by the customer, also during the period this reservation of title is effective. To the extent that the value of all security interests to which we are entitled exceeds the amount of all secured claims by more than 20%, we will release an adequate part of such security interests, if so requested by the customer in writing During the time this reservation of title is effective the customer shall not be entitled to pledge the reserved goods or to assign them by way of security. Only specialised retailers shall be allowed to resell the goods in their normal course of business provided, however, that the retailer receives payment from the purchaser or resells the reserved goods on condition that title to the goods shall not pass to the purchaser until he has fulfilled his payment obligations in full. In the event of resale of the goods covered by the reservation of title the customer shall? at the time he places an order with us? assign his claims against the purchaser to us in an amount equivalent to our outstanding claims. In the event the reserved goods are further processed it is agreed that title to the goods thus produced shall pass to us until all our claims have been settled in full The customer shall inform us without delay of any attachment or seizure in execution or other dispositions or acts of third parties If the customer fails to fulfil his contractual obligations, in particular if he fails to make payments when due, we shall be entitled? upon the lapse of reasonable extension granted to the customer? to withdraw from the contract and reclaim the goods sold; this shall apply without prejudice to the statutory provisions regarding the dispensability of setting a deadline. The customer shall be obliged to return the goods to us. 11. Warranty for defects The customer shall be entitled to warranty claims under fully commercial business transactions only if he has discharged his obligations in respect of examination and notification of defects without delay and as prescribed by Sections 377 and 378 of the German Commercial Code (HGB). Any defects in the purchased goods for which we are responsible shall be repaired or a replacement supplied, at our discretion. Unless otherwise specified, all further claims by the customer shall be excluded, irrespective of their legal grounds. We therefore cannot accept any liability for damage not suffered directly by the delivered goods as such. In particular, we cannot accept any liability for loss of profits or other financial losses incurred by the customer. The warranty period shall be 24 months and commences at the time the risk passes on to the customer. 12. Returns Perfectly packaged goods from the current catalogue which do not require any further processing will be credited with a deduction of up to 20% of the corresponding order value. 13. Dimensions and weights The dimensions, drawings and illustrations contained in offers, brochures, catalogues and price lists shall not be binding and may be modified by us without further notice. All dimensions are quoted in mm and all weights in g. 14. Special manufacture In the case of special manufacture, we reserve the right to deliver up to 15% more or less. Orders for special products cannot be cancelled. The same provision shall also apply to production articles if they were ordered with a special symbol or special marking. 15. Place of performance and jurisdiction The place of performance for deliveries and payments shall be Attendorn (Germany).
