1 Allgemeine Geschäftsbedingungen der Balveny Electronic GmbH Stand Jan 2009 General Terms and Conditions of Balveny Electronic GmbH Last update: Jan Allgemeines - Geltungsbereich 1.1 Balveny Electronic GmbH erbringt sämtliche Lieferungen und Leistungen jeweils nur nach den nachstehenden Allgemeinen Geschäftsbedingungen. Abweichende Geschäftsbedingungen des Kunden sind nur gültig, wenn Balveny Electronic GmbH diesen ausdrücklich schriftlich zugestimmt hat Zusätzliche oder abweichende Vereinbarungen zu diesen AGB, die zwischen Balveny Electronic GmbH und dem Käufer zur Ausführung eines Vertrages getroffen werden, sind in dem Vertrag schriftlich niederzulegen. 1 General Provisions - Scope of Application 1.1. Balveny Electronic GmbH provides all goods and services solely in accordance with the following General Terms and Conditions. Any deviating terms and conditions of the customer shall apply only if Balveny Electronic GmbH expressly and in writing consents to such terms and conditions Arrangements that are made in addition to or that deviate from these General Terms and Conditions and that are agreed upon between Balveny Electronic GmbH and the Customer for the performance of a contract must be set forth in writing in the contract. 2 Angebot und Vertragsschluss 2.1 Balveny Electronic GmbH Angebote sind freibleibend und unverbindlich, sofern sie nicht ausdrücklich als verbindliches Angebot bezeichnet sind. Die Preise verstehen sich ausschließlich Umsatzsteuer ab Lager Stuttgart (ausgenommen davon sind Spezialangebote) 2.2 Bestellungen des Käufers enthalten verbindliche Angebote. Maßgeblich für den Vertragsschluss ist die schriftliche Auftragsbestätigung von Balveny Electronic GmbH bzw. bei sofortiger Ausführung des Auftrags die Zusendung der bestellten Ware zu dem ausgewiesenen Faktura-Endpreis. Hat der Käufer Einwendungen gegen den Inhalt der Auftragsbestätigung bzw. die übersandte Ware, so muss er dieser unverzüglich widersprechen. Ansonsten kommt der Vertrag nach Maßgabe und Inhalt der Auftragsbestätigung 3 Rahmenauftrag 3.1 Bei Rahmenauftrag muss, sofern nichts anderes vereinbart wird, ein Abruf spätestens 2 Wochen vor dem gewünschten Lieferdatum durch den Käufer erfolgen. 3.2 Sofern nichts anderes vereinbart wird, muss ein Abruf durch den Käufer spätestens innerhalb einer Frist von 12 Monaten vom Tag der Auftragsbestätigung an erfolgen. Nach Ablauf einer angemessenen Nachfrist ist Balveny Electronic GmbH berechtigt, die Ware zu liefern und in Rechnung zu stellen oder vom Vertrag zurückzutreten oder, falls der Käufer schuldhaft gehandelt hat, Schadenersatz statt der Leistung zu verlangen. Balveny Electronic GmbH ist auch berechtigt, dem Käufer den für die tatsächlich abgerufenen Mengen gültigen Preis zu berechnen. zustande. 2 Offer and Conclusion of Contract 2.1 All offers of Balveny Electronic GmbH are subject to confirmation and non-binding unless they are expressly stated to be binding. If the Customer has objections to the contents of the confirmation of the order or to the goods sent, the Customer must object to the same without undue delay. Otherwise, the contract comes about in accordance with, and with the contents set forth in, the confirmation of the order. 3 Blanket Order 3.1 Within the call from a blanket order, the Customer must issue the release 2 weeks before the requested delivery date, at the latest, unless otherwise agreed upon. 3.2 Unless otherwise agreed, the Customer must issue a release within a period of 12 months from the day the order has been confirmed, at the latest. After a reasonable additional period of time has expired, Balveny Electronic GmbH is entitled to deliver the goods and issue an invoice or to rescind the contract or, if the Customer has acted in a culpable manner, to claim damages in lieu of performance. Balveny Electronic GmbH is further entitled to charge the price applicable to the quantities actually released by the Purchaser.

2 4 Preise/ Preisanpassung 4.1 Maßgebend sind die in der Auftragsbestätigung des Verkäufers genannten Preise. Die Preise gelten ab Werk. Nicht eingeschlossen sind insbesondere Kosten für Verpackung, Fracht, Versicherung, Zoll und USt. Die gesetzliche Umsatzsteuer wird in der Rechnung in der am Tage der Rechnungsstellung geltenden gesetzlichen Höhe gesondert ausgewiesen. 4.2 Balveny Electronic GmbH ist berechtigt, Bearbeitungspauschale bei Kleinaufträgen zu berechnen: die unter 200 EUR Auftragswert sind. 4.3 Soweit nach Vertragsschluss bis zur Ausführung der Bestellung vom Verkäufer nicht vertretbare und vorhersehbare Kostensenkungen oder Kostenerhöhungen, insbesondere aufgrund Materialpreisänderungen, eintreten, ist der Balveny Electronic GmbH berechtigt, die Preise im Rahmen der veränderten Umstände und ohne Berechnung eines zusätzlichen Gewinns anzupassen. Beträgt die Erhöhung mehr als 5% des vereinbarten Preises, steht dem Käufer ein Vertragslösungsrecht (Kündigung oder Rücktritt) zu. 4.4 Insbesondere im Falle der Allokation und einer damit verbundenen Erhöhung der Beschaffungskosten ist der Verkäufer zu einer angemessenen Preiserhöhung im Verhältnis der durchschnittlichen Markpreiserhöhung berechtigt für Waren, die mindestens 4 Wochen nach Vertragsschluss geliefert werden sollen. 5 Lieferzeit- und umfang, Selbstbelieferungsvorbehalt, Lieferverzögerung 5.1 Die Vereinbarung von Lieferfristen und terminen bedarf der Schriftform. Lieferfristen und termine sind unverbindlich, soweit sie nicht ausdrücklich als verbindlich bezeichnet sind. Die Lieferfrist beginnt mit der Absendung der Auftragsbestätigung durch Balveny Electronic GmbH, jedoch nicht vor der vollständigen Beibringung der vom Käufer zu beschaffenden Unterlagen, Genehmigungen und Freigaben, der Abklärung aller Fragen sowie dem Eingang einer vereinbarten Anzahlung. Die Einhaltung der Lieferfrist oder des Liefertermins setzen die rechtzeitige und ordnungsgemäße Erfüllung der übrigen Verpflichtungen des Käufers voraus. Die Lieferfrist ist eingehalten, wenn die Ware bis zu ihrem Ablauf das Werk verlassen oder Balveny Electronic GmbH die Versandbereitschaft mitgeteilt hat. Die Einhaltung vereinbarter Lieferfristen und Liefertermine steht unter dem Vorbehalt rechtzeitiger und ordnungsgemäßer Selbstbelieferung Balveny Electronic GmbH. 5.2 Teillieferungen sind zulässig. Balveny Electronic GmbH behält sich aus produktionstechnischen Gründen Mehr- oder Minderlieferungen von bis zu 5 % des Lieferumfangs vor. Eine Rückvergütung erfolgt bei Minderlieferungen nicht. 4 Prices / Adjustment of Prices 4.1 The relevant prices are the prices stated in Balveny Electronic GmbH s confirmation of the order. The prices are ex works. In particular, they do not include the cost of packaging, freight, insurance, customs and VAT. If the increase exceeds 10% of the price agreed upon, the Customer is entitled to withdraw from the contract (termination or rescission). 4.4 Especially in the event of an allocation and a related increase in procurement costs, Balveny Electronic GmbH is entitled to reasonably raise the prices in proportion to the average increase in market prices with respect to goods that are to be delivered at minimum 4 weeks after the conclusion of the contract. 5 Time and Scope of Delivery, Reservation of Timely Supply and 5.1 Agreements on delivery periods and delivery dates must be made in writing. Delivery periods and delivery dates are not binding to the extent they are not expressly stated to be binding. The delivery period begins to run with the dispatch of the confirmation of the order by Balveny Electronic GmbH ; it does not begin to run, however, until such time as the Customer has furnished all documents, permits and releases to be obtained by the Purchaser, as all questions have been clarified, and as the agreed-upon down-payment, if any, has been received. In order for the delivery period or the delivery date to be observed, the Customer must timely and properly fulfill all of its other obligations. The delivery period is deemed complied with if the goods have left the works at its expiration or if Balveny Electronic GmbH has given notice of the goods being ready for dispatch. Compliance with agreedupon delivery periods and delivery dates is subject to the condition that Balveny Electronic GmbH is timely and properly supplied by its own suppliers. 5.2 Part deliveries are permissible. Balveny Electronic GmbH reserves the right to make excess or short deliveries of up to 5% of the quantity to be delivered for production-related technical reasons. There will be no refund for short deliveries.

3 5.3 Im Falle des Lieferverzugs ist der Käufer nach frist Ablauf einer angemessenen Nachfrist mit Ablehnungsandrohung, die er Balveny Electronic GmbH nach Eintritt des Lieferverzugs gesetzt hat, zum Rücktritt vom Vertrag berechtigt. 6 Zahlungsbedingungen 6.1 Soweit nichts anderes schriftlich vereinbart ist, sind alle Rechnungen von Balveny Electronic GmbH ohne jeglichen Abzug sofort zu bezahlen. 5.3 The Customer is entitled to rescind the contract if Balveny Electronic GmbH is in delay with delivery and if, upon occurrence of the delay, the Customer has set a reasonable additional period of time for subsequent performance by Balveny Electronic GmbH, also stating that it will refuse acceptance thereafter, and this additional period of time has expired to no avail. 6 Terms of Payment 6.1 To the extent not otherwise agreed upon in writing, all invoices of Balveny Electronic GmbH must be paid forthwith, without any deduction whatsoever. 7 Gefahrübergang/ Versendung 7.1) Beanstandungen können nur innerhalb 10 Tagen nach Empfang der Ware berücksichtigt werden. Gelieferte Ware wird nur originalverpackt zurückgenommen. Abbildungen und Prospekte etc. sind unverbindlich. Maße und Verbrauchsdaten sind nur als annähernd zu betrachten, also ohne Verbindlichkeit für uns. 7.2) Die Gefahr geht auf den Käufer über, auch dann, wenn frachtfreie Lieferung vereinbart worden ist, wenn die betriebsbereite Sendung zum Versand gebracht oder abgeholt worden ist. Falls der Käufer nicht besondere Versandvorschriften erteilt hat, kann die Versendung nach Balveny Electronic GmbH Ermessen auf bestem Wege erfolgen. Auf Wunsch des Käufers wird auf seine Kosten die Sendung gegen Bruch, Transport-, Feuer- und Wasserschaden versichert. 7.3) Wenn der Versand die Zustellung auf Wunsch des Käufers oder aus von ihm zu vertretenden Gründen verzögert wird, so geht die Gefahr für die Zeit der Verzögerung auf den Käufer über, jedoch ist Balveny Electronic GmbHr verpflichtet, auf Wunsch und Kosten des Käufer die von ihm verlangten Versicherungen zu bewirken. 8 Eigentumsvorbehalt 8.1 Die gelieferte Ware bleibt bis zur vollständigen Bezahlung sämtlicher Forderungen, die Balveny Electronic GmbH aus der Geschäftsverbindung gegen den Käufer zustehen, im Eigentum von Balveny Electronic GmbH. Zu den Forderungen gehören auch Scheck- und Wechselforderungen sowie Forderungen aus laufender Rechnung. Wird im Zusammenhang mit der Zahlung für Balveny Electronic GmbH eine Haftung aus Wechsel begründet, erlischt der Eigentumsvorbehalt erst, wenn die Inanspruchnahme Balveny Electronic GmbH aus dem Wechsel ausgeschlossen ist. Der Käufer ist verpflichtet, die unter Eigentumsvorbehalt stehende Ware für die Dauer des Eigentumsvorbehalts pfleglich zu behandeln. Insbesondere ist er verpflichtet, die Ware auf eigene Kosten gegen Feuer-, Wasser und Diebstahlschäden 7 Transfer of Risk 7.1 Complaints can only be taken into account if submitted within 10 days of receipt of the goods. Delivered goods will only be accepted in return in their original packing. Illustrations and brochures are nonbinding. Measurements and utilization data are only to be regarded as approximate and are also nonbinding. 7.2 The risk shall pass to the Purchaser, even in the event of delivery carriage-paid, as soon as the delivery is dispatched or collected. Unless the Customer has given special dispatch instructions, delivery may be made at our discretion by the most suitable means. On request of the Customer the delivery will be insured at his cost against breakage and transport, fire and water damage. 7.3 In the event that dispatch or delivery is delayed at the request of the Customer or for reasons for which he is responsible, the risk shall pass to the Customer for the period of the delay. At the request of the Customer we shall arrange insurance cover at his expense. 8 Retention of Title 8.1 Title to the goods supplied shall remain vested in Balveny Electronic GmbH until all claims of the Seller against the Customer that arise from the business relationship have been settled in full. These claims also include claims under checks and bills of exchange, as well as current-account claims. If Balveny Electronic GmbH becomes liable under a bill of exchange in connection with payment, the retention of title does not expire until such time as an assertion of claims against Balveny Electronic GmbH under the bill of exchange is excluded. The Customer is under obligation to handle the goods that are subject to this retentionof- title clause with due care for the duration of the retention of title. In particular, the Customer is obligated to sufficiently insure the goods at the Purchaser s own expense against damage

4 ausreichend zum Neuwert zu versichern. Der Käufer tritt Balveny Electronic GmbH schon jetzt alle Entschädigungsansprüche aus dieser Versicherung ab. Balveny Electronic GmbH nimmt die Abtretung hiermit an. Sofern eine Abtretung nicht zulässig sein sollte, weist der Käufer hiermit seinen Versicherer unwiderruflich an, etwaige Zahlungen nur an Balveny Electronic GmbH zu leisten. Weitergehende Ansprüche von Balveny Electronic GmbH bleiben unberührt. Der Käufer hat Balveny Electronic GmbH auf Verlangen den Abschluss der Versicherung nachzuweisen. 8.2 Eine Veräußerung der unter Eigentumsvorbehalt stehenden Ware ist dem Käufer nur im Rahmen des ordentlichen Geschäftsgangs gestattet. Der Käufer ist nicht berechtigt, die unter Eigentumsvorbehalt stehende Ware zu verpfänden, zur Sicherung zu übereignen oder sonstige, das Eigentum von Balveny Electronic GmbH gefährdende Verfügungen zu treffen. Bei Pfändungen oder sonstigen Eingriffen Dritter hat der Käufer Balveny Electronic GmbH unverzüglich schriftlich zu benachrichtigen und alle notwendigen Auskünfte zu geben, den Dritten über die Eigentumsrechte von Balveny Electronic GmbH zu informieren und an den Maßnahmen Balveny Electronic GmbH zum Schutze der unter Eigentumsvorbehalt stehenden Ware mitzuwirken. Der Käufer trägt alle von ihm zu vertretenden Kosten, die zur Aufhebung des Zugriffs und zu einer Wiederbeschaffung der Ware aufgewendet werden müssen, soweit sie nicht von dem Dritten eingezogen werden können. 8.3 Der Käufer tritt schon jetzt die Forderungen aus der Weiterveräußerung der Ware mit sämtlichen Nebenrechten an Balveny Electronic GmbH ab, und zwar unabhängig davon, ob die unter Eigentumsvorbehalt stehende Ware ohne oder nach Verarbeitung weiterverkauft wird. Balveny Electronic GmbH nimmt diese Abtretung schon jetzt an. Sofern eine Abtretung nicht zulässig sein sollte, weist der Käufer hiermit den Drittschuldner unwiderruflich an, etwaige Zahlungen nur an Balveny Electronic GmbH zu leisten. Der Käufer ist widerruflich ermächtigt, die an Balveny Electronic GmbH abgetretenen Forderungen treuhänderisch für Balveny Electronic GmbH einzuziehen. Die eingezogenen Beträge sind sofort an Balveny Electronic GmbH abzuführen. Balveny Electronic GmbH kann die Einziehungsermächtigung des Käufers sowie die Berechtigung des Käufers zur Weiterveräußerung widerrufen, wenn der Käufer seinen Zahlungsverpflichtungen gegenüber Balveny Electronic GmbH nicht ordnungsgemäß nachkommt, in Zahlungsverzug gerät, seine Zahlungen einstellt oder wenn die Eröffnung des Insolvenzverfahrens über das Vermögen des Käufers beantragt wird. Ein Weiterverkauf der Forderungen bedarf der vorherigen Zustimmung von Balveny Electronic GmbH. Mit der Anzeige der Abtretung an den Drittschuldner erlischt die Einziehungsbefugnis des Käufers. Im Fall des Widerrufs der Einziehungsbefugnis kann Balveny Electronic GmbH verlangen, dass der Käufer die abgetretenen Forderungen und deren Schuldner bekannt gibt, alle zum Einzug by fire, water, and theft at their replacement value. The Purchaser assigns to Balveny Electronic GmbH already now all claims for compensation under this insurance. Balveny Electronic GmbH hereby accepts the assignment. If an assignment is not admissible, the Customer hereby irrevocably instructs its insurer to make payments, if any, solely to Balveny Electronic GmbH. Further-reaching claims of Balveny Electronic GmbH remain unaffected. Upon request, the Customer must provide Balveny Electronic GmbH with evidence of the conclusion of the insurance contract. 8.2 The Customer may sell the goods that are subject to this retention-of-title clause only within the framework of the ordinary course of business. The Customer is not entitled to pledge the goods that are subject to this retentionof-title clause or to assign them by way of security or to make any other disposition which jeopardizes the ownership of Balveny Electronic GmbH. In the event of attachments or other encroachments by third parties, the Customer must notify Balveny Electronic GmbH without undue delay in writing and furnish all necessary information; additionally, the Customer must inform the third party of Balveny Electronic GmbH s property rights and assist with the measures taken by Balveny Electronic GmbH for the protection of the goods that are subject to this retention-of-title clause. The Customer bears all costs for which it is responsible and which are necessary for the removal of the encroachment and the recovery of the goods, to the extent that these costs cannot be obtained from the third party. 8.3 The Customer assigns to Balveny Electronic GmbH already now the claims arising from the resale of the goods with all ancillary rights, regardless of whether the goods that are subject to this retention-of-title clause are resold without or after further processing. Balveny Electronic GmbH accepts this assignment already now. If an assignment is not permissible, the Customer hereby irrevocably instructs the third-party debtor to make payments, if any, solely to Balveny Electronic GmbH. Subject to revocation, the Customer is authorized to collect the claims that have been assigned to Balveny Electronic GmbH on a trust basis on behalf of Balveny Electronic GmbH. All amounts collected must forthwith be remitted to Balveny Electronic GmbH. Balveny Electronic GmbH may revoke the authorization of the Customer to collect these claims, as well as the Purchaser s authority to resell, if the Customer fails to properly fulfill its obligations to pay in relation to Balveny Electronic GmbH, if the Customer is in arrears with payment or stops payment, or if an application for the institution of insolvency proceedings against the assets of the Customer is filed. Any resale of these claims is subject to prior approval by Balveny Electronic GmbH. With the notification of the assignment to the third-party debtor, the Purchaser s authority to collect expires. In the event of a revocation of the authority to collect, Balveny Electronic GmbH may require the Customer to disclose all claims assigned, as well as the respective

5 erforderlichen Angaben macht, die dazugehörigen Unterlagen aushändigt und den Schuldnern die Abtretung mitteilt debtors, to provide all information necessary for collection, to furnish the related documents, and to inform the debtors of the assignment. 9 Mängelansprüche, Verwendungsbeschränkung und Haftung 9.1 Balveny Electronic GmbH gewährleistet, dass die gelieferte Ware die Merkmale aufweist, die vom Hersteller oder einvernehmlich in prüfbaren technischen Parametern schriftlich spezifiziert worden sind. Die gelieferte Ware ist nur für die von dem jeweiligen Hersteller bestimmten Zwecke vorgesehen. Diese umfassen regelmäßig nicht den Einsatz der Ware in lebenserhaltenden bzw. -unterstützenden oder militärischen Systemen oder für sonstige Zwecke, in denen ein Versagen der Ware bei vernünftiger Einschätzung zu der Verletzung von Leben, Körper oder Gesundheit oder zu einem außergewöhnlich hohen Vermögensschaden führen kann. Als vereinbarte Beschaffenheit gem. 434 BGB gelten ausschließlich die Spezifikationen der jeweiligen Herstellerdatenblätter. Für die Geeignetheit und Sicherheit der Ware für eine käuferseitige Applikation ist ausschließlich der Käufer verantwortlich. Balveny Electronic GmbH übernimmt keine Garantie, insbesondere keine Garantie für die Beschaffenheit oder Haltbarkeit der Ware. 9.2 Die Mängelrechte des Käufers setzen voraus, dass er die gelieferte Ware bei Erhalt überprüft und Balveny Electronic GmbH Mängel unverzüglich, spätestens 10 Tagen nach Erhalt der Ware schriftlich mitteilt. Versteckte Mängel müssen unverzüglich nach ihrer Entdeckung schriftlich beim Balveny Electronic GmbH gerügt werden. Der Käufer hat die Mängel bei ihrer Mitteilung an Balveny Electronic GmbH schriftlich zu beschreiben. Der Käufer ist verpflichtet, die Ware zur Prüfung von Mängeln auf seine Kosten an Balveny Electronic GmbH zu senden. Der Käufer ist verpflichtet, beim Transporteur die angezeigten Maßnahmen zur Sicherung einer lückenlosen Dokumentation zu veranlassen. 9.3 Bei Mängeln der Ware ist Balveny Electronic GmbH nach eigener Wahl zur Nacherfüllung durch die Beseitigung des Mangels oder die Lieferung einer mangelfreien Ware berechtigt. Im Falle der Mangelbeseitigung ist Balveny Electronic GmbH verpflichtet, alle zum Zweck der Mangelbeseitigung erforderlichen Aufwendungen, insbesondere Transport-, Wege-, Arbeits- und Materialkosten zu tragen, soweit sich diese nicht dadurch erhöhen, dass die Ware nach einem anderen Ort als der Lieferadresse verbracht wurde. Personalund Sachkosten, die der Käufer in diesem Zusammenhang geltend macht, sind auf Selbstkostenbasis zu berechnen. 9.4 Sofern Balveny Electronic GmbH zur Nacherfüllung nicht bereit oder in der Lage ist, kann der Käufer nach seiner Wahl vom Vertrag zurücktreten oder den Lieferpreis mindern. Dasselbe gilt, wenn die Nacherfüllung fehlschlägt, dem Käufer unzumutbar ist oder sich aus Gründen, die Balveny Electronic GmbH zu vertreten hat, über 9 Claims based on Defects, Restriction on Use, Liability 9.1 Balveny Electronic GmbH warrants that the goods supplied have the characteristics that have been specified in writing in verifiable technical parameters by the manufacturer or by mutual agreement. Balveny Electronic GmbH gives no guarantee, especially no guarantee in respect of the quality and state or durability of the goods. 9.2 As a prerequisite for the Purchaser s rights based on defects, the Customer must examine the goods delivered upon receipt and must report defects to Balveny Electronic GmbH in writing without undue delay, however no later than 10 days after the receipt of the goods. Hidden defects must be reported to Balveny Electronic GmbH in writing without undue delay after their discovery. When reporting defects to Balveny Electronic GmbH, the Customer must describe the defects in writing. The Customer is obligated to send the goods at its own expense to Balveny Electronic GmbH for an examination of defects. The Customer is under obligation to have the carrier take the indicated measures to ensure complete documentation. 9.3 If goods are defective, Balveny Electronic GmbH is entitled to subsequently perform the contract by remedying the defect or, at its choice, by delivering goods that are free of defects. In the event that the defect is remedied, Balveny Electronic GmbH is under obligation to bear all expenses that must be made for purposes of remedying the defect, in particular, the cost of transportation, travelling expenses, the cost of labor and the cost of material, to the extent that there is no increase in these costs and expenses due to the fact that the goods have been brought to a place other than the delivery address. The cost of personnel and material claimed by the Customer in this respect is to be determined on a primary-cost basis (Selbstkostenbasis). 9.4 If Balveny Electronic GmbH is not willing or is not in a position to subsequently perform, the Customer may rescind the contract or, at its

6 angemessene Fristen hinaus verzögert. 9.5 Für Mängel infolge natürlicher Abnutzung, unsachgemäßer Behandlung oder unsachgemäß ausgeführter Änderungen oder Reparaturen der Ware durch den Käufer oder Dritte entstehen keine Mängelansprüche. Dasselbe gilt für Mängel, die dem Käufer zuzurechnen oder die auf eine andere Ursache als der ursprüngliche Mangel zurückzuführen sind. 9.6 Rücksendungen von mangelhaften Waren an den Balveny Electronic GmbH zum Zwecke der Nacherfüllung dürfen nur nach vorheriger schriftlicher Einwilligung entsprechend der hierfür beim Verkäufer bestehenden Regeln erfolgen (RMA-Prozedur). Die Gefahr des zufälligen Untergangs oder Verschlechterung der Ware geht erst zum Zeitpunkt der Annahme durch Balveny Electronic GmbH an dessen Geschäftssitz über. Balveny Electronic GmbH ist berechtigt, Warenrücksendungen ohne vorher zugeteilte RMA-Nummer abzulehnen. 9.7 Die Verjährungsfrist für die Mängelansprüche des Käufers beträgt ein Jahr, sofern die mangelhafte Ware nicht entsprechend ihrer üblichen Verwendungsweise für ein Bauwerk verwendet worden ist und dessen Mangelhaftigkeit verursacht hat. Sie gilt auch für Ansprüche aus unerlaubter Handlung, die auf einem Mangel der Ware beruhen. Die Verjährungsfrist beginnt mit der Ablieferung der Ware. Die unbeschränkte Haftung von Balveny Electronic GmbH für Schäden aus Verletzung einer Garantie oder aus der Verletzung von Leben, Körper oder Gesundheit, für Vorsatz und grobe Fahrlässigkeit und für Produktfehler bleibt unberührt. Eine Stellungnahme von Balveny Electronic GmbH zu einem vom Käufer geltend gemachten Mängelanspruch ist nicht als Eintritt in Verhandlungen über den Anspruch oder die den Anspruch begründenden Umstände anzusehen, sofern der Mängelanspruch in vollem Umfang zurückgewiesen wird. 10 Export, Ausfuhrkontrolle 10.1 Die gelieferte Ware ist zum Verbleib in dem mit dem Käufer vereinbarten Lieferland bestimmt. The risk of an accidental loss or deterioration of the goods does not pass until they have been accepted by Balveny Electronic GmbH at Balveny Electronic GmbH s place of business. Balveny Electronic GmbH is entitled to refuse return shipments without a previously issued RMA number. 9.7 The limitation period for the Purchaser s claims based on defects is one year unless the defective goods have been used for a building in accordance with their normal manner of use and have caused this building to be defective. This limitation period also applies to claims in tort that are based on a defect of the goods. The limitation period begins to run with the delivery of the goods. Balveny Electronic GmbH s unlimited liability for damage or losses resulting from a breach of guarantee or from death, bodily injury or damage to health, for willful misconduct and gross negligence and for product defects remains unaffected. If Balveny Electronic GmbH comments on a claim based on defects that has been asserted by the Purchaser, this comment is not to be deemed a commencement of negotiations concerning the claim or the circumstances giving rise to the claim if the claim based on defects is fully rejected. 10 Export, Export Control 10.1 The goods supplied are intended to remain in the country of delivery agreed upon with the Purchaser. The Customer may not export consignments of goods that are subject to embargo provisions The goods supplied are particularly subject to German, European and American export controls and embargo provisions. It is the Purchaser s responsibility to inform itself of the relevant export and/or import provisions or restrictions and to obtain according permits, if necessary The Customer will impose the same obligation on its customers.

7 11 Schlussbestimmungen 11.1Gerichtsstand für alle Streitigkeiten aus der Geschäftsbeziehung zwischen Balveny Electronic GmbH und dem Käufer ist Stuttgart. Balveny Electronic GmbH ist auch zur Klageerhebung am Sitz des Käufers sowie an jedem anderen zulässigen Gerichtsstand berechtigt Sollte eine Bestimmung dieser Allgemeinen Geschäftsbedingungen ganz oder teilweise unwirksam oder undurchführbar sein oder werden oder sollte sich in diesen Allgemeinen Geschäftsbedingungen eine Lücke befinden, so wird dadurch die Gültigkeit der übrigen Bestimmungen nicht berührt. Anstelle der unwirksamen oder undurchführbaren Bestimmung gilt diejenige wirksame oder durchführbare Bestimmung als vereinbart, die dem Zweck der unwirksamen oder undurchführbaren am nächsten kommt. Im Falle einer Lücke gilt diejenige Bestimmung als vereinbart, die dem entspricht, was nach dem Zweck dieser Allgemeinen Geschäftsbedingungen vereinbart worden wäre, sofern die Vertragsparteien die Angelegenheit von vorne herein bedacht hätten. 11 Final Provisions 11.1 Place of jurisdiction for all disputes arising from the business relationship between Balveny Electronic GmbH and the Customer is Stuttgart the statutory place of Balveny Electronic GmbH. Balveny Electronic GmbH is additionally entitled to bring an action at the statutory seat of the Purchaser, as well as at any other permissible place of jurisdiction If any provision in these General Terms and Conditions is or becomes invalid or impracticable in whole or in part, or if these General Terms and Conditions contain a gap, this shall not affect the validity of the remaining provisions hereof. The invalid or impracticable provision shall be deemed replaced with such valid or practicable provision as comes closest to the purpose of the invalid or impracticable provision. In the case of a gap, such provision shall be deemed agreed upon as corresponds to what would have been agreed upon according to the purpose of these General Terms and Conditions if the contracting parties had contemplated the matter from the beginning.
