EU-Gesellschaftsrecht- und Corporate Governance-Konferenz 5th European Company Law and Corporate Governance Conference Nach Jahren stürmischer legislativer Aktivität im EU- Gesellschaftsrecht und der Corporate Governance haben wir jüngst eine Zeit der Reflexion erlebt. Diese Konferenz, die anlässlich der deutschen Ratspräsidentschaft stattfindet, möchte neue Impulse für die Zukunft des europäischen Gesellschaftsrechts setzen. Bietet Europa den Unternehmen in einem zunehmend mobilen Umfeld den geeigneten Rechtsrahmen? Schließt die 14. Richtlinie die Lücken im Binnenmarkt vollständig ab oder soll das internationale Privatrecht ergänzende Regeln aufstellen? Bedarf es neben der SE einer eigenen europäischen Rechtsform, die sich eher an kleinere Gesellschaften richtet? Was ist von dem Konzept»Eine Aktie - eine Stimme«zu halten, für das derzeit in Brüssel intensiv geworben wird? Es ist uns eine sehr große Freude, dass die Bundesministerin der Justiz, Frau Brigitte Zypries, die Schirmherrschaft über diese BDI- Konferenz übernommen hat. Wir würden uns freuen, Sie in Berlin begrüßen zu dürfen. After years of almost breathless legislative activities in the area of EU company law and corporate governance, we have more recently experienced a period of reflection. This conference, which takes place on the occasion of the German Council presidency, seeks to give fresh impetus to the future of European company law. In an increasingly mobile environment, does Europe offer companies the right legal framework? Will the 14th Company Law Directive bridge the last gaps of the Internal Market or will International Private Law have to set additional rules? Is there a need for a separate European legal form in addition to the SE, more aimed at smaller companies? What should we think about the»one share one vote«concept, which is currently being strongly promoted in Brussels? It is a great honour for us that the BDI conference will be held under the auspices of the Federal Minister of Justice, Ms Brigitte Zypries. We should be delighted to welcome you in Berlin.
