20 SALES AND INVOICING CONDITIONS 1. General Condition All customer orders and deliveries are subject to the present sales conditions, and shall take precedence over any conflicting customer purchase conditions. The Terms of Purchase of our clients will only be accepted if prior written consent by Rudy Raes Bloemzaden NV has been given. 2. Orders 1. To avoid any error as far as possible, we urge you to provide a clear specification using the designations and numbers in our price list and on our order forms. 2. In the event that an order is wholly or partly cancelled by a customer, a fixed payment of 20% of the value of the cancelled order shall be due in compensation, apart from any expenses and costs which have already been incurred for the order in question. 3. Prices 1. The prices given in our price list and on our order forms are not binding, and apply only to professional customers. Any subsequent price adjustments shall automatically cancel earlier lists. 2. All prices are quoted in or euro, excluding VAT (seeds 6%, seedlings 6%, cuttings 6%) and excluding licence fees (cuttings). VAT will be added at the current rate. 3. Seeds are calculated according to the scale given in the price list. For these purposes the prices are applicable from the stated quantity upwards. This is in all cases for the purchase of the same variety or selection. 4. Delivery 1. From the warehouse, at the customer's risk at all times. 2. We shall not be liable to pay compensation if we are unable to deliver due to force majeure or a poor harvest. 3. An overrun of the delivery deadline up to and including a period of 6 weeks shall not give the purchaser the right to the suspension or dissolution of the agreement, or to compensation or interest. 4. Should the delivery time be exceeded by more than 6 weeks, the customer shall be exclusively entitled to terminate the contract (wholly or in part) by notifying Rudy Raes Bloemzaden NV in writing within 7 days. Rudy Raes Bloemzaden NV may also rescind the contract itself (wholly or in part) if the delay is due to circumstances outside its control. In this event no compensation shall be due from Rudy Raes Bloemzaden NV. 5. The minimum order size for seeds is or 25 euro (excluding VAT), with a minimum of 2.55 or 3 euro per product. An exception shall be made for backorders.the minimum order size quoted on the order form shall apply to planting material. 6. On delivery of seeds, a packaging supplement of 0.43 or 0.50 euro will be charged for each additional package. 7. If a customer wishes to make use of our push-out plates, a deposit will be charged for every push-out plate. When the push-out plate is returned, the deposit paid will be returned to the customer. 8. Reservation of title: as long as the goods delivered have not been paid for they shall remain the property of the seller who may reclaim them in the event that no payment has been received. 9. Delivery on trolleys: we have the right to charge the customer for the hire of trolley etc. from 8 days after delivery if these are not returned on time.the hire prices are: 0.51 or 0.60 euro per trolley per day, 0.06 or 0.07 euro per shelf and 0.02 or 0.02 euro per extension, plus transport costs. 5. Dispatching 1. We charge transport costs as mentioned on the current order forms. 2. Please indicate your full address clearly with each order (your invoice address as well as your delivery address); seed orders are almost always sent by post.3. In the event of a failure to take delivery the risk shall pass to the purchaser. 6. Payment 1. Payment shall be due within 60 days of the invoice date unless another due date has been mentioned on the invoice or in case there has been explicitly agreed another due date in writing. 2. An invoice which is insured with Atradius and not paid by the due date will be transferred to Atradius 60 days after the due date for collection. 3. In the event that an uninsured invoice is not paid by the due date, we shall have the right to levy a charge of 1% per month without further notice, and compensation of 10% of the outstanding sum due with a minimum of 34 or 40 euro. Additionally, all sums outstanding on other transactions shall immediately become due. 4. Clients shall pay on delivery or at the vendor's registered offices, net and without discount. The acceptance of bills of exchange or other payment documents may never be invoked as a novation. 5. A reduction of 2% may be retained on an invoice paid within 10 days of the billing date (not applicable to pre-payments). Where the 10-day deadline allowed is exceeded, the buyer s right to the 2% reduction shall expire. 6. The costs of collecting invoices not paid on time shall be charged completely to the purchaser.7. Should the purchaser contest part of the order, the purchaser shall remain liable on the due date for the sum about which there is no dispute.8. Failure to comply with the payment deadline shall mean that all open orders may be cancelled. 7. Cultivation advice 1. The information and advice on cultivation provided in the catalogue has been compiled with the utmost care. Nevertheless we should point out that growers must apply this advice in accordance with their own knowledge and understanding. In the event of uncertainty, we advise that trials should first be carried out to establish the influenceof local conditions. Basic material from plant varieties that are protected by a plant breeder s rights must not be used for propagation. Varieties thus protected are indicated by Rudy Raes Bloemzaden NV by an or "P". Offences shall give rise to a penalty charge for each additional plant. 8. Force majeure Force majeure is construed as meaning: any circumstance beyond the control of Rudy Raes Bloemzaden NV even if at the time when the agreement was set up, it might have been anticipated which temporarily or permanently impedes the performance by Rudy Raes Bloemzaden NV of the agreement, as well as insofar as not already covered thereunder crop failure, harvest of seed with transport problems, diseases in our own business or in that of a supplier, war, risk of war, civil war, terrorist attack, strike, occupation of the business, government measures, damage by fire, water, frost or storm, disruption to the supply of raw materials, water and energy in our own business or that of a supplier, and failure to deliver or late delivery by suppliers. Rudy Raes Bloemzaden NV will notify the purchaser as quickly as possible of any case of force majeure. 9. Complaints 1. Although we do everything in our power to satisfy our customers and to avoid complaints, shortcomings remain possible. 2. Complaints regarding the delivered weight, or the appearance of seeds or young plants must be reported in writing no later than 8 days after delivery date. 3. Complaints regarding the purity and germinating power of seeds or the quality of young plants must be reported within 42 days. 4. Complaints relating to the authenticity of seed varieties, seedlings and cuttings supplied must be reported to Rudy Raes Bloemzaden NV as quickly as possible, with a supporting photograph. In any case at a time when the crop can be checked in the field by both parties. 5. All complaints must be reported in writing and if such reports are not made within the stipulated time they shall be regarded as invalid and any responsibility on our part shall cease. 6. Complaints regarding invoicing must be reported in writing within 14 days after invoice date : failing this the invoices shall be considered as being accepted by the customer. 10. Liability 1. No compensation may ever be claimed from us that exceeds the price of the seed or plants supplied. Any further liability is explicitly excluded. Any liability on the part of Rudy Raes Bloemzaden NV shall lapse if no legal claim is lodged against Rudy Raes Bloemzaden NV within 6 months after the delivery. 2. Rudy Raes Bloemzaden NV is under no circumstances liable for any consequential damage, including loss of sales and profits, damage to reputation or damage of any kind whatsoever. 3. By placing an order, the purchaser declares its agreement to the above conditions. 4. If the buyer cannot agree with the above conditions, then he must return the seed supplied, at his own expense and with the written consent of Rudy Raes Bloemzaden NV, within 10 days in its original, unopened packaging. Plants and cuttings must likewise be returned in the original plate, at his own cost. 5. All returns are subject to a cost of 15% calculated by reference to the value of the goods returned. 11. Disputes and jurisdiction 1. As a mutual guarantee and commitment for a fast settlement of controversies through arbitration, B.A.I. Belgische Arbitrage Instelling is charged with the appointment of arbitrators who will be authorized to settle for good any controversy arising from the current document as to the interpretation, the execution or the dissolution, in conformity with its regulations for operation that can be obtained free of charge at B.A.I., Lieven Bauwensstraat 20 at B-8200 Brugge (tel.+32 (0) and fax +32 (0) ). This clause replaces all other clauses contrary to it, also those mentioned on the back. 2. Only Belgian law and its interpretation are applicable to all contracts. 3. Purchase conditions published in other languages are solely for the purposes of information and only the Dutch text shall be authentic. VERKAUFS- UND RECHNUNGSBEDINGUNGEN 1. Allgemeine Bedingung Alle Bestellungen unserer Kunden und alle unsere Lieferungen unterliegen der heutigen Verkaufsbedingungen, sodass eventuell widersprüchliche Einkaufsbedingungen des Kunden verfallen. Die Einkaufsbedingungen unserer Kunden werden nur akzeptiert nach vorangehender schriftlicher Vereinbarung von Rudy Raes Bloemzaken NV. 2. Bestellungen 1. Um Irrtümer so weit wie möglich zu vermeiden, bitten wir Sie um eine deutliche Angabe, gemäß der Bezeichnung und der Nummern in unserer Preisliste und auf unseren Bestellformularen. 2. Bei Stornierung einer Bestellung durch den Kunden, ganz oder teilweise, bleibt eine pauschale Entschädigung in Kraft: 20 % des stornierten Bestellbetrags, abgesehen von den Ausgaben und Kosten, die bereits durch die besondere Bestellung entstanden sind. 3. Geltungsbereich der Preise 1. Die Preise in der Preisliste und auf unseren Bestellformularen sind nicht verbindlich und gelten nur für gewerbliche Abnehmer. Eventuelle spätere Änderungen heben die vorherigen Listen automatisch auf. 2. Alle Preise sind in EURO angegeben (für England und Irland in oder Euro), exklusive Mehrwertsteuer (Saat 6 %, Sämlinge 6 %, Stecklinge 6 %) und exklusive Lizenzgebühr (Stecklinge). 3. Das Saatgut wird gemäß der in der Preisliste angegebenen Staffel berechnet. Dabei gilt, dass die Preise ab den erwähnten Staffelmengen in Kraft sind. Dies in allen Fällen bei der Abnahme derselben Rasse oder derselben Auswahl. 4. Lieferung 1. Ab Lager, von welchem Augenblick ab das Risiko auf den Käufer übergeht. 2. Es kann von uns keine Entschädigung gefordert werden, wenn wir wegen höherer Gewalt oder Missernte nicht liefern können. 3. Eine Überschreitung der Lieferfrist bis zu einem Zeitraum von 6 Wochen gibt dem Käufer weder das Recht auf Aussetzung oder Auflösung des Vertrags, noch auf Entschädigung oder Zinsen. 4. Eine Überschreitung der Lieferfrist um einem Zeitraum von mehr als 6 Wochen gibt dem Käufer ausschließlich das Recht, den Vertrag (ganz oder teilweise) aufzulösen, indem er dieses schriftlich innerhalb von 7 Tagen danach Rudy Raes Bloemzaden NV mitteilt, der selbst den Vertrag (ganz oder teilweise) aufzulösen kann, wenn die Überschreitung unabhängig von ihrem Willen erfolgte. Eine Entschädigung braucht Rudy Raes Bloemzaden NV dann nicht zu zahlen. 5. Der Mindestbestellbetrag für Saatgut beträgt 25 Euro (exklusive MwSt.) bei einem Mindestbetrag von 3 Euro pro Produkt. Davon ausgeschlossen sind die sogenannten Nachlieferungen. Was das Pflanzenmaterial anbelangt, gilt die auf den Bestellformularen angegebene Mindestbestellmenge. 6. Bei der Lieferung von Saatgut wird für jede zusätzliche Verpackung ein Verpackungszuschlag in Höhe von 0,50 Euro erhoben. 7. Wenn ein Kunde unsere Aushebeplatten verwenden möchte, wird ihm für jede Aushebeplatte eine Kaution in Rechnung gestellt. Bei Rückgabe einer Aushebeplatte wird dem Kunden die bezahlte Kaution zurückgezahlt. 8. Eigentumsvorbehalt: solange die gelieferten Waren nicht bezahlt sind, bleiben diese das Eigentum des Verkäufers, der diese bei ausbleibender Zahlung zurückfordern kann. 9. Lieferungen, die mit Containern erfolgen: wir haben das Recht, Miete für Container usw. zu berechnen, ab 8 Tage nach der Lieferung an den Kunden, wenn diese nicht rechtzeitig zurückgegeben worden sind.die Mietpreise für Belgien, Frankreich und Deutschland sind: 0,60 pro Container pro Tag, 0,07 pro Einlagebrett und 0,02 pro Verlängerung, plus Transportkosten. 5. Versand 1. Transportkosten gehen auf das Konto des Käufers nach dem Tarif, der auf dem geltenden Bestellformular aufgeführt wird. 2. Wir bitten Sie, bei jeder Bestellung sehr deutlich die vollständige Anschrift anzugeben (sowohl die Rechnungs- als auch die Lieferanschrift); Saatbestellungen werden nahezu immer mit der Post versandt. 3. Wenn die Ware nicht in Empfang genommen wird, geht das Risiko ebenfalls auf den Käufer über. 6. Bezahlung 1. Die Bezahlung hat innerhalb von 60 Tagen nach Rechnungsdatum zu erfolgen, es sei denn, dass auf der Rechnung ein anderer Verfalltag aufgeführt wurde oder wenn schriftlich ein anderer Verfalltag vereinbart wurde. 2. Eine Rechnung, die bei Atradius versichert wurde und am Verfalltag nicht bezahlt worden ist, wird 60 Tage nach dem Verfalltag an Atradius zum Inkasso übergeben. 3. Bei Nichtzahlung einer nicht versicherten Rechnung am Verfalltag haben wir von Rechts wegen und ohne Mahnung das Recht auf Verzugszinsen in Höhe von 12% pro Jahr ab dem Verfalltag und auf eine Entschädigung in Höhe von 10% auf den ausstehenden und fälligen Betrag mit einem Mindestbetrag in Höhe von 40 Euro; zugleich werden alle Beträge, die aufgrund von anderen Transaktionen noch geschuldet werden, sofort fällig. 4. Zahlungen durch Kunden erfolgen bei Lieferung oder im Sitz des Verkäufers. Das Akzeptieren von Wechseln oder anderen Zahlungspapieren kann nicht als Schulderneuerung in Anspruch genommen werden. 5. Es dürfen von einer Rechnung, die innerhalb von 10 Tagen nach dem Rechnungsdatum bezahlt wird, 2% Skonto abgezogen werden (nicht zutreffend für Vorauszahlungen). Wenn die zugestandene Frist von 10 Tagen überschritten wird, verfällt das Recht des Käufers, 2% Skonto einzubehalten. 6. Die Kosten der Einziehung nicht rechtzeitig bezahlter Rechnungen gehen auf Kosten des Käufers. 7. Wenn der Käufer einen Teil der Lieferung anficht, ist der Käufer auf jeden Fall verpflichtet, am Verfalltag den Betrag zu bezahlen, über den keine Meinungsverschiedenheit besteht. 8. Dass die Zahlungsfrist nicht eingehalten wird, hat zur Folge, dass alle offenen Bestellungen storniert werden können. 7. Anbauinformationen 1. Alle Informationen und Anbauempfehlungen aus dem Katalog wurden mit der größten Sorgfalt zusammengestellt. Dennoch möchten wir darauf hinweisen, dass der Erzeuger diese Ratschläge nach eigenem Ermessen und Wissen anwenden muss. Im Zweifelsfall empfehlen wir, erst einen Versuch durchzuführen, um die Einflüsse der lokalen Umstände auf die Varietät auszuprobieren. Rudy Raes Bloemzaden NV haftet nicht für die Informationen, die in diesen Publikationen enthalten sind. 2. Ausgangsmaterial von Rassen, die durch ein Erzeugerrecht geschützt sind, dürfen nicht für die Vermehrung angewandt werden. Die auf diese Weise geschützten Rassen, werden von Rudy Raes Bloemzaden NV mit oder P markiert. Zuwiderhandlungen führen zu einem Bußgeld pro vermehrte Pflanze. 8. Höhere Gewalt Falls Rudy Raes Bloemzaden NV aufgrund eines Umstands außerhalb ihrer Macht nicht imstande ist, eine oder mehrere ihrer Verpflichtungen zu erfüllen, kann von ihr keinerlei Entschädigung gefordert werden.unter höherer Gewalt wird verstanden: jeder vom Willen von Rudy Raes Bloemzaden NV unabhängige Umstand - auch wenn dieser zur Zeit des Zustandekommens des Vertrags vielleicht vorherzusehen war welcher die Erfüllung des Vertrags durch Rudy Raes Bloemzaden NV vorübergehend oder auf Dauer verhindert, sowie insofern darunter nicht bereits einbegriffen, Missernte, Ernte von Saatgut mit Transportproblemen, Krankheiten im eigenen Betrieb oder im Betrieb eines Zulieferers, Krieg, Kriegsgefahr, Bürgerkrieg, terroristischer Anschlag, Streik, Betriebsbesetzung, staatliche Maßnahmen, Brand-, Wasser- Frost- und Sturmschaden, Störung der Zufuhr von Rohstoffen, Wasser und Energie im eigenen Betrieb oder von Zulieferern und keine oder zu späte Lieferung durch Zulieferer. Rudy Raes Bloemzaden NV wird den Käufer so schnell wie möglich über die höhere Gewalt informieren. 9. Reklamationen 1. Obwohl wir alles Mögliche tun, um unsere Kunden zufriedenzustellen und um somit Reklamationen zu vermeiden, bleiben Mängel möglich. 2. Reklamationen in Bezug auf das gelieferte Gewicht, das Äußere des Saatguts, das Äußere des Pflanzguts, müssen spätestens 8 Tage nach dem Versand schriftlich eingesandt werden. 3. Reklamationen im Zusammenhang mit der Reinheit und der Keimkraft des Saatguts, der Qualität des Pflanzguts müssen innerhalb von 6 Wochen erfolgen. 4. Reklamationen, die sich auf die Sortenreinheit des gelieferten Saatguts, der gelieferten Sämlinge und Stecklinge beziehen, müssen so schnell wie möglich, mit einem Foto versehen, der Rudy Raes Bloemzaden NV gemeldet werden. Darüber hinaus muss die Pflanze auch noch auf dem Feld von beiden Geschäftspartnern zu kontrollieren sein. 5. Alle Reklamationen müssen schriftlich erfolgen, falls nicht rechtzeitig, werden diese als ungültig betrachtet und es verfällt jede Verantwortung für uns. 6. Reklamationen im Zusammenhang mit Rechnungen müssen spätestens 8 Tage nach Rechnungsdatum (15 Tage im Ausland) schriftlich mitgeteilt werden; wenn das versäumt wird, werden die Rechnungen als akzeptiert angesehen. 10 Haftung 1. Es kann von uns auf keinen Fall eine Entschädigung verlangt werden, die höher ist als der Preis des gelieferten Saatguts oder Pflanzguts. Jede weitere Haftung wird ausdrücklich ausgeschlossen. Jede Haftung von Rudy Raes Bloemzaden NV verfällt, wenn nicht innerhalb 6 Monaten nach der Lieferung eine Klage gegen Rudy Raes Bloemzaden NV erhoben worden ist. 2. Rudy Raes Bloemzaden NV haftet auf keinen Fall für Folgeschäden, darunter einschließlich Umsatz- und Gewinneinbußen, Rufschädigung oder Schäden jeder Art. 3. Durch seine Bestellung erklärt der Käufer sich mit den obenstehenden Bedingungen einverstanden. 4. Wenn der Käufer sich mit den oben aufgeführten Bedingungen nicht einverstanden erklären kann, muss er das gelieferte Saatgut auf eigene Kosten und mit schriftlicher Genehmigung von Rudy Raes Bloemzaden N.V. innerhalb von 10 Tagen in der ungeöffneten Originalverpackung zurücksenden. Pflanzgut und Stecklinge müssen ebenfalls in der originalen Platte auf eigene Kosten zurückgesandt werden.5. Alle Rücksendungen unterliegen einer Gebühr in Höhe von 15 % auf den Wert der zurückgesandten Ware. 11. Streitfälle & Rechtsbefugnis 1.Als gegenseitige Garantie und Verpflichtung zu einer schnellen Lösung von Streitfällen durch Arbitrage, ist die Belgische Arbitrageinstitut B.A.I. mit der Ernennung von Schiedsrichtern beauftragt, welche zuständig sind, jeden aus dem vorliegenden Vertrag hervorgehenden Streit beizulegen, und zwar endgültig und gemäβ ihrer Wirkungsordnung, welche gratis bei B.A.I., Lieven Bauwensstraat 20 in B-8200 Brugge (Tel. +32 (0) und Fax +32 (0) ). Die vorliegende Klausel ersetzt alle entgegenstehenden Zuständigkeitsklauseln. 2. Ausschließlich das belgische Recht und seine Interpretation sind auf alle Verträge anwendbar. 3. Anderssprachige Verkaufsbedingungen werden zur Information gegeben, der niederländischsprachige Text bleibt der einzige rechtsgültige.
