15 Der Dachverband der Kritischen Aktionärinnen und Aktionäre, Köln, kündigt folgende Gegenanträge an: zu Tagesordnungspunkt 3, Beschlussfassung über die Entlastung der Mitglieder des Vorstands und zu Tagesordnungspunkt 4, Beschlussfassung über die Entlastung der Mitglieder des Aufsichtsrats Gegenanträge zur ThyssenKrupp Hauptversammlung 2007 Zur Hauptversammlung der ThyssenKrupp AG am stellt der Dachverband der Kritischen Aktionärinnen und Aktionäre die folgenden Gegenanträge: Gegenantrag zum Tagesordnungspunkt 3: Den Mitgliedern des Vorstandes wird die Entlastung verweigert. Begründung: Der Vorstand setzt nach wie vor auf Projekte, die langfristig sowohl friedensgefährdend als auch umweltzerstörend sind. ThyssenKrupp Technologies hat zusammen mit EADS das Bremer Unternehmen Atlas erworben. Atlas Elektronik ist spezialisiert auf Ausrüstung der Seestreitkräfte. Damit setzt der Vorstand seine bisherige Politik fort, Arbeitsplätze im Rüstungsbereich statt im zivilen Bereich, auszubauen. Die Tochterfirma von ThyssenKrupp, Uhde GmbH, will sich in Südafrika am Bau eines Hochtemperaturreaktors, genannt PBMR (Pebble Bed Modular Reactor), beteiligen. Dieser Bau ist in Südafrika selbst sehr umstritten und zudem unausgereift. Wichtige Entscheidungen z.b. des südafrikanischen Umweltministeriums stehen noch aus. Gegenantrag zum Tagesordnungspunkt 4: Den Mitgliedern des Aufsichtsrates wird die Entlastung verweigert. Begründung: Die Stimmenmehrheit im Aufsichtsrat unterstützt die Geschäftspolitik des Vorstandes anstatt gegen zu steuern durch zukunftsfähige, friedensfördernde Investitionen. Deshalb verdienen beide Gremien keine Entlastung. Viele unzufriedene Aktionäre äußern ihre Kritik an der Politik des Unternehmens durch Übertragung ihrer Stimmrechte an den Dachverband der Kritischen Aktionärinnen und Aktionäre. 18 Response by the administration to the countermotions to the Agenda of the Annual General Meeting of ThyssenKrupp AG on January 19, 2007: The executive board of ThyssenKrupp AG considers all countermotions to be unjustified and comments on them as follows: With the proposed amendment to Art. 9 of the Articles of Association, in particular paragraph 2, the major stockholder, the Alfried Krupp von Bohlen und Halbach Foundation, is to be granted the right to designate a maximum of three of the altogether ten stockholder representatives to the supervisory board of ThyssenKrupp AG. This proposal does not comprise a general designation right but is dependent on the extent of the Foundation s shareholding. If the foundation holds at least 10% of the capital stock, it may designate one member. If it holds at least 15%, it may designate two members. The foundation s current shareholding of 25.1% would entitle it to designate three members. In view of the size and weight of such a shareholding, the company s administration considers the designation of up to three supervisory board members to be appropriate. The proposed staggered designation right provides proportionate representation of the major stockholder on the supervisory board. The remaining seven stockholder representatives will be elected as previously by the annual general meeting. The Alfried Krupp von Bohlen und Halbach Foundation is a stockholder who has been linked to the company since 1967 and has always felt a particular commitment to the successful, sustainable and value-enhancing development of the company, also in the interests of all stockholders. The proposed representation of the major stockholder on the company s supervisory board will make a key contribution to the management of the company in the interests of the stockholders and is in line with the principles of corporate governance. German stock corporation law expressly permits the introduction of the designation right. The designation right does not cap stockholders voting rights at a specific percentage (VW law), nor does the designation right under stock corporation law violate European law. The further countermotions in particular on the proposed resolutions to discharge board members from responsibility are likewise unjustified in terms of content.
