109 ALLGEMEINE GESCHÄFTSBEDINGUNGEN der Firma Friedrich Dandler GmbH & Co. KG Am Hermannsberg Stockach 1 ALLGEMEINES Für die Auftragsabwicklung gelten vorbehaltlich besonderer Absprachen die nachfolgenden Geschäftsbedingungen. Einkaufsbedingungen des Bestellers haben keine Gültigkeit, auch wenn ihnen nicht ausdrücklich widersprochen wird. Anderweitige besondere Abreden bei oder nach Vertragsabschluss werden nur durch schriftliche Bestätigung des Verkäufers rechtsgültiger Vertragsbestandteil. 2 ANGEBOT Unsere Offerten sind solange freibleibend, bis wir eingehende Aufträge schriftlich bestätigt haben. Mündliche Absprachen jeglicher Art bedürfen zur Wirksamkeit unserer schriftlichen Bestätigung. 3 PREISBERECHNUNG Unsere Preise verstehen sich in Euro ab Lager. Anfuhrkosten, Bruchversicherung und Mindermengenzuschläge kommen in der von uns festgelegten Höhe in Abrechnung. Für Lieferungen oder Leistungen erst 4 Monate nach Vertragsschluss sind unsere Preisangaben freibleibend. 4 LIEFERZEIT Erfolgt die Lieferung nicht zu dem vereinbarten Termin, so kann uns der Besteller nach Ablauf von 2 Monaten eine Nachfrist von vier Wochen setzen mit der Erklärung, dass er nach deren fruchtlosem Ablauf vom Vertrag zurücktrete. Höhere Gewalt, Verkehrs- und Betriebsstörungen, Streiks und sonstige von uns nicht verschuldete Umstände entbinden uns von der Einhaltung jeglicher Lieferfrist und berechtigen uns zum Rücktritt vom Vertrag, soweit die Erfüllung der Lieferpflicht für uns zumutbar wird. Zu Teillieferungen sind wir berechtigt. Entstehen nach Vertragsabschluss ernsthafte und erhebliche Bedenken gegen die Zahlungsfähigkeit und/ oder -bereitschaft des Käufers, so dürfen wir die Leistung verweigern, bis die Zahlung erfolgt oder für die Sicherheit erbracht ist. 5 ZAHLUNG Zahlungen sind in bar, ohne Abzug, unabhängig vom Eingang der Ware und unbeschadet des Rechts der Mängelrüge innerhalb 30 Tagen nach Rechnungsdatum zu leisten. Wir behalten uns vor, Skontoabzüge und anders lautende Zahlungsbedingungen schriftlich festzulegen und gegebenenfalls Vorauszahlungen und Abschlagzahlungen zu beanspruchen. Schecks und Wechsel gelten erst nach Einlösung als Zahlung; Spesen und Diskont gehen zu Lasten des Käufers. Befindet sich einer unserer Kunden mit der Zahlung einer Forderung in Verzug oder treten in Bezug auf seine Kreditwürdigkeit berechtigte Zweifel auf, werden alle unsere Lieferungen, auch wenn sie noch nicht 30 Tage alt sind, sofort zur Zahlung fällig. Verzugszinsen werden in Höhe der banküblichen Kontokorrentzinsen berechnet. 6 EIGENTUMSVORBEHALT Wir behalten uns das Eigentum an der gelieferten Ware bis zur Erfüllung sämtlicher Ansprüche aus dem jeweiligen Kaufvertrag und sämtlicher sonstiger aus der Geschäftsverbindung mit dem Käufer entstandenen Forderungen vor. Die Verarbeitung oder Umbildung der unter Eigentumsvorbehalt stehenden Waren erfolgt für uns im Sinne des 950 BGB, ohne dass wir aus dieser Vereinbarung verpflichtet werden. Wird die unter Eigentumsvorbehalt stehende Ware mit anderen, uns nicht gehörenden Waren durch Verarbeitung oder Umbildung zu einer neuen, einheitlichen Sache verbunden und erlischt dadurch unser Eigentum an der Vorbehaltsware ( 947 BGB), steht uns das Miteigentum an der neuen Sache im Verhältnis des Rechnungswertes unserer verarbeiteten Vorbehaltsware zu der Summe der Rechnungswerte aller anderen bei der Herstellung der neuen Sache verwendeten Waren zu. Die Forderung des Käufers aus der Weiterveräußerung der Vorbehaltsware tritt der Käufer mit sämtlichen Nebenrechten in voller Höhe an uns ab. 7 GEFAHRÜBERGANG UND VERSAND Die Gefahr der Beschädigung oder des Unterganges der Ware geht, auch wenn frachtfreie Lieferung vereinbart ist, auf den Besteller über, sobald die Sendung das Lager verlassen hat. Kommt der Verkäufer in Leistungsverzug oder wird die Leistung aus von ihm zu vertretenden Gründen unmöglich, so kann der Käufer im ersteren Fall jedoch nur nach Setzung einer angemessenen Nachfrist sich vom Vertrag lösen oder Ersatz des nachweislich entstandenen mittelbaren Schadens verlangen. Der Käufer ist verpflichtet, unverzüglich nach Kenntnis des Schadens uns eine schriftliche Schadensmitteilung zu machen. Die Haftung wird der Höhe nach auf maximal 10 % des vereinbarten Entgelts begrenzt, soweit nicht Vorsatz oder grobe Fahrlässigkeit des Verwenders bzw. seine Erfüllungsgehilfen vorliegt. 8 HAFTUNG, MÄNGEL UND GEWÄHRLEISTUNG Die gelieferte Ware ist sofort bei Ablieferung auf Umfang, Ausführung, Maßgenauigkeit und Funktion zu überprüfen. Offensichtliche Mängel sind uns innerhalb von 7 Tagen anzuzeigen. Die Mangelfreiheit unserer Ware gewährleisten wir für eine Dauer von sechs Monaten. Die Gewährleistungsfrist beginnt mit der Ablieferung der Ware oder, sofern wir auch die Montage übernommen haben, mit deren Beendigung, spätestens jedoch mit Beginn der Benutzung der Ware durch den Käufer. Für Handelsgeschäfte mit Kaufleuten finden die Vorschriften der 377 und 378 HGB zusätzlich Anwendung. Die Beseitigung von Mängeln erfolgt ausschließlich durch Nachbesserung, Ersatzlieferung oder angemessene Gutschrift nach Wahl des Verkäufers. Wenn und soweit ein Hersteller oder Lieferant oder sonstiger Dritter eine eigene Gewährleistung gegenüber dem Käufer übernimmt (z. B. durch Garantiekarte), wird dadurch unsere Gewährleistungspflicht selbst im Verhältnis zum Käufer in keinem Falle erweitert. Bei Fehlen zugesicherter Eigenschaften ist unsere Haftung für mittelbare Schäden (Mangelfolgeschäden) ausgeschlossen. Unsere Gewährleistungspflicht bezieht sich nicht auf Mängel, die auf natürliche Abnutzung, auf fehlerhafte, nachlässige oder der Bedienungsanleitung nicht entsprechende Behandlung durch den Käufer, auf übermäßige Beanspruchung, auf mangelhafte Montagearbeit des Käufers oder von ihm beauftragter Dritter, auf die Verwendung ungeeigneter Betriebsmittel, auf Transportschäden oder auf höhere Gewalt zurückzuführen sind. Im übrigen sind weitergehende Ansprüche des Käufers, welche mit einer mangelhaften oder falschen Lieferung oder Verletzung vertraglicher Nebenpflichten bei Lieferung zusammenhängen, ausgeschlossen. 9 VERPACKUNG Die Verpackung wird, wenn erforderlich oder vorgeschrieben, zum Selbstkostenpreis ohne Rücknahmeverpflichtung berechnet, es sei denn, dass besondere Vereinbarungen hierfür getroffen worden sind. 10 RECHT AUF RÜCKTRITT Für den Fall unvorhergesehener Ereignisse (Ziff. 4), sofern sie die wirtschaftliche Bedeutung oder den Inhalt der Leistung erheblich verändern oder auf unseren Betrieb einwirken, und für den Fall nachträglich sich herausstellender tatsächlicher Unmöglichkeit der Ausführung steht uns das Recht zu, vom Vertrage insoweit zurückzutreten, als wir zur Erfüllung nicht in der Lage sind. Schadensersatzansprüche des Bestellers wegen eines solchen Rücktritts sind ausgeschlossen. 11 RETOUREN Die Rücknahme von Waren ist nur mit unserer vorherigen Zustimmung möglich. Als Bearbeitungsgebühr berechnen wir 10 % vom Warenwert. 12 VERBINDLICHKEIT DES VERTRAGES Die Ungültigkeit einer oder mehrerer der vorstehenden Bestimmungen berührt die Verbindlichkeit der übrigen Bestimmungen nicht. Anstelle der unwirksamen Bestimmungen tritt vorbehaltlich einer anderen Vereinbarung die gesetzliche Regelung. 13 DATENVERARBEITUNG Wir sind berechtigt, die im Rahmen der Geschäftsbeziehungen mit dem Käufer erhaltenen Daten zu verarbeiten und zu speichern, soweit es nach dem Bundesdatenschutzgesetz zulässig ist. 14 GERICHTSSTAND Gerichtsstand bzw. Erfüllungsort für Lieferung und Zahlung sowie für alle sich aus dem Geschäft ergebenden Ansprüche des Bestellers ist, falls der Besteller Kaufmann ist und nicht zu den in 4 HRB bezeichneten Gewerbetreibenden gehört, für beide Teile Stockach.
