1 This document constitutes two base prospectuses for the purpose of Art. 5.4 of Directive 2003/71/EC, as amended (the "Prospectus Directive") and the Luxembourg law relating to prospectuses for securities of 10 July 2005 (Loi relative aux prospectus pour valeurs mobilières), as amended (the "Luxembourg Law"), which implements the Prospectus Directive in the Grand Duchy of Luxembourg: (i) the base prospectus of Kommunalkredit Austria AG in respect of non-equity securities within the meaning of Art. 22 No. 6(4) of the Commission Regulation (EC) No. 809/2004 of 29 April 2004, as amended (the "Commission Regulation"), and (ii) the base prospectus of Kommunalkredit Austria AG in respect of covered bonds (non-equity securities within the meaning of Art. 22 No. 6(3) of the Commission Regulation) (together, "Debt Issuance Programme Prospectus" or the "Prospectus"). Debt Issuance Programme Prospectus Dated 24 July 2014 Kommunalkredit Austria AG EUR 3,000,000,000 Debt Issuance Programme (the "Programme") Application has been made to the Luxembourg Stock Exchange for notes issued under this Programme (the "Notes") to be admitted to trading on the regulated market of the Luxembourg Stock Exchange, which is a regulated market within the meaning of Directive 2004/39/EC and appears on the list of regulated markets issued by the European Commission (the "Regulated Market") and to be listed on the Official List of the Luxembourg Stock Exchange during the period of twelve months from the date of this Prospectus. Notes issued under the Programme may also be listed on the Official Market, the Second Regulated Market and the Third Market of the Vienna Stock Exchange, or may not be listed at all. This Prospectus has been approved by the Commission de Surveillance du Secteur Financier of the Grand Duchy of Luxembourg (the "CSSF") in its capacity as competent authority under the Luxembourg act relating to prospectuses for securities (Loi relative aux prospectus pour valeurs mobilières), which implements the Directive 2003/71/EC of the European Parliament and the Council of 4 November 2003, as amended. Pursuant to Article 7(7) of the Luxembourg law on prospectuses for securities, the CSSF shall by approving a prospectus give no undertaking as to the economic and financial soundness of the operation or the quality or solvency of the Issuer. The Issuer has requested the CSSF to provide the competent authorities in the Republic of Austria, the Federal Republic of Germany, the United Kingdom of Great Britain and Northern Ireland, the Republic of Ireland and The Netherlands with a certificate of approval attesting that this Prospectus has been drawn up in accordance with the Luxembourg act relating to prospectuses for securities ("Notification"). The Issuer may request the CSSF to provide competent authorities in additional host Member States within the European Economic Area with a Notification. Prospective purchasers of the Notes should refer to the section "Risk Factors" of this Prospectus. There has been no significant change in the financial and trading position of the Issuer since 31 December B.13 Recent Events Amending Decision of the European Commission dated 19 July 2013 In the decision of the European Commission dated 31 March 2011 (the "Restructuring Decision of the European Commission"), the Republic of Austria committed to privatise Kommunalkredit by 30 June 2013 (closing); failing to comply with this requirement, the Republic of Austria would be obliged, on the basis of the Restructuring Decision of the European Commission, to appoint a divestiture trustee mandated to sell Kommunalkredit on behalf of the owner, subject to no restrictions in terms of price. On 29 November 2011 the Council of Ministers of the Republic of Austria mandated FIMBAG Finanzmarktbeteiligung Aktiengesellschaft des Bundes ("FIMBAG") to fully privatise the shares in the Issuer held by the Republic of Austria. The Issuer was informed by FIMBAG on 16 May 2013 that the privatisation process was not concluded on the basis of offers submitted, as it was not possible to sell Kommunalkredit in a value-preserving manner for the shareholders under current market conditions. The Issuer therefore remained in the ownership of the Republic of Austria. Moreover, Kommunalkredit was informed by FIMBAG on 16

10 10 May 2013 that an application had been submitted by the Republic of Austria to the European Commission, requesting permission to abstain from the appointment of a divestiture trustee. In return, the Republic of Austria proposed that Kommunalkredit would not engage in any new lending business in order to maintain competitive neutrality. All lending transactions, both current and committed are being continued. Equally, Kommunalkredit is free to raise funding in the money and capital markets, including financing through bond issues, and to continue its advisory activities in the infrastructure sector. On 19 July 2013 Kommunalkredit has been advised by the Austrian Ministry of Finance that the European Commission has accepted the Republic of Austria s offer to cease Kommunalkredit s new business. Kommunalkredit will therefore not engage in new financing business (on the asset side) in the future. However, existing transactions as well as transactions which were already committed or in the bidding process will continue to be fully serviced. Equally, Kommunalkredit will conduct market-based refinancing activities and continue its advisory services in accordance with the amendment of the Restructuring Decision of the European Commission dated 19 July 2013 (the "Amending Decision"). Hence, Kommunalkredit is explicitly permitted to carry on with the following activities: (i) continuous full servicing of current financing transactions as well as financing transactions in the bidding phase, (ii) market based funding of the bank (money market, capital market and customer deposit business), (iii) advisory services for the municipal and infrastructure sectors, (iv) support scheme management programmes of Kommunalkredit Public Consulting GmbH (KPC). Existing obligations, in particular the distribution ban on profit-dependent equity instruments, remain in effect. The Republic of Austria is entitled to fully sell its shareholding in Kommunalkredit with asset size limited to 50 per cent. of its asset base as of 19 July 2013 (i.e. up to EUR 5.8 billion) in an open and transparent process (partial sale). Therefore, a private entity may take over, in full or partially, the Republic of Austria s shareholding in Kommunalkredit. As part of any such partial sale efforts, certain parts of the Issuer s business could be sold and transferred to another entity, conceivably in combination with a subsequent sale of the shareholding in Kommunalkredit by the Republic of Austria. The corresponding implementation decisions were taken by an extraordinary shareholders meeting on 13 August Mr. Helmut Urban appointed as a member of the management board In its meeting on 13 August 2013, the supervisory board of Kommunalkredit has appointed Mr. Helmut Urban as member of the management board of Kommunalkredit effective from 1 September Mr. Urban succeeded Mr. Andreas Fleischmann who was member of the management board between February 2009 and August The mandate of Mr. Urban runs until November Simultaneously Mr. Urban has been appointed as member of the management

11 11 board of KA Finanz AG by the supervisory board of KA Finanz AG. B.14 Statement of Dependency Please read Element B.5 together with the information below. Not applicable. The Issuer is not dependant on other companies of the group. B.15 Principal Activities Municipal and Infrastructure-Related Project Solutions The Issuer is a centre of competence for municipal and infrastructure-related project solutions. Following the Amending Decision dated 19 July 2013 taken by the European Commission and the resulting discontinuation of new lending business, the Issuer s activities now focus on the active management of current and committed credit transactions, as well as on the ongoing funding, advisory and structuring business. Its client base comprises municipalities and local authorities, territorial authorities, public-sector enterprises, utlities as well as private infrastructure developers and operators. Kommunalkredit s business segments are (i) social infrastructure: long-term care homes, health-care and educational institutions, (ii) energy and environment: sustainable sources of energy and (iii) transport: commuter transport, road and rail. Kommunalkredit Public Consulting Kommunalkredit Public Consulting (KPC) is a service provider specialising in (i) the management of support programmes, (ii) carbon management and (iii) consultancy services for international organisations and financial institutions. KPC is in charge of the management of the federal environmental support schemes (e.g. Environment and Water Management Fund, Climate- and Energy Funds, Austrian JI/CDM Programme) and acts as partner for public sector clients in Austria and internationally by offering consultancy services for national partners as well as international organisations and financial institutions as well as by identifying and implementing projects, programmes and public support instruments in the infrastructure sector. Risks in connection with the Amending Decision of the European Commission Kommunalkredit is subject to the risk that it may be obliged to repay aid amounts if the Republic of Austria or Kommunalkredit do not comply with certain commitments pursuant to the restructuring decision of the European Commission. Most notably, these commitments include the undertaking of Kommunalkredit to cease any new financing business (on the assets side). These commitments could have an adverse effect on the Issuer s permitted scope of business activities, its ability to conduct business and its results of operations. In addition, pursuant to these commitments the Issuer is prohibited to pay interest on any Supplementary Capital Notes issued under the Programme.

19 19 Furthermore, according to the Amending Decision, Kommunalkredit remains entitled to divest and/or transfer part of its assets and liabilities. Any such divestiture or transfer could be detrimental to the interests of the holders of the Notes and/or have an adverse effect on the Issuer's business, financial condition and results of operations. Also, should the Republic of Austria or Kommunalkredit fail to comply, or not comply in a timely manner, with these commitments, the European Commission could ultimately (after opening a formal investigation procedure) issue a negative decision prohibiting the restructuring aid. As a result, Kommunalkredit would in principle be obliged to repay any remaining aid amounts that were made available by the Republic of Austria within the framework of the restructuring. This could have an adverse effect on Kommunalkredit s business, financial condition and results of operations.
