Debt Issuance Programme Prospectus 31 July 2015 This document constitutes the base prospectus of EWE Aktiengesellschaft in respect of non-equity securities within the meaning of Art. 22 No. 6 (4) of the Commission Regulation (EC) No. 809/2004 of 29 April 2004, as amended (the "Prospectus"), which constitutes a base prospectus for the purposes of Article 5.4 of Directive 2003/71/EC of the European Parliament and the Council of 4 November 2003, as amended, including by Directive 2010/73/EU (the "Prospectus Directive"). EWE Aktiengesellschaft (a stock corporation incorporated under the laws of the Federal Republic of Germany having its corporate seat in Oldenburg, Federal Republic of Germany) 2,000,000,000 Debt Issuance Programme (the "Programme") Application has been made to list notes to be issued under the Programme (the "Notes") on the official list of the Luxembourg Stock Exchange and to admit Notes to trading on the regulated market of the Luxembourg Stock Exchange (as defined below). EWE Aktiengesellschaft (the "Issuer") has requested the Commission de Surveillance du Secteur Financier (the "CSSF") to provide the competent authorities in the Federal Republic of Germany ("Germany") and The Netherlands ("The Netherlands") with a certificate of approval attesting that the Prospectus has been drawn up in accordance with the Loi relative aux prospectus pour valeurs mobilières, as amended (the "Luxembourg Law") which implements the Prospectus Directive into Luxembourg law ("Notification"). The Issuer may request the CSSF to provide competent authorities in additional host Member States within the European Economic Area with a Notification. This Prospectus has been approved by the CSSF which is the Luxembourg competent authority for the purposes of the Luxembourg Law on 31 July 2015, has been filed with said authority and will be published in electronic form on the website of the Luxembourg Stock Exchange (www.bourse.lu) and on the website of EWE Aktiengesellschaft (www.ewe.com). In this Prospectus all references to " ", "EUR" or "euro" are to the currency introduced at the start of the third stage of the European economic and monetary union, and as defined in Article 2 of Council Regulation (EC) No 974/98 of 3 May 1998 on the introduction of the euro, as amended. EWE AG has acquired an additonal 10.52 per cent. share in VNG Verbundnetz Gas Aktiengesellschaft ("VNG"), Leipzig, Germany, from Gazprom Germania GmbH, Berlin, Germany. The governing bodies of EWE AG and Gazprom Germania GmbH have approved the transaction and VNG's Annual General Meeting has granted its approval on 29 July 2015. After the transfer of the shares EWE AG holds approximately 74.2 per cent. of VNG's shares. The Supervisory Board of EWE AG has appointed Michael Heidkamp currently the managing director of Westfalen Weser Energie GmbH & Co. KG as its new Director of Sales and Marketing. Mr Heidkamp is scheduled to assume responsibility for the division at the beginning of autumn 2015, replacing Matthias Brückmann, who will become the new Chief Executive Officer of EWE AG in October 2015. Dependence upon other entities within the group B.15 A description of the issuer s principal activities EWE is a holding company, it depends on the receipt of sufficient funds from its subsidiaries and shareholdings. EWE Group generates and supplies energy (in particular electricity and gas), water and also provides information technology and telecommunications services. It operates in the Ems / Weser / Elbe region of Germany as well as in Lower Saxony and Bremen. The EWE Group s gas operations also extend to eastern Germany, Poland and Turkey. Dezember 2014 hat sich der Zinssatz für Pensionsverpflichtungen, den die Emittentin im Rahmen der Berechnung anzusetzen hatte, erhöht. Die Organe der EWE AG und der Gazprom Germania GmbH haben der Transaktion bereits zugestimmt und die Hauptversammlung der VNG hat ihre Zustimmung am 29. Juli 2015 erteilt. Nach der Aktienübertragung hält die EWE AG 74,2 % der VNG-Aktien. Der Aufsichtsrat der EWE AG hat Michael Heidkamp derzeit noch Geschäftsführer bei Westfalen Weser Energie GmbH & Co.
