2 HISTORIE /HISTORY OF Schmierstofftradition seit 1868 Tradition in lubricants since 1868 Die Tradition der Marke geht zurü ck bis ins Jahr 1868 zu den Herren Clement Leprince und Kommerzienrat Wilhelm Siveke. 1 Sie grü ndeten eine Fabrik fü r Maschinenfett und Maschinenöle und entwickelten die Marke Leprinxol. The history of our brand dates back to Clement Leprince and Kommerzienrat Wilhelm Siveke founded a factory for machine greases and machine oils and developed the brand Leprinxol. Clement Leprince Wilhelm Siveke Der Durchbruch in der Herforder Maschinenfett und Ölfabrik Leprince & Siveke in Herford gelang 1901: Dr. Wilhelm Normann, der seit 1900 die Verantwortung fü r die Geschicke der Firma trug, fand eine Möglichkeit fü r die Härtung von Fetten und schuf damit die Grundlage fü r z.b. die Herstellung von Margarine. Das Dreiphasensystem fl ü ssiges Fett, fester Katalysator, gasförmiger Wasserstoff ist Normanns alleiniges und unbestreitbares Erfi ndergut und verhalf der Margarine- Industrie zu Millionengewinnen, aber ihr Schöpfer hatte zeitweise mit wirtschaftlichen Problemen zu kämpfen was the breakthrough year for Herforder Maschinenfett und Ölfabrik Leprince & Siveke in Herford: Dr. Wilhelm Normann, who joined the company in 1900, found a method to cure greases which was the basis for the production of margarine. Im Frü hjahr 1922 nahm Normann das Angebot der Nachfolger von Leprince & Siveke an, in die Geschäftsfü hrung einzutreten und im gleichen Jahr wurden Aktien zu je Mark begeben. Heute vermarktet und produziert die Gesellschaft Schmierstoffe, Maschinenöle u.ä. unter der Firma Leprinxol GmbH. In the following years, the company converted to a stock corporation. In spring of 1922 Normann accepted the offer from the successors of Leprince & Siveke to join the management team. In the same year 5,000 stocks were transferred per 1,000 DM. Today the company distributes lubricants and machine oils among other products under the name of Leprinxol GmbH. Dr. Wilhelm Normann Das Reinigungsmittel Fewa ist ein weiteres von Dr. Normann entwickeltes Produkt. Die Wissenschaft ehrte ihn durch Verleihung der Liebig-Gedenkmü nze und der Schaffung der Normann-Medaille. Der Kreistag des Kreises Herford beschloss in seiner Sitzung am 19. August 1972 eine Schule nach ihm zu benennen. The cleaning agent Fewa is another product developed by Dr. Normann. Normann was then honoured by lending of the Liebig commemorative coin. 62 Allgemeine Verkaufsbedingungen der Leprinxol GmbH 1 Geltungsbereich (1) Unsere Lieferungen, Leistungen und Angebote erfolgen ausschließlich aufgrund dieser Verkaufsbedingungen. Diese gelten somit ebenfalls für alle künftigen Geschäftsbeziehungen, auch wenn sie nicht nochmals ausdrücklich vereinbart werden. Spätestens mit der Entgegennahme der Ware oder Leistung gelten diese Bedingungen als angenommen. (2) Gegenbestätigungen des Kunden unter Hinweis auf seine Geschäfts- bzw. Einkaufsbedingungen wird hiermit widersprochen. (3) Unsere Verkaufsbedingungen gelten nur gegenüber Unternehmern im Sinne von 310 Abs. 1 BGB. 2 Angebot, Vertragsschluss (1) Unsere Angebote sind freibleibend und unverbindlich. Die Darstellung von Waren im Internet stellte kein Angebot dar, sondern eine unverbindliche Aufforderung an den Kunden, zu bestellen. (2) Mit der Bestellung der gewünschten Ware erklärt der Kunde verbindlich sein Vertragsangebot. Ein Vertrag kommt erst mit Zugang unserer schriftlichen oder fernschriftlichen Auftragsbestätigung zustande. (3) Der Vertragsschluss erfolgt unter dem Vorbehalt der richtigen und rechtzeitigen Selbstbelieferung durch unsere Zulieferer. Dies gilt nur für den Fall, dass die Nichtlieferung nicht von uns zu vertreten ist, insbesondere bei Abschluss eines kongruenten Deckungsgeschäftes mit unserem Zulieferer. Der Kunde wird über die Nichtverfügbarkeit der Leistung unverzüglich informiert. Die Gegenleistung wird unverzüglich zurückerstattet. (4) Zeichnungen, Abbildungen, Maße, Gewichte oder sonstige Leistungsdaten sind nur verbindlich, soweit sie in der technischen Produktbeschreibung enthalten sind. (5) Technische sowie sonstige Änderungen in Form, Farbe und Gewicht bleiben im Rahmen des Zumutbaren vorbehalten. (6) An Abbildungen, Zeichnungen, Kalkulationen und sonstigen Unterlagen auch in elektronischer Form behalten wir uns Eigentums- und Urheberrechte vor. Dies gilt insbesondere für solche Unterlagen, die als vertraulich bezeichnet sind. Vor ihrer Weitergabe an Dritte bedarf der Kunde unserer ausdrücklichen schriftlichen Zustimmung. 3 Lieferung, Gefahrübergang (1) Liefertermine oder -fristen, sind nur verbindlich, wenn sie von uns schriftlich oder fernschriftlich bestätigt werden. Unsere Lieferzeitangaben sind grundsätzlich keine Fixtermine ( 323 Abs. 2 Nr. 2 BGB, 376 HGB). (2) Wir sind zu Teillieferungen und Teilleistungen jederzeit berechtigt, es sei denn die Teillieferung oder Teilleistung ist für den Kunden nicht zumutbar. (3) Die Einhaltung unserer Liefer- und Leistungsverpflichtungen setzt die rechtzeitige und ordnungsgemäße Erfüllung der Verpflichtungen des Kunden voraus. (4) Liefer- und Leistungsverzögerungen aufgrund höherer Gewalt und aufgrund von Ereignissen, die uns die Lieferung nicht nur vorübergehend wesentlich erschweren oder unmöglich machen hierzu gehören insbesondere Streik, Aussperrung, behördliche Anordnungen usw., auch wenn sie bei unseren Lieferanten oder deren Unterlieferanten oder bei anderen von uns zur Erfüllung unserer vertraglichen Pflichten beauftragten Dritten eintreten haben wir auch bei verbindlich vereinbarten Fristen und Terminen nicht zu vertreten. Sie berechtigen uns, die Lieferung bzw. Leistung um die Dauer der Behinderung zuzüglich einer angemessenen Anlaufzeit hinauszuschieben oder wegen des noch nicht erfüllten Teils ganz oder teilweise vom Vertrag zurückzutreten. (5) Wenn die Behinderung länger als drei Monate dauert, ist der Kunde nach angemessener Nachfristsetzung berechtigt, hinsichtlich des noch nicht erfüllten Teils vom Vertrag zurückzutreten. Verlängert sich die Liefer- oder Leistungszeit oder werden wir von unserer Verpflichtung frei, so kann der Kunde hieraus keine Schadensersatzansprüche herleiten. Auf die genannten Umstände können wir uns nur berufen, wenn wir den Kunden unverzüglich benachrichtigten. 4 Gefahrübergang Die Gefahr des zufälligen Untergangs und der zufälligen Verschlechterung der Ware geht auf den Kunden mit der Übergabe über. Beim Versendungskauf geht die Gefahr über, sobald die Sendung an die den Transport ausführende Person übergeben worden ist oder zwecks Versendung unser Lager verlassen hat. Wird der Versand auf Wunsch des Kunden verzögert, geht die Gefahr mit der Meldung der Versandbereitschaft auf ihn über. 5 Preise, Zahlungsbedingungen (1) Wir behalten uns das Recht vor, unsere Preise entsprechend zu ändern, wenn nach Abschluss des Vertrages Kostensenkungen oder Kostenerhöhungen, insbesondere aufgrund von Tarifabschlüssen oder Materialpreisänderungen, eintreten. Dies werden wir dem Kunden auf Verlangen nachweisen. Auch, wenn sich nach Vertragsschluss öffentliche Abgaben und/oder Steuern auf die Ware ändern bzw. solche neu erhoben werden, werden die vereinbarten Preise entsprechend angepasst. (2) Dasselbe gilt, wenn sich die Kosten für Verladung und Versand der Ware aus von uns nicht zu vertretenden Gründen erhöhen (z.b. durch Kleinwasser-, Eiszuschlag, Überliegegelder, Standgelder, Frachtenerhöhung). (3) Der Abzug von Skonto bedarf besonderer schriftlicher Vereinbarung. (4) Es gelten die gesetzlichen Regeln betreffend die Folgen des Zahlungsverzugs. (5) Aufrechnungsrechte stehen dem Kunden nur zu, wenn seine Gegenansprüche rechtskräftig festgestellt, unbestritten oder von uns anerkannt sind. Außerdem ist er zur Ausübung eines Zurückbehaltungsrechts insoweit befugt, als sein Gegenanspruch auf dem gleichen Vertragsverhältnis beruht. (6) Wir sind berechtigt, trotz anders lautender Bestimmungen des Kunden Zahlungen zunächst auf dessen ältere Schulden anzurechnen. Wir werden den Kunden über die Art der erfolgten Verrechnung informieren. Sind bereits Kosten und Zinsen entstanden, so sind wir berechtigt, die Zahlung zunächst auf die Kosten, dann auf die Zinsen und zuletzt auf die Hauptleistung anzurechnen. 7 Eigentumsvorbehalt (1) Wir behalten uns das Eigentum an der Ware bis zum Eingang aller Zahlungen aus der Geschäftsbeziehung mit dem Kunden vor. Bei vertragswidrigem Verhalten des Kunden, insbesondere bei Zahlungsverzug, sind wir berechtigt, die Ware zurückzunehmen. In der Zurücknahme der Ware durch uns liegt ein Rücktritt vom Vertrag. Wir sind nach Rücknahme der Ware zu deren Verwertung befugt, der Verwertungserlös ist auf die Verbindlichkeiten des Kunden abzüglich angemessener Verwertungskosten anzurechnen. (2) Bei Pfändungen oder sonstigen Eingriffen Dritter hat uns der Kunde unverzüglich schriftlich zu benachrichtigen, damit wir Klage gemäß 771 ZPO erheben können. Soweit der Dritte nicht in der Lage ist, uns die gerichtlichen und außergerichtlichen Kosten einer Klage gemäß 771 ZPO zu erstatten, haftet der Kunde für den uns entstandenen Ausfall. (3) Der Kunde ist berechtigt, die Ware im ordentlichen Geschäftsgang weiter zu verkaufen; er tritt uns jedoch bereits jetzt alle Forderungen in Höhe des Faktura-Endbetrages (einschließlich MwSt.) unserer Forderung ab, die ihm aus der Weiterveräußerung gegen seine Abnehmer oder Dritte erwachsen, und zwar unabhängig davon, ob die Ware ohne oder nach Verarbeitung weiter verkauft worden ist. Zur Einziehung dieser Forderung bleibt der Kunde auch nach der Abtretung ermächtigt. Unsere Befugnis, die Forderung selbst einzuziehen, bleibt hiervon unberührt. Wir verpflichten uns jedoch, die Forderung nicht einzuziehen, solange der Kunde seinen Zahlungsverpflichtungen aus den vereinnahmten Erlösen nachkommt, nicht in Zahlungsverzug gerät und insbesondere kein Antrag auf Eröffnung eines Vergleichs- oder Insolvenzverfahrens gestellt ist oder Zahlungseinstellung vorliegt. Ist aber dies der Fall, so können wir verlangen, dass der Kunde uns die abgetretenen Forderungen und deren Schuldner bekannt gibt, alle zum Einzug erforderlichen Angaben macht, die dazugehörigen Unterlagen aushändigt und den Schuldnern (Dritten) die Abtretung mitteilt. 9 Haftung, Geheimhaltung (1) Wir haften nach den gesetzlichen Bestimmungen, sofern der Kunde Schadensersatzansprüche geltend macht, die auf Vorsatz oder grober Fahrlässigkeit, einschließlich von Vorsatz oder grober Fahrlässigkeit unserer Vertreter oder Erfüllungsgehilfen beruhen. Soweit uns keine vorsätzliche Vertragsverletzung angelastet wird, ist die Schadensersatzhaftung auf den vorhersehbaren, typischerweise eintretenden Schaden begrenzt. (2) Wir haften nach den gesetzlichen Bestimmungen, sofern wir schuldhaft eine wesentliche Vertragspflicht verletzen; in diesem Fall ist aber die Schadensersatzhaftung auf den vorhersehbaren, typischerweise eintretenden Schaden begrenzt. (3) Die Haftung wegen schuldhafter Verletzung des Lebens, des Körpers oder der Gesundheit bleibt unberührt; dies gilt auch für die zwingende Haftung nach dem Produkthaftungsgesetz. (4) Wir haften nur für eigene Inhalte auf der Website. Soweit wir mit Links den Zugang zu anderen Websites ermöglicht, sind wir für die dort enthaltenen fremden Inhalte nicht verantwortlich. Wir machen uns die fremden Inhalte nicht zu eigen. Sofern wir Kenntnis von rechtswidrigen Inhalten auf externen Websites erhalten, werden wir den Zugang zu diesen Seiten sperren. (5) Soweit nicht vorstehend etwas Abweichendes geregelt ist, ist unsere Haftung ausgeschlossen. (6) Die vorstehenden Haftungsbefreiungen und beschränkungen gelten auch für außer-vertragliche Ansprüche und soweit der Kunde anstelle eines Anspruchs auf Ersatz des Schadens gemäß 284 BGB statt der Leistung Ersatz vergeblicher Aufwendungen verlangt. 10 Rücktritt, Kündigung (1) Wir haben das Recht, ganz oder teilweise vom Vertrag zurückzutreten, wenn der Kunde die Eröffnung des Insolvenzverfahrens beantragt oder das Insolvenzverfahren über das Vermögen des Kunden eröffnet wird, uns bekannt wird, dass der Kunde bei Vertragsabschluss als kreditunwürdig eingestuft wurde oder der Kunde seinen Geschäftsbetrieb einstellt. (2) Bei Dauerlieferverhältnissen tritt an die Stelle des Rücktrittsrechts das Recht zur außerordentlichen fristlosen Kündigung. 11 Anzuwendendes Recht, Erfüllungsort, Gerichtsstand (1) Für diese Geschäftsbedingungen und die gesamten Rechtsbeziehungen zwischen dem Kunden und uns gilt das Recht der Bundesrepublik Deutschland. Die Bestimmungen des UNKaufrechts finden keine Anwendung. (2) Erfüllungsort für alle Lieferungen und Leistungen ist unsere Lieferstelle. Dies gilt auch für frachtfreie Lieferungen. (3) Soweit der Kunde Kaufmann, juristische Person des öffentlichen Rechts oder öffentlich-rechtliches Sondervermögen ist, ist unser Geschäftssitz ausschließlicher Gerichtsstand für alle sich aus dem Vertragsverhältnis unmittelbar oder mittelbar ergebenden Streitigkeiten. (4) Sollte eine Bestimmung in diesen Geschäftsbedingungen oder eine Bestimmung im Rahmen sonstiger Vereinbarungen unwirksam sein oder werden, so wird hiervon die Wirksamkeit aller sonstigen Bestimmungen oder Vereinbarungen nicht berührt. (4) Die Verarbeitung oder Umbildung der Ware durch den Kunden wird stets für uns vorgenommen. Wird die Ware mit anderen, uns nicht gehörenden Gegenständen verarbeitet, so erwerben wir das Miteigentum an der neuen Sache im Verhältnis des Wertes der Ware (Faktura-Endbetrag, einschließlich MwSt.) zu den anderen verarbeiteten Gegenständen zur Zeit der Verarbeitung. Für die durch Verarbeitung entstehende Sache gilt im Übrigen das Gleiche wie für die unter Vorbehalt gelieferte Ware. (5) Wird die Ware mit anderen, uns nicht gehörenden Gegenständen untrennbar vermischt, so erwerben wir das Miteigentum an der neuen Sache im Verhältnis des Wertes der Ware (Faktura- Endbetrag, einschließlich MwSt.) zu den anderen vermischten Gegenständen zum Zeitpunkt der Vermischung. Erfolgt die Vermischung in der Weise, dass die Sache des Kunden als Hauptsache anzusehen ist, so gilt als vereinbart, dass der Kunde uns anteilmäßig Miteigentum überträgt. Der Kunde verwahrt das so entstandene Alleineigentum oder Miteigentum für uns. (6) Der Kunde tritt uns zur Sicherung unserer Forderungen gegen ihn die Forderungen ab, die durch die Verbindung der Ware mit einem Grundstück gegen einen Dritten erwachsen. (7) Wir verpflichten uns, die uns zustehenden Sicherheiten auf Verlangen des Kunden insoweit freizugeben, als der realisierbare Wert unserer Sicherheiten die zu sichernden Forderungen um mehr als 10 % übersteigt; die Auswahl der freizugebenden Sicherheiten obliegt uns. 8 Beschaffenheit der Ware, Mängelansprüche (1) Als Beschaffenheit der Ware gelten grundsätzlich nur die Eigenschaften als vereinbart, die aus der technischen Produktbeschreibung hervorgehen. Öffentliche Äußerungen, Anpreisungen oder Werbung enthalten keine verbindliche Beschreibung der vereinbarten Beschaffenheit der Ware. Wirtschaftlichkeitsberechnungen und darin enthaltene Ertragsprognosen stellen lediglich Berechnungsbeispiele dar und sind unverbindlich. (2) Wir geben gegenüber dem Kunden keine Garantien im Rechtssinne ab. Herstellergarantien bleiben hiervon unberührt. (3) Die Verjährungsfrist für Mängelansprüche beträgt 12 Monate, gerechnet ab Gefahrenübergang. (4) Die Verjährungsfrist im Fall eines Lieferregresses nach den 478, 479 BGB bleibt unberührt; sie beträgt fünf Jahre, gerechnet ab Ablieferung der mangelhaften Sache. (5) Mängelansprüche des Kunden setzen voraus, dass dieser seinen nach 377 HGB geschuldeten Untersuchungs- und Rügeobliegenheiten ordnungsgemäß nachgekommen ist. (6) Beanstandungen müssen uns gegenüber unverzüglich, spätestens jedoch 7 Kalendertage nach Ablieferung (offene Mängel) oder Entdeckung des Mangels schriftlich mitgeteilt werden. Zur Fristwahrung genügt die rechtzeitige Absendung. Andernfalls ist die Geltendmachung von Mängelansprüchen ausgeschlossen. Beanstandungen, die die Beschaffenheit betreffen, setzen zudem voraus, dass der Kunde ein 2-kg/l-Muster der gelieferten Ware gezogen hat und wir uns von der ordnungsgemäßen Durchführung der Probenentnahme gemäß den einschlägigen Normen überzeugen konnte oder uns die Gelegenheit gegeben wurde, die Probe selbst zu ziehen. (7) Soweit ein Mangel der Ware vorliegt, sind wir nach unserer Wahl zur Nacherfüllung in Form einer Mangelbeseitigung oder zur Lieferung einer neuen mangelfreien Sache berechtigt. Im Fall der Mangelbeseitigung sind wir verpflichtet, alle zum Zweck der Mangelbeseitigung erforderlichen Aufwendungen, insbesondere Transport-, Wege-, Arbeits- und Materialkosten zu tragen, soweit sich diese nicht dadurch erhöhen, dass die Ware nach einem anderen Ort als dem Erfüllungsort verbracht wurde. (8) Schlägt die Nacherfüllung fehl, so ist der Kunde nach seiner Wahl berechtigt, Rücktritt oder Minderung zu verlangen. Februar

In cases of doubt, the German version shall prevail.) 1 Scope (1) Our deliveries, performances and offers are exclusively based on these terms of business. Therefore these terms and conditions are also valid for all future business relations, as well if they are not expressly agreed again. Conditions of the customer are not recognised by us, as far as they deviate from our conditions. Herewith counter confirmations of the customer, in particular to his advices to own terms of business, is contradicted. At the latest with the acceptance of our product or other performances these conditions are valid as accepted. (2) Divergences of these terms of business are only effective if they are confirmed in writing. (3) Changes of our general terms and conditions are valid for every contract from introduction of the change. 2 Conclusion of the contract (1) Our offers are not binding and are non-binding for repeat orders. (2) Our employees in the field service are only entitled to conclusions of the contract and to the collection with our written authority. (3) All samples, tests, analysis dates as well as advertising tips give only non-binding instructions to the average state of the product, unless certain qualities are expressly agreed as an owed state of the product between the parties. The acquisition of such guarantees about the state and durability of the product needs to her effectiveness of the written form. 3 Prices (1) As far as no price is agreed, the calculation follows to in the delivery day for the delivered and taken amount with us to valid prices. (10) We stick for the observance of delivery deadlines or a certain entrance temperature only with explicit commitment and as far as to us a fault hits. (11) The customer sticks to us for the observance from him and his buyers to customs and tax on oil regulations to be noticed as well as for the purveyance and preservation of the necessary publicly juridical licences. (2) Tests are valid only as a proof of the actual qualities of the complained product if opportunity is given us to persuade us of a flawless test withdrawal. (4) If we are not able for the shortage removal or spare delivery or this is out of proportion financially or is delayed this after adequate periods which we have to represent or she misses in other manner, the customer is entitled after his choice to require decrease or to withdraw from the contract. (5) Guarantee claims come under the statute of limitations within one year after which the customer has received the product, untill compelling legally differently regulated, in particular not compelling a consumer goods purchase is given, as well as for the damages called in paragraph 8. (6) With other claims of the customer we stick for an easy carelessness only by injury of contract-essential duties and limits to the typical and predictable damage and the restriction on the typical and predictable damage is also valid if our liability is based on roughly negligent behaviour of our agents., For the rest, we stick by contract and external-by contract only for deliberate and roughly negligent breaches of duty. The called exclusions of liability and restrictions are also valid for the personal liability of our statutory agents, agent and assistant. (7) Paragraph 6 is not valid for such damages which are based on the culpable injury of the life, the body or the health as well as for claims from 1, 4 product liability laws. (8) From us if we stick damages to be performed to be performed limits itself to typical with the conclusion of the contract predictable and exclusively the direct damage which corresponds at most to the triple value of the delivery. 7 Retention of title (1) We reserve ourselves the property in the purchase case up to the payment of ours to all demands against the customer and with him affiliated company for the purposes of 15 following companies act. The setting of single demands in a current invoice as well as the balance drawing and their recognition does not touch the retention of title. With behaviour contrary to the contract of the customer, in particular with default, we are entitled to withdraw from the contract; in this case the customer is obliged to return all reservation product located in his possession immediately on his expenses to one of our departure warehouses. The customer permits to us for the case of the resignation already today an unchecked entrance of his or rented by him, leasehold or otherwise used property. In the withdrawal of the purchase case by us lies a resignation of the contract. We are authorised after taking back of the purchase case to their realisation. The realisation proceeds are to be credited on the liabilities of the customer less adequate administrative costs. (2) The customer is obliged to treat devotedly the purchase case, to mark and if necessary to insure at own expenses against fires, waters and theft damages enough to the replacement value. He may process them, mix or use, as long as he is not in the default. He is not entitled to the Verpfändung or protective conveyance. (3) With seizures or other interventions of third the customer has to inform us immediately in writing, so that we can lodge complaint according to 771 civil process order. As far as the third is not able to refund for us the judicial and extrajudicial expenses of a charge according to 771 civil process order, the customer sticks for the resulted financial loss. (4) The property in the delivered product passes over only after entire payment of ours to all demands against the customer and against in him affiliated company after 15 following companies act on the customer. (5) The customer is entitled to resell the product standing in our property (reservation product) in the well-arranged routine. Nevertheless, he already resigns now all demands by height / of the invoice amount / amounts of our demands which arise to him from the wide disposal against buyers or third namely independently whether the purchase case has been resold without or with processing. For the collection of this demand the customer remains authorised also after assignment. Our right to draw the demand independently remains untouched. Nevertheless, we undertake not to draw the demand, as long as the customer to his bills of debt from the taken in proceeds follows, is not in the default and is put in particular no application for opening insolvency proceedings or a bankruptcy is given. If this is the case, we can require that the customer announces to us the resigned demands and the debtors, everybody the move makes to essential informations, the matching bases publishes and the debtors (third) informs of the assignment. (6) If the purchase case with others, us does not acquire to belonging objects inseparably mixed, so we the joint ownership in the new case comparatively of the objective value of our purchase case to other mixed objects at the time of the mixture. If the mixture follows in the manner that the case of the customer is to be looked as a central issue, is valid as agreed that the customer transfers to us according to interest joint ownership. The customer keeps the resulted Only or joint ownership for us. 8 Securities (1) We are to be required any time, also for conclusion of the contract entitled, for the protection of our demands, also of the not yet due ones, a sufficient margin and to make other advance performances on our part from this dependent. This is valid in particular if doubts about the credit standing of the customers, untercover or liquidity gaps appear etc. or the original credit volume increases. (2) If our terms of payment are not fulfilled, we can require for other deliveries payments in advance or raise the equivalent by cash on delivery. Moreover, we are entitled, without it requires a reminder or settlement of an extension to refuse the delivery regardless of our other legal rights for the duration of the arrears and to stroke become due deliveries and / or the whole rest amount of the conclusion / or during this time and to give notice completely / or the existing contracts. (3) The same one is valid if with the customer events enter which demonstrate his credit rating in question, or to us such circumstances available before conclusion of the contract become known only afterwards. (4) We undertake to release in this respect the being entitled securities including the securities from the retention of title on demand of the customer when the realizable value of our securities exceeds the demands to be protected about more than 20%. The choice of the securities to be released is incumbent upon us. 9 Payment (1) Provided that nothing else is agreed, the invoice amount is due without deduction with the delivery. The day of the delivery of the product is valid at the same time as an invoice date and is authoritative for the calculation of the respites. The payment is lawful only if we can dispose of the equivalent with validity in the day of maturity stated on the invoice on our bank account. On not timely payment interest by height of the bank-customary interest rate for grant of credit, at least however, 5% about the respective base interest rate announced by the German Central Bank becomes calculated. With the acts of legal significance in which a consumer is not involved the interest rate for remuneration demands amounts to 8% about the base interest rate. (2) Practised or for an unlimited period agreed payment aims we can recant any time with adequate period. We are entitled to settle up part deliveries as separate shops. (3) If we have agreed with the customer for the collection of the demand on a debit note procedure, e.g., on grounds of a debit entry order or a direct-debit authorisation, and this misses on grounds of a fact which is to be represented by the customer, all rest demands from the business relation become due between us and the customer immediately. (4) A deduction of cash discount needs more specially written arrangement. (5) Compensation right are entitled to the customer only if his counterclaims are ascertained legally, are recognised indisputable or from us. He is authorised to the exercise of a right of retention if his counterclaim is based on the same contractual relationship. (6) Objections of the customer or differences of opinion of some kind justify no performance refusal right. We accept change and cheques only paymenthalf. Change only according to the special arrangement and we can require cash payment, nevertheless, any time again. 10 resignation, termination (1) We have the right to rescind the contract in whole or in part if: - the customer requests the opening of insolvency proceedings or insolvency proceedings are initiated on the assets of the customer, - we become aware that the customer was classified as unworthy of credit upon conclusion of the contract or - the customer stops his business. (2) In the case of permanent delivery contracts, the right of withdrawal shall be replaced by the right to extraordinary termination without notice. 11 Complementary regulations (1) Only German right is always applicable. The juridical ineffectiveness of single provisions of a contract does not touch the effectiveness of the contract, for the rest. (2) Place of delivery for the delivery including the freight-free is the seat of our plant of delivery or departure warehouse. Place of delivery for all remaining performances including payments and exclusive jurisdiction for both shares is Bremen. Nevertheless, we are also entitled to sue the customer in his residence / business location or branch seat.
