Best possible insulation of the leg area with this one. Vantages: - No more cold feet - No draft and no infiltration of cold air into the leg area - Better use of the car-heating in the leg area - Excellent sound insulation - Good looking - No loose cables viewable - The insulation can be easily remoted Installation example for a Fiat : The foot area insulation get s assembled once and remains while driving. The insulation gets fixed by a hook and loop tape at the bottom side of the dashboard. The mat gets drawn behind the steering column. After that the mat gets extanded on the floor and fixed under the right and left wheelhouse band. Assembly instruction and fastening fixtures for your car are included. Material: Special insulating foam which is ca. 1 cm thick. The inner site is grey velour. The outer site is an aluminium foil which works as a vapour barrier. 30 19. General terms and conditions Allgemeine Geschäftsbedingungen I. Verkaufsbedingungen 1 Vertragsabschluss (1) In Prospekten, Anzeigen usw. enthaltene Angebote sind auch bezüglich der Preisangaben freibleibend und unverbindlich. An individuell ausgearbeitete Angebote ist die Fa. KANTOP-ISOMATTEN eine Woche gebunden. (2) Bestellungen werden nur verbindlich, falls die Fa. KANTOP-ISOMATTEN sie bestätigt oder ihnen durch Übersendung des Vertragsgegenstandes nachkommt. Lehnt die Fa. KANTOP-ISOMATTEN die Annahme nicht binnen einer Woche nach Bestelldatum ab, so gilt die Bestätigung als erteilt und der Kaufvertrag als geschlossen. Maßgebliches Bestelldatum ist die mündliche oder schriftliche Abgabe des Angebots, bei Abgabe unter Abwesenden die Aufgabe zur Post bzw. die sonstige Absenderhandlung (z.b. die Absendung eines Fax oder einer ). (3) Sämtliche Vereinbarungen sind zu Beweiszwecken schriftlich niederzulegen. Dies gilt auch für Nebenabreden, Zusicherungen sowie für nachträgliche Vertragsänderungen. 2 Preise, Preisänderungen (1) Die Preise schließen die gesetzliche Umsatzsteuer ein. (2) Die Preise schließen eine kostenlose Fracht bis zum Bestimmungsort im Inland aus, zusätzliche Frachtkosten bei Versendung ins Ausland trägt ebenfalls der Kunde. Auslandslieferungen erfolgen nur gegen Vorauskasse. Frachtkosten, auch Rücksendungen trägt der Kunde. (3) Soweit zwischen Vertragsschluss und vereinbartem und/oder tatsächlichem Lieferdatum mehr als 6 Monate liegen, gelten die zur Zeit der Lieferung oder Bereitstellung gültigen Preise der Fa. KANTOP-ISOMATTEN; übersteigen die letztgenannten Preise die zunächst vereinbarten um mehr als 6%, so ist der Käufer berechtigt, vom Vertrag zurückzutreten. 3 Lieferzeiten und Abnahme (1) Liefertermine oder fristen, die verbindlich oder unverbindlich vereinbart werden können, bedürfen der Schriftform. (2) Bei Vorliegen von durch die Fa. KANTOP-ISOMATTEN zu vertretenden Lieferverzögerungen wird die Dauer der vom Käufer gesetzlich zu setzenden Nachfrist auf zwei Wochen festgelegt. Die Frist beginnt mit Eingang der schriftlichen Nachfristsetzung bei der Fa. KANTOP-ISOMATTEN. (3) Nimmt der Kunde den Kaufgegenstand nicht fristgemäß ab, ist die Fa. KANTOP-ISOMATTEN berechtigt, ihm eine angemessene Nachfrist zu setzen, nach deren Ablauf anderweitig über den Kaufgegenstand zu verfügen und den Kunden mit angemessen verlängerter Nachfrist zu beliefern. Unberührt bleiben davon die Rechte der Fa. KANTOP-ISOMATTEN, nach Nachfristsetzung mit Ablehnungsandrohung ( 326 BGB) vom Vertrag zurückzutreten oder Schadenersatz wegen Nichterfüllung zu verlangen. 4 Versand und Gefahrübergang (1) Die Gefahr geht mit Übergabe des Kaufgegenstandes auf den Käufer über. Bei Versendung des Kaufgegenstandes erfolgt der Gefahrübergang mit Übergabe der Sendung an die den Transport ausführende Person bzw. zu dem Zeitpunkt, in dem die Sendung die Räumlichkeiten der Fa. KANTOP-ISOMATTEN zwecks Versendung verlassen hat. Wird der Versand auf Wunsch des Käufers verzögert, geht die Gefahr mit der Meldung der Versandbereitschaft auf den Kunden über. (2) Auf Wunsch des Käufers wird der Kaufgegenstand in seinem Namen und auf seine Rechnung versichert. 5 Gewährleistung und Haftung (1) Ist die gelieferte Ware mangelhaft, fehlen ihr zugesicherte Eigenschaften oder wird sie innerhalb der Gewährleistungsfrist durch Fabrikations- oder Materialmängel schadhaft, liefert die Fa. KANTOP-ISOMATTEN nach seiner Wahl unter Ausschluss sonstiger Gewährleistungsrechte des Käufers Ersatz oder bessert nach. Mehrfache Nachbesserungen sind zulässig. (2) Die Gewährleistungsfrist auf eigene Produkte beträgt 24 Monate und beginnt mit dem Datum der Übergabe bzw. der Auslieferung des Kaufgegenstandes an den Kunden. Bei Handelsware gelten die jeweiligen Garantiebestimmungen der Vorlieferanten. Werden Gewährleistungsansprüche geltend gemacht, so müssen diese durch Vorlage der Rechnung oder anderer Kaufbelege glaubhaft gemacht werden. (3) Von jeglicher Gewährleistung ausgeschlossen sind Fehler, die durch Beschädigung, falschen Anschluss oder falsche Bedienung durch den Kunden verursacht werden sowie Schäden durch höhere Gewalt, z.b. Blitzschlag, Sturm, Hagel, Mängel durch Verschleiß bei Überbeanspruchung mechanischer oder elektromechanischer Teile durch nichtbestimmungsgemäßen Gebrauch oder Mängel durch Verschmutzung und Schäden durch außergewöhnliche mechanische, chemische oder atmosphärische Einflüsse. (4) Offensichtliche Mängel müssen der Fa. KANTOP-ISOMATTEN unverzüglich, spätestens jedoch innerhalb von zwei Wochen nach Übergabe bzw. Lieferung der Ware schriftlich mitgeteilt werden. Die mangelhaften gelieferten Waren sind in dem Zustand, in dem sie sich im Zeitpunkt der Entdeckung des Mangels befinden, zur Besichtigung durch die Fa. KANTOP-ISOMATTEN bereit zu halten. Ein Verstoß gegen die vorstehenden Verpflichtungen schließt jedwede Gewährleistungsansprüche gegenüber der Fa. KANTOP-ISOMATTEN aus. (5) Schlägt im Fall einer Mangelhaftigkeit der Ware gemäß Ziff. 1 die Nachbesserung oder Ersatzlieferung nach angemessener Frist fehl, kann der Käufer nach seiner Wahl Herabsetzung des Kaufpreises oder Rückgängigmachung des Vertrages verlangen. (6) Die vorstehenden Regelungen dieses Paragraphen gelten nicht für Gebrauchtteile. Diese werden, soweit nichts Abweichendes vereinbart ist, unter dem Ausschluss jeglicher Gewährleistung geliefert. (7) Schadensersatzansprüche aus Unmöglichkeit der Leistung, wegen Nichterfüllung, aus positiver Forderungsverletzung, aus Verschulden bei Vertragsschluss und aus unerlaubter Handlung sind sowohl gegen die Fa. KANTOP-ISOMATTEN als auch gegen seine Erfüllungs- und Verrichtungsgehilfen ausgeschlossen, soweit der Schaden nicht vorsätzlich oder grob fahrlässig verursacht wurde. Dies gilt nicht für Schadensersatzansprüche aus Eigenschaftszusicherungen, die den Käufer gegen das Risiko von Mangelfolgeschäden absichern sollen. (8) Die Haftungsbeschränkung in Ziff. 8, Satz 1 findet keine Anwendung, soweit eine Pflicht verletzt wird, deren Einhaltung für die Erreichung des Vertragszwecks von besonderer Bedeutung ist (Kardinalpflicht). 6 Eigentumsvorbehalt (1) Bis zur Erfüllung aller Forderungen, die der Fa. KANTOP-ISOMATTEN aus der Geschäftsverbindung mit dem Käufer jetzt oder künftig zustehen, behält sich die Fa. KANTOP-ISOMATTEN das Eigentum an den gelieferten Waren vor (Vorbehaltsware). Der Käufer darf über die Vorbehaltsware nicht verfügen. (2) Übersteigt der Wert der Sicherheiten die Forderung der Fa. KANTOP-ISOMATTEN um mehr als 20%, so wird er auf Verlangen des Käufers nach seiner Wahl Sicherheiten freigeben. (3) Bei Zugriffen Dritter insbesondere durch Gerichtsvollzieher auf die Vorbehaltsware wird der Käufer auf das Eigentum der Fa. KANTOP-ISOMATTEN hinweisen und diesen unverzüglich benachrichtigen. (4) Bei vertragswidrigem Verhalten des Käufers insbesondere bei Zahlungsverzug ist der Verkäufer berechtigt, vom Vertrag zurückzutreten und die unverzügliche Herausgabe des Kaufgegenstandes zu verlangen. Die Kosten der Rücknahme und der anderweitigen Verwertung des Kaufgegenstandes trägt der Käufer. 7 Zahlung (1) Die Bezahlung des Kaufpreises erfolgt in bar, per Nachnahme oder auf Rechnung wobei die vereinbarte Zahlungsart auf dem Bestellformular eingetragen wird. (2) Bei Bezahlung per Nachnahme entstehen die derzeit geltenden Nachnahmegebühren. (3) Die anfallenden Versandkosten trägt der Käufer. (4) Die Ablehnung von Schecks und Wechseln behält sich die Fa. KANTOP-ISOMATTEN ausdrücklich vor. (5) Der Käufer ist zur Aufrechung nur berechtigt, wenn die Gegenforderung unbestritten oder rechtskräftig festgestellt ist. II. Leistungs- und Reparaturbedingungen 1 Auftragserteilung (1) 1 Ziff. 1 der Verkaufsbedingungen findet entsprechende Anwendung. (2) Die Durchführung von Reparaturen oder Umbaumaßnahmen findet je nach Art der durchzuführenden Maßnahme oder des Defektes durch die Fa. KANTOP-ISOMATTEN oder durch von diesem hinzugezogene Dritte insbesondere den Hersteller statt. 2 Preise und Zahlung (1) 2 Ziff. 1 und Ziff. 2 der Verkaufsbedingungen findet entsprechende Anwendung. Die Vergütung der Leistungen ist bei Abnahme fällig (2) Da Fehlersuchzeit Arbeitszeit ist, wird der entstandene und zu belegende Aufwand dem Kunden auch dann in Rechnung gestellt, wenn ein Auftrag nicht durchgeführt werden kann, weil der beanstandete Fehler unter Beachtung der Regeln der Technik nicht festgestellt werden konnte oder der Auftrag während der Durchführung zurückgezogen wurde. (3) Wird im Auftrag des Kunden ein Kostenvoranschlag erstellt, so sind die Kosten entsprechend Zeitaufwand vom Kunden zu erstatten. 3 Termine (1) Der vereinbarte Liefer- und Fertigstellungstermin ist nur dann verbindlich, wenn die Einhaltung nicht durch Umstände, die der Fa. KANTOP-ISOMATTEN oder der gemäß 1 Ziff. 2 eingeschaltete Dritte nicht zu vertreten hat, unmöglich gemacht wird. (2) 3 Ziff. 2 der Verkaufsbedingungen findet entsprechende Anwendung. 4 Gewährleistung für Reparaturen und Haftung (1) Die Gewährleistungsfrist beträgt 6 Monate für alle Arbeitsleistungen der Fa. KANTOP-ISOMATTEN sowie für von ihm eingebautes Material. (2) Zur Mängelbeseitigung hat der Kunde der Fa. KANTOP-ISOMATTEN die nach billigem Ermessen erforderliche Zeit und Gelegenheit zu gewähren. Der Kunde hat insbesondere dafür Sorge zu tragen, dass der beanstandete Gegenstand zur Untersuchung und Durchführung der Reparatur der Fa. KANTOP-ISOMATTEN oder dessen Beauftragen zur Verfügung steht. (3) 5 Ziff. 3, 4, 7 und 8 der Verkaufsbedingungen finden bei Arbeitsleistungen der Fa. KANTOP-ISOMATTEN entsprechende Anwendung; im Fall der Ziff. 4 ist maßgeblicher Zeitpunkt für den Fristbeginn die Abnahme der durchgeführten Leistung. Soweit die Fa. KANTOP-ISOMATTEN oder seine Erfüllungsgehilfen im Rahmen der Durchführung der beauftragten Leistungen ein vorwerfbares Verschulden bezüglich einer Beschädigung des beanstandeten bzw. umzubauenden Gegenstandes trifft, ist er insoweit zur kostenfreien Instandsetzung verpflichtet. Ist dieses unmöglich, mit unverhältnismäßig hohem Kostenaufwand verbunden, oder bei Verlust des beanstandeten bzw. umzubauenden Gegenstandes, ist der Wiederbeschaffungswert zu ersetzen. 5 Eigentumsvorbehalt (1) Soweit die anlässlich von Reparaturen oder Umbaumaßnahmen eingefügten Teile o.ä. nicht wesentliche Bestandteile werden, behält sich die Fa. KANTOP-ISOMATTEN das Eigentum an diesen Teilen bis zum Ausgleich aller Forderungen der Fa. KANTOP-ISOMATTEN aus dem Vertrag vor. (2) 6 Ziff. 2 und 3 der Verkaufsbedingungen finden entsprechende Anwendung. III. Gemeinsame Bestimmungen 1 Schriftformklausel Änderungen und Ergänzungen dieses Vertrages einschließlich dieser Klausel bedürfen der Schriftform. Mündliche Nebenabreden werden nicht getroffen. Allgemeine Geschäftsbedingungen des Kunden sind nicht Bestandteil dieses Vertrages und haben keine Gültigkeit für dieses Vertragsverhältnis. 2 Unwirksame Klauseln Sollte eine Bestimmung dieses Vertrages unwirksam oder undurchführbar sein oder werden, ohne dass damit die Erreichung des Vertragszweckes im wesentlichen unmöglich gemacht wird, so wird dadurch die Rechtswirksamkeit der übrigen Bestimmungen nicht berührt. Die unwirksame oder nicht durchführbare Bestimmung ist von den Parteien nach Möglichkeit durch eine zulässige und in wirtschaftlicher Hinsicht der unwirksamen Regelung gleichkommende Bestimmung zu ersetzen. 3 Erfüllungsort und Gerichtsstand Erfüllungsort und Gerichtsstand sind Albstadt. 30
