General Terms and Conditions of Sale CareFusion Germany 234 GmbH General Terms and Conditions of Sale 1 Definition. Affiliate shall mean, in relation to either party, any entity which directly or indirectly owns or controls or is directly or indirectly owned or controlled by or in common ownership or control with that party, to the extent of holding more than 50% of the shares or stock having the power to vote at a general meeting or equivalent. CareFusion shall mean CareFusion Germany 234 GmbH. Confidential Information shall mean any and all confidential information belonging to or about the parties (including any Affiliates) and about the Products, including without limitation: trade secrets; product plans; designs and information; market information, forecasts, marketing, advertising, competitive environment and competitors; operations, financial, pricing, business, investor and budget information about the parties; technical and strategic plans of the parties; parts; regulatory information and affairs of the parties and its products; and patent applications. Consumables shall mean Cubie pockets, batteries, light bulbs and other components of the Products which have a limited useful life, and the cost of replacement of which is not covered by CareFusion. Contract shall mean any written contract between CareFusion and the Customer, established as per Section 3, for the sale of the Products and incorporating this GTCS. Customer shall mean the person, firm, company or organization that purchases Products from CareFusion. Disposables shall mean those Products which are intended, marked and designed to be disposed of after a single use by the Customer. Equipment Confirmation Form shall mean the CareFusion form to be signed by the Customer upon delivery, and installation (as the case may be), of the Products. GTCS shall mean these General Terms and Conditions of Sale, including all Schedules attached hereto. Implementation Activities are defined in the Services Schedule. Implementation Completion Date shall mean the date of the Equipment Confirmation Form (if there is more than one Equipment Confirmation Form, the date specified in the applicable Equipment Confirmation Form). Intellectual Property Rights shall mean any information that belongs to CareFusion, including but not limited to patents, brand names, trademarks, designs and models whether registered or not, logos, trade name, trade secrets, copyright, authors rights, neighboring rights, database rights, inventions, original methods and know-how, rights in confidence or passing-off, databases, technical, commercial or financial information and any other intellectual property right that is protected in one or more countries. Products shall mean any products agreed in the Contract to be supplied to the Customer by CareFusion, and which are more particularly described in the relevant quotation or purchase order. Purchase Order shall mean a written order for the purchase of Products submitted by the Customer to CareFusion, in the form prescribed by CareFusion from time to time. Schedules shall mean the specific schedules forming part of this GTCS, as applicable. Software shall mean Software as defined in the Software Schedule attached hereto, as the case may be. 2 Applicability. This GTCS shall apply to all Contracts between CareFusion and the Customer. Subject to clause 23, conflicting or additional terms of sale and in particular, conflicting or additional terms and conditions of the Customer, shall be excluded, even if CareFusion does not expressly object to them. They shall form part of the Contract only if they have been expressly agreed by the parties in such Contract. 3 Establishment of a Contract. 3.1 Each quotation made by CareFusion is made without obligation as to specific Product sales, except when and insofar as CareFusion has explicitly stated otherwise in writing. A quotation for the Products is only a price estimate and shall not constitute an offer. Unless otherwise stated on the quotation, a quotation shall only be valid for a period of 30 days from its date of issue. Any quotation which is explicitly or implicitly accepted by the Customer shall be deemed to incorporate these GTCS. Receipt by CareFusion of a Customer Purchase Order pursuant to a quotation shall constitute an implicit acceptance by the Customer of these GTCS which shall be deemed to be incorporated therein. 3.2 All Customer Purchase Orders are subject to acceptance by CareFusion as to Products, prices and quantities, and unless a Contract is already in existence, for example, as a result of a tendering process, upon such acceptance the Contract will be formed. CareFusion shall have no liability to the Customer with respect to Purchase Orders that are not accepted. Entering into a Contract with CareFusion, placing an order with CareFusion or the acceptance of a delivery from CareFusion shall, save as otherwise indicated in a Contract signed by both parties, constitute the Customers explicit and unconditional acceptance of this GTCS to the exclusion of any terms which are implied by trade, custom, practice or course of dealing, and any Customer standard terms and conditions shall not be construed as a counter-offer hereto. 3.3 Any changes and/or partial cancellation or complete cancellation of an accepted Purchase Order by the Customer can take place only with the consent of CareFusion made in writing and CareFusion reserves the right to charge to the Customer and the Customer agrees to pay any costs incurred relating to the alteration or cancellation of any order or part thereof. Vertrauliche Informationen bezeichnen sämtliche vertrauliche Informationen, die sich im Besitz der Parteien befinden oder die Parteien (einschließlich ihrer Verbundenen Unternehmen) oder die Produkte betreffen, insbesondere: Betriebsgeheimnisse, Produktpläne, Muster und Informationen, Marktinformationen, Prognosen, Marketing, Werbung, Wettbewerbsumfeld und Mitbewerber, Geschäfte, finanzielle, preisliche, geschäftliche, investor- und budgetbezogene Informationen über die Parteien, technische und strategische Pläne der Parteien, Teile, regulatorische Informationen und Angelegenheiten in Bezug auf die Parteien und ihre Waren sowie Patentanmeldungen. Verbrauchsgüter bezeichnet Cubie -Beutel, Batterien, Glühbirnen und andere Komponenten der Produkte, die eine begrenzte Lebensdauer haben; CareFusion übernimmt keine Wiederbeschaf-fungskosten in Bezug auf die Verbrauchsgüter. Vertrag bezeichnet alle zwischen CareFusion und dem Kunden gemäß Ziffer 3 und auf Basis dieser Allgemeinen Verkaufsbedingungen geschlossenen schriftlichen Verträge über den Verkauf von Produkten. Allgemeine Verkaufsbedingungen bezeichnen diese Allgemeinen Verkaufsbedingungen einschließlich sämtlicher Anlagen. Implementierungsleistungen sind in der Service-Anlage bestimmt. Implementierungsfertigstellungsdatum bezeichnet das Datum des Equipment-Bestätigungsformulars (bzw. das im jeweiligen Equipment-Bestätigungsformular aufgeführte Datum, wenn es mehr als ein Equipment-Bestätigungsformular gibt). Gewerbliche Schutzrechte bezeichnen alle Informationen, die im Eigentum von CareFusion stehen, einschließlich insbesondere Patente, Marken, Warenzeichen, Geschmacksmuster und Modelle, gleich ob eingetragen oder nicht eingetragen, Logos, Handelsnamen, Geschäftsgeheim-nisse, Urheberrechte, verwandte Schutzrechte, Datenbankrechte, Erfindungen, Ursprungsverfahren und Know-how, Rechte aus wettbewerbsrechtlichem Nachahmungsschutz, Datenbanken, technische, geschäftliche oder finanzielle Informationen sowie alle anderen gewerblichen Schutzrechte, die in einem oder mehreren Ländern geschützt sind. Produkte bezeichnen alle gemäß dem Vertrag von CareFusion an den Kunden zu liefernden und im jeweiligen Angebot oder der jeweiligen Bestellung bezeichneten Waren. Bestellung bezeichnet die vom Kunden an CareFusion übermittelte schriftliche Bestellung zum Kauf von Produkten, in der von CareFusion jeweils vorgeschriebenen Form. Anlagen bezeichnen jeweils alle Anlagen (soweit anwendbar), die Bestandteil dieser Allgemeinen Verkaufsbedingungen sind. Software bezeichnet, soweit einschlägig, jeweils die in der diesen Allgemeinen Verkaufsbedin-gungen beigefügten Software-Anlage aufgeführte Software. 2 Anwendung. Diese Allgemeinen Verkaufsbedingungen gelten für alle Verträge zwischen CareFusion und dem Kunden. Gemäß Ziffer 23 ist die Geltung abweichender oder ergänzender Verkaufsbedingungen und insbesondere abweichender oder ergänzender Geschäftsbedingungen des Kunden ausgeschlossen, selbst wenn CareFusion diesen nicht ausdrücklich widerspricht. Diese werden nur Vertragsbestandteil, wenn die Parteien ihrer Geltung im jeweiligen Vertrag ausdrücklich zugestimmt haben. 3 Vertragsschluss. 3.1 Die von CareFusion gemachten Angebote verpflichten CareFusion nicht zum Verkauf bestimmter Produkte, es sei denn, CareFusion hat dies ausdrücklich schriftlich anders mitgeteilt. Ein Angebot für die Produkte stellt lediglich einen Kostenvoranschlag und kein bindendes Angebot dar. Ein Angebot ist nur für einen Zeitraum von 30 Tagen ab Ausstellungsdatum gültig, soweit in dem Angebot nichts anderes bestimmt wird. Alle ausdrücklich oder stillschweigend vom Kunden angenommenen Angebote unterliegen der Geltung dieser Allgemeinen Verkaufsbedin-gungen. Der Eingang einer Bestellung des Kunden bei CareFusion aufgrund eines Angebots stellt eine stillschweigende Annahme dieser Allgemeinen Verkaufsbedingungen durch den Kunden dar und diese werden damit Bestandteil der Bestellung. 4 Description of Products. 4.1 The description of the Products shall be as set out in CareFusion s quotation or acknowledgement of order. All samples, drawings, descriptive matters, and advertising issued by CareFusion and any description or illustrations contained in the CareFusion s catalogues or brochures are issued or published for the sole purpose of giving an approximate idea of the Products described in them. They shall not form part of this GTCS and this is not a sale by sample. 4.2 Any discussion of CareFusion s vision for future products is not a guarantee by CareFusion that such future product or version will be developed or sold: The Customer understands and agrees that the Products provided under this Contract are not contingent on any such future product or version. Should such products or versions become available, the Customer and CareFusion may enter into a separately negotiated contract at that time. 5 Price and Payment. 5.1 Unless otherwise agreed in writing, all prices for Products quoted by CareFusion exclude delivery and handling charges, and all taxes, levies and other government charges imposed for the sale of the Products (including value added tax and goods and services tax) which shall be borne by the Customer. 5.2 Unless otherwise agreed in writing, all invoices are to be paid (a) net with no deduction (whether by way of discount, abatement or otherwise), and (b) insofar as the total value of all invoices does not exceed the Customer s credit limit established by CareFusion under Section 5.3, within 30 days of the date of the invoice. Insofar as the Customer has reached or exceeded credit limit established hereunder, CareFusion shall be permitted to request payment by the Customer prior to the delivery of additional Products. CareFusion reserves the right, in the event that the Customer is in default and payment in full has not been received within 7 days of the due date to (a) require the payment prior to the delivery of any further Products; (b) charge default interest in the applicable statutory amount; (c) cease any further deliveries to the Customer and partially or totally rescind any unfulfilled purchase order if prepayments or other securities have not been rendered even after the expiry of a reasonable grace period; and (d) demand the return of any Products for which payment in full had not been received pursuant to Section 7 below. 5.3 CareFusion shall have the right from time to time to assess the creditworthiness of the Customer. In connection with the aforesaid, the Customer shall, upon CareFusion s reasonable request, provide such information, documentation, and assurances as CareFusion may reasonably require. CareFusion may, in its reasonable discretion, increase or decrease the amount of credit or vary the credit terms that CareFusion has extended to the Customer in connection with the purchase of Products. 5.4 Each Product and/or Service, as separately priced in this Contract and which may be contained in one or more invoices, is a separate and independent obligation of CareFusion to deliver and the Customer to pay. 5.5 The Customer is only entitled to a set-off if its counterclaim is uncontested, ready for decision or has been finally adjudicated. 5.6 The Customer is only entitled to assert a right of retention to the extent that its counterclaim is based on the same contract and is uncontested, ready for decision or has been finally adjudicated. 6 Delivery. 6.1 Any delivery dates indicated by CareFusion are only binding if they have been agreed in the Contract as binding and the Customer has provided CareFusion in a timely manner with all of the information and/or documentation required for the performance of such delivery and the Customer has made any advance payments in the manner and amount as agreed upon by the parties. Otherwise, such delivery dates are based on conditions prevailing at the time the order is placed and under the assumption of normal supply and manufacturing conditions. Unless otherwise expressly agreed, partial delivery and combined shipments shall be permitted for good reason if and to the extent this is reasonable for the Customer. 6.2 With regard to Products that CareFusion does not produce itself, the obligation to deliver shall be subject to CareFusion s correct and timely receipt of such goods from its suppliers. 6.3 To the extent that Implementation Activities are required under Section 1 of the Services Schedule, a Product shall be deemed accepted by the Customer ( Accepted ) when the Implementation Activities regarding the Product have been completed and the Product functions in accordance with the material specifications of its user manual notwithstanding that the Customer has not, for unjustified reasons, executed an Equipment Confirmation Form for the Product on the date that the Product is Accepted. 6.4 The Customer accepts and agrees that Products under the same purchase order may be delivered to the Customer in one or more batches on one or more dates if and to the extent this is reasonable for the Customer. CareFusion reserves the right to issue separate invoices for each batch of Products delivered to the Customer in accordance with the previous sentence. 7 Risk and Retention of Title. 7.1 Title to delivered Products shall pass to the Customer only after it has paid for those Products in full. Until such payment has been made, the Customer shall be entitled to use the Products and shall (i) hold the Products on CareFusion s behalf (as a bailee, fiduciary agent or similar), (ii) store each Product in a manner which clearly distinguishes the Products from other products of the Customer, and (iii) mark and document the same in such a manner as to make them clearly identifiable as CareFusion s property to ensure that the Products cannot be seized in case of bankruptcy, default in payments or other similar circumstances. In the event that the Customer fails to make payment of invoices when they fall due, and should CareFusion rescind the Contract, CareFusion may require Products to which the unpaid invoices relate to be returned on demand. If the Customer does not ship the Products to CareFusion within 48 hours of receipt of the demand (or otherwise specified by Care- Fusion), the Customer shall make available to CareFusion such Products for the purpose of recovery by CareFusion. 7.2 Unless specific delivery terms are indicated and agreed in the Contract, risk in the Products shall pass to the Customer immediately upon delivery to the Customer or to the Customer s carrier, if so appointed by the Customer. 3.2 Alle Bestellungen des Kunden müssen durch CareFusion im Hinblick auf die Produkte, Preise und Mengen angenommen werden und der Vertrag kommt erst mit dieser Annahme zustande, es sei denn, es besteht bereits ein Vertrag, z.b. als Ergebnis eines Ausschreibungsverfah-rens. CareFusion haftet nicht gegenüber dem Kunden im Hinblick auf nicht angenommene Bestellungen. Der Abschluss eines Vertrages mit CareFusion, die Aufgabe einer Bestellung bei CareFusion oder die Annahme einer Lieferung von CareFusion gelten als ausdrückliche und bedingungslose Annahme dieser Allgemeinen Verkaufsbedingungen durch den Kunden unter Ausschluss der Geltung anderer Bedingungen, die aufgrund des Handelsverkehrs, Handelsgebräu-chen, Gepflogenheiten oder regelmäßigen Verhaltensweisen als mitvereinbart gelten, und die Allgemeinen Geschäftsbedingungen des Kunden sind nicht als Gegenangebot hierzu auszulegen, es sei denn, in einem von beiden Parteien unterzeichneten Vertrag wird etwas anderes bestimmt. 3.3 Änderungen und/oder Stornierungen des Kunden eines Teils oder der gesamten bereits angenommenen Bestellung können nur mit der schriftlichen Zustimmung von CareFusion vorgenommen werden und CareFusion behält sich das Recht vor, dem Kunden die im Zusammenhang mit der Änderung oder Stornierung einer Bestellung oder eines Teils davon entstehenden Kosten in Rechnung zu stellen und der Kunde stimmt der Übernahme dieser Kosten zu. 649 BGB bleibt hiervon unberührt. 4 Beschreibung der Produkte. 4.1 Die Produkte entsprechen den im Angebot oder der Auftragsbestätigung von CareFusion genannten Beschreibungen. Alle Muster, Zeichnungen, Darstellungen und Werbematerialien von CareFusion sowie alle in Katalogen oder Broschüren von CareFusion enthaltenen Beschreibungen oder Abbildungen werden ausschließlich zur Verfügung gestellt oder veröffentlicht, um eine ungefähre Vorstellung von den darin beschriebenen Produkten zu geben. Sie sind kein Bestandteil dieser Allgemeinen Verkaufsbedingungen und stellen keinen Verkauf nach Muster dar. 4.2 Diskussionen über eventuelle zukünftige Waren von CareFusion stellen keine Garantie seitens CareFusion dar, dass eine solche zukünftige Ware oder Version entwickelt oder verkauft wird: Der Kunde nimmt zur Kenntnis und stimmt zu, dass die gemäß diesem Vertrag gelieferten Produkte nicht von einer solchen zukünftigen Ware oder Version abhängen. Wird ein solches Produkt oder eine solche Produktvariante verfügbar, können der Kunde und CareFusion zu gegebener Zeit eine gesondert ausgehandelte Vereinbarung abschließen. 5 Preise und Zahlungsbedingungen. 5.1 Soweit nicht schriftlich etwas anderes bestimmt ist, verstehen sich die von CareFusion angegebenen Preise für die Produkte ausschließlich der Liefer- und Bearbeitungsgebühren, sowie aller Steuern, Abgaben und anderer staatlicher Gebühren, die für den Verkauf der Produkte (einschließlich Umsatz- und Verkehrssteuern) erhoben werden und die vom Kunden getragen werden. 5.2 Soweit nicht schriftlich etwas anderes bestimmt ist, sind alle Rechnungen (a) netto ohne Abzug (ob als Rabatt, Nachlass oder in sonstiger Weise) und (b) soweit der Gesamtwert aller Rechnungen die bei CareFusion gemäß Ziffer 5.3 eingeräumte Kreditlinie des Kunden nicht übersteigt, innerhalb von 30 Tagen ab Rechnungsdatum zahlbar. Hat der Kunde die hierunter gewährte Kreditlinie erreicht oder überschritten, ist CareFusion berechtigt, vom Kunden Vorauszahlung für die Lieferung weiterer Produkte zu verlangen. Befindet sich der Kunde in Zahlungsverzug und ist die Zahlung nicht innerhalb von 7 Tagen ab Fälligkeit in voller Höhe eingegangen, behält sich CareFusion das Recht vor, (a) vor der Lieferung weiterer Produkte Zahlung zu verlangen, (b) Verzugszinsen in gesetzlicher Höhe zu verlangen, (c) weitere Lieferungen an den Kunden einzustellen und von noch nicht ausgeführten Bestellungen ganz oder teilweise zurückzutreten, wenn Vorauszahlungen oder andere Sicherheiten nach Ablauf einer angemessenen Nachfrist nicht erbracht wurden und (d) gemäß Ziffer 7 die Rückgabe der Produkte zu verlangen, die nicht in voller Höhe bezahlt wurden. 5.3 CareFusion ist berechtigt, die Kreditwürdigkeit des Kunden von Zeit zu Zeit zu überprüfen. Im Zusammenhang mit der vorstehenden Bestimmung ist der Kunde verpflichtet, nach angemessener Aufforderung von CareFusion die Informationen, Unterlagen und Zusicherungen zur Verfügung zu stellen, die CareFusion in angemessener Weise benötigt. Es liegt im vernünftigen Ermessen von CareFusion, die Kreditlinie zu erhöhen oder zu reduzieren oder die Kreditbedingungen, die CareFusion dem Kunden im Hinblick auf den Kauf der Produkte gewährt hat, abzuändern. 5.4 Jedes Produkt und/oder jede Dienstleistung, die in diesem Vertrag gesondert ausgewiesen wird und die in einer oder mehreren Rechnungen enthalten sein können, stellt eine eigenständige und unabhängige Verpflichtung von CareFusion zur Lieferung und des Kunden zur Zahlung dar. 5.5 Zur Aufrechnung ist der Kunde nur berechtigt, wenn sein Gegenanspruch unbestritten, entscheidungsreif oder rechtskräftig festgestellt ist. 5.6 Zur Geltendmachung eines Zurückbehaltungsrechtes ist der Kunde nur insoweit befugt, als sein Gegenanspruch auf der gleichen Vereinbarung beruht und unbestritten, entscheidungsreif oder rechtskräftig festgestellt ist. 6 Lieferung. 6.1 Von CareFusion angegebene Liefertermine sind nur verbindlich, wenn sie im Vertrag als verbindlich vereinbart wurden und der Kunde CareFusion alle zur Ausführung der Lieferung erforderlichen Informationen und/oder Unterlagen rechtzeitig mitgeteilt bzw. zur Verfügung gestellt und etwa vereinbarte Anzahlungen vereinbarungsgemäß gezahlt hat. Andernfalls basieren die Liefertermine auf den zum Zeitpunkt der Bestellung vorliegenden Bedingungen unter Annahme der üblichen Liefer- und Herstellungsbedingungen. Soweit ausdrücklich nicht etwas anderes bestimmt ist, sind aus begründetem Anlass Teil- und Sammellieferungen zulässig, wenn und soweit dies dem Kunden zumutbar ist. 6.2 Bei Produkten, die CareFusion nicht selbst herstellt, ist die richtige und rechtzeitige Selbstbelieferung vorbehalten. 6.3 Sind Implementierungsleistungen gemäß Ziffer 1 der Service-Anlage notwendig, so gilt ein Produkt dann durch den Kunden als angenommen ( angenommen ), wenn die Implementierungs-leistungen im Hinblick auf das Produkt erbracht wurden und das Produkt die wesentlichen im Benutzerhandbuch genannten Spezifikationen erfüllt, dies gilt auch dann, wenn der Kunde an dem Tag, an dem das Produkt angenommen wurde, in unbegründeter Weise nicht ein Equipment-Bestätigungsformular für das Produkt ausgefüllt hat. 144 145

8 Force Majeure. CareFusion shall not be liable for any non-fulfillment of its obligations resulting from a force majeure event. For this purpose, force majeure shall mean an act of God, war, terrorism, lightning, fire, earthquake, storm, flood, explosion, labor disputes, act or requirement of any regulatory or governmental bodies and any other unforeseeable and unavoidable causes not within the control of CareFusion and for which CareFusion does not bear responsibility. 9 Rights in case of Defects. 9.1 Save as stated in the attached Software Schedule, as applicable, CareFusion shall have clear title to the Products upon passing of the risk to the Customer and the Products shall be delivered to the Customer free of liens and encumbrances. 9.2 In addition, the Products shall, upon passing of the risk to the Customer, be of the agreed quality; the quality will exclusively be determined by the specific written agreements concerning the characteristics, features and specifications of the Products. 9.3 Information provided in sales catalogues, price lists and any other informative literature provided by CareFusion or any other descriptions of the Products shall under no circumstances constitute a guarantee for any specific quality of the Products; such specific quality or durability guarantees must expressly be made in writing. 9.4 The Customer s rights in case of defects of the Products shall require that it inspects the Products upon delivery without undue delay and notifies CareFusion of any defects in writing and without undue delay, but no later than two weeks following delivery; hidden defects must be notified to CareFusion in writing without undue delay upon their discovery. 9.5 In the event of a notification of a defect, CareFusion shall have the right to inspect and test the Products to which objection was made. The Customer will grant CareFusion the required period of time and opportunity to exercise such right. CareFusion may also demand from the Customer that the Customer returns to CareFusion at CareFusion s expense the Products to which objection was made. Should the Customer s notification of the defect prove to be unjustified and provided the Customer has realized this prior to the notification of the defect or has not realized it in a negligent manner, the Customer shall be obliged to reimburse CareFusion for all costs incurred in this respect, e.g. travel expenses or shipping costs. 9.6 CareFusion shall be entitled to remove the defect at its option by remedying the defect or, alternatively, by delivering a replacement, both free of charge to the Customer (together Subsequent Performance ). Should the Subsequent Performance fail, should such remedy be unreasonable for the Customer or has CareFusion refused such remedy pursuant to Section 439 (3) BGB the Customer may, at its option, rescind the Contract in accordance with the statutory provisions or reduce the purchase price and/or claim either damages pursuant to Section 10 or the reimbursement of its futile expenses. 9.7 Subsequent Performance does not encompass the installation and removal of the defective Product; the Customer shall bear the installation and removal costs. 9.8 The Customer s rights in case of defects shall be excluded in the following events: (i) natural wear and tear, (ii) defects of the Products due to reasons for which the Customer bears responsibility, such as inappropriate or improper use, the non-observance of CareFusion s written instructions regarding the proper transportation, storing, handling, use and servicing of the Products, incorrect start-up of operation or faulty treatment (e.g. excessive wear), (iii) incorrect assembly and/or installation by the Customer or a third party commissioned by the Customer, and (iv) the use of unsuitable accessories or unsuitable spare parts or the performance of inappropriate repair works by the Customer or a third party commissioned by the Customer. 9.9 The limitation period for the Customer s claims for defects shall be twelve months beginning with the handover of the Products to the Customer. The provisions on the statute of limitations of Section 479 BGB shall remain unaffected. For damage claims of the Customer due to other reasons than defects of the Products or for rights of the Customer with respect to defects concealed in bad faith or caused intentionally, the statutory limitation period shall apply. 10 Limitation of Liability. 10.1 CareFusion s obligation to pay damages shall be limited as follows: For damages caused by a breach of a material contractual obligation, CareFusion shall only be liable up to the amount of the typically foreseeable damage at the time of entering into the Contract; CareFusion shall not be liable for damages caused by a breach of a non-material contractual obligation. The limitation of liability as set out above shall not apply to damages caused intentionally or by gross negligence, culpably caused personal injuries nor to any liability under the German Product Liability Act (ProdHaftG) and in case of any further mandatory liability. Furthermore, it shall apply if and to the extent CareFusion has assumed a guarantee. 10.2 Section 10.1 shall apply accordingly to CareFusion s liability for futile expenses. 10.3 The Customer shall take all reasonable measures necessary to avert and reduce damages. 11 Product Safety. The Customer shall procure and ensure that: (a) the Products are used only for the purposes and in the manner for which they were designed and supplied; (b) all persons likely to use or come into contact with the Products receive appropriate training and copies of applicable instructions and documents provided by CareFusion; (c) all third parties who use or may be affected by or rely upon the Products are given full and clear warning of any hazards associated with them and any limitations of their effectiveness; (d) safe working practices are adopted and complied with; (e) any warning notices displayed on the Products are not removed or obscured; (f) where the use of the Products is stated to be subject to any instructions or warnings, they are used on the condition that such instructions or warnings will be strictly adhered to; and (g) it applies and follows any and all field safety corrective actions required and notified by CareFusion. 6.4 Der Kunde stimmt zu und ist einverstanden, dass Produkte aus derselben Bestellung in einer oder mehreren Lieferungen an einem oder mehreren Terminen versandt werden können, wenn und soweit dies dem Kunden zumutbar ist. CareFusion behält sich das Recht vor, getrennte Rechnungen für die Lieferung von Produkten an den Kunden gemäß vorstehendem Satz auszustellen. 7 Gefahrenübergang und Eigentumsvorbehalt. 7.1 Das Eigentum an den gelieferten Produkten geht erst mit vollständiger Zahlung der Produkte auf den Kunden über. Bis zum Eingang dieser Zahlung ist der Kunde zur Nutzung der Produkte berechtigt und (i) besitzt der Kunde die Produkte im Namen von CareFusion (als Verwahrer, Treuhänder o.ä.), (ii) wird der Kunde die Produkte so lagern, dass sie eindeutig von anderen Waren des Kunden unterschieden werden können und (iii) wird der Kunde die Produkte so kennzeichnen und dokumentieren, dass sie eindeutig als Eigentum von CareFusion erkennbar sind, damit die Produkte im Fall einer Insolvenz, eines Zahlungsverzugs oder ähnlichen Umständen nicht beschlagnahmt werden können. Befindet sich der Kunde bei Fälligkeit mit der Zahlung von Rechnungen in Verzug und tritt CareFusion daher vom Vertrag zurück, kann CareFusion verlangen, dass die Produkte, auf die sich die unbezahlten Rechnungen beziehen, auf Anforderung zurückgegeben werden. Sendet der Kunde die Produkte nicht innerhalb von 48 Stunden nach Eingang der Aufforderung an CareFusion (oder wie in sonstiger Weise von CareFusion bestimmt) zurück, ist der Kunde verpflichtet, diese Produkte CareFusion zur Abholung bereitzustellen. 7.2 Sofern im Vertrag keine besonderen Lieferbedingungen angegeben und vereinbart werden, geht die Gefahr an den Produkten sofort bei Lieferung an den Kunden oder Übergabe an einen eventuell vom Kunden beauftragten Frachtführer auf den Kunden über. 8 Höhere Gewalt. CareFusion haftet nicht für die auf einem Fall von höherer Gewalt basierende Nichterfüllung ihrer Verpflichtungen. Zu diesem Zweck bedeutet Höhere Gewalt alle Fälle höherer Gewalt, Krieg, Terrorismus, Blitzschlag, Feuer, Erdbeben, Sturm, Flut, Explosion, Arbeitskämpfe, Maßnahmen oder Anordnungen einer Regierungs- oder Regulierungsbehörde und andere unvorhersehbare und unvermeidbare Ereignisse, die außerhalb der Kontrolle von CareFusion liegen und für die CareFusion nicht verantwortlich ist. 9 Mängelhaftungsrechte. 9.1 Soweit in der Software-Anlage nicht etwas anderes bestimmt ist, hat CareFusion bei Gefahrübergang auf den Kunden das unbestrittene Eigentum an den Produkten und die Produkte werden an den Kunden frei von Belastungen und Pfandrechten geliefert. 9.2 Zudem werden die Produkte bei Gefahrübergang die vereinbarte Beschaffenheit aufweisen; diese bemisst sich ausschließlich nach den schriftlich getroffenen konkreten Vereinbarungen über die Eigenschaften, Merkmale und Leistungscharakteristika der Produkte. 9.3 Angaben in Katalogen, Preislisten und sonstigem von CareFusion überlassenen Informationsmaterial oder andere Beschreibungen der Produkte sind keinesfalls als Garantien für eine besondere Beschaffenheit der Produkte zu verstehen; derartige Beschaffenheits- oder Haltbarkeitsgarantien müssen ausdrücklich schriftlich vereinbart werden. 9.4 Rechte des Kunden wegen Mängeln an den Produkten setzen voraus, dass er die Produkte nach Ablieferung überprüft und CareFusion Mängel unverzüglich, spätestens jedoch zwei Wochen nach Ablieferung, schriftlich mitteilt; verborgene Mängel müssen CareFusion unverzüglich nach ihrer Entdeckung schriftlich mitgeteilt werden. 9.5 Bei jeder Mängelrüge steht CareFusion das Recht zur Besichtigung und Prüfung der beanstandeten Produkte zu. Dafür wird der Kunde CareFusion die notwendige Zeit und Gelegenheit einräumen. CareFusion kann vom Kunden auch verlangen, dass er die beanstandeten Produkte an CareFusion auf deren Kosten zurücksendet. Erweist sich eine Mängelrüge des Kunden als unberechtigt und hat der Kunde dies vor Erhebung der Mängelrüge erkannt oder fahrlässig nicht erkannt, so ist er CareFusion zum Ersatz aller in diesem Zusammenhang entstandenen Schäden, z.b. Fahrt- oder Versandkosten, verpflichtet. 9.6 Bestehende Mängel wird CareFusion nach eigener Wahl durch kostenlose Beseitigung des Mangels oder ersatzweise kostenlose Lieferung einer mangelfreien Sache (gemeinsam Nacherfüllung ) beheben. Schlägt die Nacherfüllung fehl, ist sie dem Kunden unzumutbar oder hat CareFusion sie nach 439 Abs. 3 BGB verweigert, so kann der Kunde nach seiner Wahl nach den gesetzlichen Vorschriften vom Vertrag zurücktreten oder den Kaufpreis mindern und/oder Schadensersatz gemäß Ziffer 10 oder den Ersatz seiner vergeblichen Aufwendungen verlangen. 9.7 Die Nacherfüllung umfasst nicht den Ein- und Ausbau des mangelhaften Produktes; der Kunde trägt die Ein- und Ausbaukosten. 9.8 Rechte des Kunden wegen Mängeln sind in den folgenden Fällen ausgeschlossen: (i) bei natürlicher Abnutzung, (ii) wenn Schäden an den Liefergegenständen aus vom Kunden zu vertretenden Gründen eintreten, insbesondere aufgrund unsachgemäßer Verwendung, der Nichtbeachtung der schriftlichen Anleitung von CareFusion im Hinblick auf den richtigen Transport, die richtige Lagerung, Handhabung, Verwendung und Instandhaltung der Produkte, fehlerhafter Inbetriebnahme oder fehlerhafter Behandlung (z.b. übermäßige Beanspruchung), (iii) bei fehlerhafter Montage und/oder Installation durch den Kunden oder durch von ihm beauftragte Dritte, sowie (iv) bei Verwendung nicht geeigneten Zubehörs oder nicht geeigneter Ersatzteile oder der Durchführung ungeeigneter Reparaturmaßnahmen durch den Kunden oder von ihm beauftragte Dritte. 9.9 Die Verjährungsfrist für die Rechte des Kunden wegen Mängeln beträgt zwölf Monate beginnend mit der Ablieferung der Produkte beim Kunden. Die Verjährungsbestimmungen des 479 BGB bleiben unberührt. Für Schadensersatzansprüche des Kunden aus anderen Gründen als Mängeln der Produkte sowie hinsichtlich der Rechte des Kunden bei arglistig verschwiegenen oder vorsätzlich verursachten Mängeln bleibt es bei den gesetzlichen Verjährungsfristen. 12 Product Modification. CareFusion shall have the right, at any time upon notice, to make modifications to any of the Products (including Products that have already been delivered to the Customer and are in use), which do not affect form, fit or function of such Products or which are required by applicable law or which are necessary to comply with applicable standards or safety criteria. 13 Disposal and Export Controls. 13.1 The Customer shall not export the Products to countries outside the European Union and the European Economic Area. The Customer further warrants that the Products, including any related technical data, will not be exported, sold or otherwise diverted outside the country in which delivery of the Products takes place in contravention of applicable law. 13.2 Unless agreed otherwise between the parties in writing, the Customer agrees to take and accepts full responsibility for, and cover the costs of the disposal of the Products, and to perform such disposal in accordance with applicable laws. 14 Intellectual Property Rights. 14.1 The Customer acknowledges that all Intellectual Property Rights in or in respect of the Products will at all times remain the property of CareFusion, its Affiliates or any applicable third party owner, and the Customer shall acquire no right, title or interest in the same. Any Software supplied with the Products is supplied for use only in connection with the Products supplied by CareFusion and the Customer shall not reproduce or permit the reproduction of such Software in any form without the prior written consent of CareFusion. All Software supplied is subject to the terms of the Software Schedule attached hereto. 14.2 In the event the Customer becomes aware of a risk that CareFusion s Intellectual Property Rights may be or have been infringed, it undertakes to inform CareFusion thereof as quickly as possible and to provide, at CareFusion s costs, the support CareFusion reasonably requests in order to assist it to take the measures necessary to protect its rights. 14.3 Unless the parties expressly agree otherwise in writing, but without prejudice to the Customer s right to use the Product for the purposes and in the manner for which they were supplied, CareFusion s Intellectual Property Rights may not be used or exploited in any way whatsoever by the Customer. In particular, the Customer shall not use or make reference to CareFusion s logos, brands or any of the names and trademarks (whether registered or not) under which CareFusion or the Products are known without the prior written permission of CareFusion. 14.4 The Customer shall provide notice to CareFusion without undue delay after the Customer receives actual notice of any demand, claim, suit or proceeding against the Customer that contends that a Product infringes any patent, copyright, trade secret or other intellectual property right of a third party ( Infringement Claim ). In that event, the Customer shall authorize CareFusion to have sole control of the defense and/or settlement of each Infringement Claim. Upon CareFusion s request and at CareFusion s costs, the Customer shall provide all necessary and reasonable cooperation in the defense and/or settlement of the Infringement Claim. The Customer shall not make any admission as to liability or agree to any settlement or compromise of an Infringement Claim without CareFusion s prior written consent. CareFusion shall indemnify the Customer against all liabilities, costs, expenses, damages and losses incurred by the Customer as a result of any award or settlement made in respect of an Infringement Claim provided the Customer complies with its obligations in this Section 14.4. CareFusion shall have no obligation or liability of any kind to the Customer regarding an Infringement Claim if the Infringement Claim arises from the Customer s use of the Products in breach of these GTCS. 14.5 In the event of an Infringement Claim or if CareFusion determines or receives notice that a Product may or does infringe any third party s intellectual property rights, CareFusion may, at its option, replace such Product with a substantially equivalent Product or modify the Product in a manner that does not substantially affect the performance of the Product or credit the Customer for the value of the Product in exchange for its return. 15 Confidentiality. 15.1 Each party will use Confidential Information of the other only as necessary to perform its obligations under a Contract, and will not disclose it to any third parties except as reasonably required by any governmental authority, court, or regulatory body. The receiving party may disclose Confidential Information to the receiving party s directors, employees and agents: (i) only to the extent such disclosure is reasonably necessary for the purpose of carrying out its obligations under a Contract; and (ii) who are obligated to maintain the Confidential Information in confidence for at least as long as the period that the receiving party is obligated not to disclose the Confidential Information hereunder. 15.2 The receiving party will take all reasonable measures necessary to maintain the confidentiality of such Confidential Information and to keep such Confidential Information secure and protected against theft, damage, loss or unauthorised access, including using the same degree of care with which the receiving party protects its own like confidential information. The receiving party shall notify the disclosing party in writing of any misuse or misappropriation of Confidential Information which may come to the receiving party s attention. 15.3 These obligations of confidentiality will not apply to any Confidential Information which has (i) entered the public domain, except where such entry is the result of the receiving party s breach of confidentiality obligations, (ii) has been lawfully received by the receiving party from a third party on an unrestricted basis, (iii) is known to the receiving party prior to disclosure, (iv) has been independently developed by the receiving party, or (v) is required to be disclosed by law or the rules of a stock exchange. 15.4 The Customer hereby confirms and agrees that it shall be responsible for obtaining and providing CareFusion with the names, functions, phone and fax numbers, as well as mail and email addresses of its employees using or maintaining the Products and shall use best efforts to obtain these employees written consent for CareFusion s use or processing of this data for the purposes of installing and servicing the Products, as well as surveying customer satisfaction. Such data will be retained for the duration of the Customer s service requirements or until the Customer notifies CareFusion in writing of its wish to change or withdraw it. The Customer shall be responsible for its processing and disclosure 10 Haftungsbeschränkung. 10.1 Die Verpflichtung von CareFusion zur Leistung von Schadensersatz wird wie folgt beschränkt: CareFusion haftet für Schäden, die aus der Verletzung einer wesentlichen Vertragspflicht herrühren, nur bis zur Höhe des zum Zeitpunkt des Vertragsschlusses üblicherweise vorhersehbaren Schadens; CareFusion haftet nicht für Schäden, die auf einer Verletzung nicht wesentlicher Vertragspflichten beruhen. Die vorgenannte Haftungsbeschränkung gilt nicht bei vorsätzlich oder grob fahrlässig verursachten Schäden, bei schuldhaft verursachten Körperschäden sowie für die Haftung nach dem Produkthaftungsgesetz und für den Fall weiterer zwingender Haftungstatbestände. Darüber hinaus gilt sie nicht, wenn und soweit CareFusion eine Garantie übernommen hat. 10.2 Die Ziffer 10.1 gilt entsprechend für die Haftung von CareFusion für vergebliche Aufwendungen. 10.3 Der Kunde ist verpflichtet, angemessene Maßnahmen zur Schadensabwehr und -minderung zu treffen. 11 Produktsicherheit. Der Kunde sorgt dafür und stellt sicher, dass (a) die Produkte nur für die Zwecke und in der Weise verwendet werden, für die sie entwickelt und zur Verfügung gestellt wurden, (b) alle Personen, die die Produkte voraussichtlich verwenden oder mit ihnen in Kontakt kommen, angemessen geschult werden und Kopien der jeweiligen von CareFusion zur Verfügung gestellten Gebrauchsanweisun-gen und Unterlagen an sie ausgehändigt werden, (c) alle Dritten, die die Produkte verwenden, mit ihnen in Kontakt kommen oder auf sie vertrauen, umfassend und deutlich über die mit den Produkten verbundenen Risiken und Grenzen ihrer Wirksamkeit informiert werden, (d) sichere Arbeitsweisen angewendet und eingehalten werden, (e) auf den Produkten angebrachte Warnhinweise nicht entfernt oder verdeckt werden, (f) die Produkte unter strenger Einhaltung der Sicherheits- und Warnhinweise verwendet werden, wenn die Verwendung der Produkte Sicherheits- und Warnhinweisen unterliegt und (g) der Kunde alle von CareFusion verlangten und mitgeteilten Sicherheitsmaßnahmen anwenden und befolgen wird. 12 Produktänderungen. CareFusion ist nach Ankündigung jederzeit berechtigt, Änderungen an den Produkten (einschließlich der Produkte, die bereits an den Kunden geliefert wurden und von diesem verwendet werden) vorzunehmen, soweit sie die Form, Eignung oder Funktion der Produkte nicht beeinflussen, sie aufgrund der jeweils geltenden Gesetze erforderlich sind, oder notwendig sind, um anwendbare Standards oder Sicherheitskriterien einzuhalten. 13 Entsorgung und Exportkontrolle. 13.1 Der Kunde darf die Produkte nicht in Länder außerhalb der Europäischen Union und des Europäischen Wirtschaftsraums exportieren. Der Kunde gewährleistet zudem, dass die Produkte einschließlich der damit verbundenen technischen Daten nicht in Länder exportiert, verkauft oder in sonstiger Weise eingeführt werden, in denen die Lieferung der Produkte einen Verstoß gegen geltende gesetzliche Bestimmungen darstellt. 13.2 Soweit nicht anderweitig schriftlich zwischen den Parteien vereinbart, erklärt sich der Kunde bereit, alle Kosten und die volle Verantwortung für die Entsorgung der Produkte zu übernehmen und die Produkte nach Maßgabe der anwendbaren Gesetze zu entsorgen. 14 Gewerbliche Schutzrechte. 14.1 Der Kunde bestätigt, dass alle Gewerblichen Schutzrechte an oder im Zusammenhang mit den Produkten jederzeit das Eigentum von CareFusion, den mit ihr Verbundenen Unternehmen oder einem jeweiligen Drittinhaber bleiben und der Kunde kein Recht, Eigentum oder Anteil an diesen erwirbt. Die zusammen mit den Produkten gelieferte Software wird nur für die Verwendung im Zusammenhang mit den von CareFusion gelieferten Produkten zur Verfügung gestellt und der Kunde darf diese Software ohne die vorherige schriftliche Zustimmung von CareFusion nicht vervielfältigen oder eine solche Vervielfältigung, in welcher Form auch immer, gestatten. Die gelieferte Software unterliegt den Bestimmungen der als Anlage beigefügten Software-Anlage. 14.2 Wird für den Kunden die Gefahr erkennbar, dass die Gewerblichen Schutzrechte von CareFusion möglicherweise verletzt werden oder verletzt worden sind, ist er verpflichtet, CareFusion umgehend hierüber zu informieren und CareFusion auf ihre Kosten bei der Ergreifung von Maßnahmen zum Schutz ihrer Rechte zu unterstützen, soweit CareFusion dies in angemessener Weise verlangt. 14.3 Soweit die Parteien nicht ausdrücklich schriftlich etwas anderes vereinbart haben, jedoch unbeschadet der Rechte des Kunden zur Verwendung der Produkte für die Zwecke und in der Weise, für die sie geliefert wurden, ist der Kunde nicht berechtigt, die Gewerblichen Schutzrechte von CareFusion zu nutzen oder in sonstiger Weise zu verwerten. Insbesondere ist der Kunde ohne die vorherige schriftliche Zustimmung von CareFusion nicht berechtigt, die Logos, Marken oder anderen Namen und Warenzeichen (ob eingetragen oder nicht), unter denen CareFusion oder die Produkte bekannt sind, zu nutzen oder sich hierauf zu beziehen. 14.4 Der Kunde ist verpflichtet, CareFusion unverzüglich davon in Kenntnis zu setzen, wenn er tatsächliche Kenntnis von Ansprüchen, Forderungen, Klagen oder Verfahren im Zusammenhang mit der Behauptung, dass ein Produkt ein Patent, Urheberrecht, Geschäftsgeheimnis oder andere gewerbliche Schutzrechte von Dritten verletzt ( Verletzungsanspruch ), erhält. In diesem Fall wird der Kunde CareFusion die alleinige Kontrolle über die Verteidigung und/oder Beilegung des Verletzungsanspruches übertragen. Der Kunde ist auf Verlangen und Kosten von CareFusion verpflichtet, CareFusion bei der Verteidigung gegenüber und/oder der Beilegung des Verletzungsanspruches in angemessener Weise zu unterstützen. Der Kunde darf ohne die vorherige schriftliche Zustimmung von Care- Fusion keinerlei Haftungszusagen abgeben oder der Beilegung oder einem Vergleich im Hinblick auf einen Verletzungsanspruch zustimmen. CareFusion wird den Kunden von allen ihm als Folge eines Urteilsspruchs oder Vergleichs im Zusammenhang mit einem Verletzungsanspruch entstandenen Verbindlichkeiten, Kosten, Auslagen, Schäden und Verlusten freistellen, vorausgesetzt, der Kunde erfüllt seine Verpflichtun-gen gemäß dieser Ziffer 14.4. CareFusion trifft keine Verantwortung und Haftung jeglicher Art gegenüber dem Kunden in Bezug auf Verletzungsansprüche, die auf der Verwendung der Produkte durch den Kunden in Verletzung dieser Allgemeinen Verkaufsbedingungen beruhen. 146 147

to CareFusion of all personal data relating to such employees, and shall be liable under applicable privacy and data protection laws and regulations in respect of such processing. Without limitation the Customer shall provide all requisite information and notices to employees and otherwise comply with all requirements under such privacy and data protection laws and regulations in connection with its obligations under this Section 15.4. Any such processing of personal data by CareFusion on behalf of the Customer will be subject to the Data Protection Schedule attached hereto. 16 Reporting Obligations and Investigations. 16.1 In addition to complying with all applicable legal requirements, the Customer shall report to CareFusion (and provide all available information related to) any Product incident and near incident (a) without undue delay upon the incident occurring, where it has resulted in death, and (b) within 24 hours of the incident where it has or could have resulted in serious injury. In addition, the Customer shall report to CareFusion within 7 days (or such other period as may be required by CareFusion from time to time) all complaints, reports, notices, or comments of any kind. These reporting obligations apply, without limitation, to any complaints, reports, notices, or comments from an end-user or any governmental entity that (a) any of the documentation relating to any Product is inadequate or (b) relate to any allegation of deficiencies in respect of the identity, quality, durability, reliability, safety, effectiveness, or performance of any Product or (c) relate to adverse events, injuries, defects in or malfunctions of or involving any of the Products. If the Customer has any doubt as to whether a particular incident, near incident, complaint, report, notice, or comment should be reported to CareFusion under this Section 16.1, the Customer shall err on the side of over inclusiveness and report without undue delay such incident, near incident, complaint, report, notice, or comment to CareFusion. 16.2 The Customer shall reasonably provide CareFusion with all such information and assistance as necessary, including without limitation, in investigating any incidents and near incidents, and all complaints, reports, notices, or comments of any kind received from any governmental entity or any other person (in any form and whether relating to adverse events, injuries, defects in or malfunctions of or otherwise involving any of the Products). Where the Customer files any incident or near incident reports with a government authority, it shall inform CareFusion providing copies of the same, if possible, prior to such filings being made (except as otherwise required by applicable law and/or regulation) and in any case, no later than without undue delay after such filings have been made. 17 Assignment; Third Party Beneficiary. To the extent permitted by law, the Customer cannot assign, novate or transfer its rights and/ or obligations under a Contract or any part thereof without the express written consent of CareFusion. Section 354 a German Commercial Code (HGB) shall remain unaffected hereby. CareFusion may assign, novate or transfer its rights and/or obligations or any part thereof under a Contract to an Affiliate or to an authorised distributor or technical service representative of CareFusion or the manufacturer of the Products or any other party, without the Customer s consent. A person who is not a party to a Contract shall have no rights under it to enforce any of its terms. 18 Governing Law. All issues relating to a Contract (including all non contractual disputes or claims) shall be governed exclusively by the substantive laws of Germany excluding the United Nations Convention on Contracts for the International Sale of Goods. Any disputes which arise out of or in connection with a Contract, including disputes on its interpretation and non contractual disputes or claims, shall be resolved exclusively by the courts where the CareFusion legal contracting entity is domiciled. 19 Whole Agreement, Invalidity, Waiver. The Contract shall constitute the entire agreement between the parties regarding its subject matter and shall supersede all prior agreements, understandings, transactions and communications between the parties, whether oral or in writing, with respect to the same. The invalidity in whole or in part of any provision of this Contract shall not affect the validity of other provisions or parts thereof. Failure by either party to exercise or enforce any of its rights thereunder shall not be deemed to be a waiver of such right nor operate so as to bar the exercise or enforcement thereof. Any waiver of any term by CareFusion will only be effective if it is made in writing. 20 Compliance with Laws. The parties shall comply with all laws and regulations applicable to their respective performance of each Contract including any mandatory laws applicable in the jurisdiction where the Customer is established. 21 Unlawful Influence. To the best of CareFusion s and the Customer s knowledge, neither it nor any of its respective employee, medical personnel or affiliated organizations has any significant influence on the other party or any of its associates or Affiliates, or will receive any direct or indirect proceeds from a Contract other than as expressly stated in the Contract. CareFusion and the Customer have not violated any applicable laws or regulations or any applicable policies of which the other party has given notice regarding the offering of unlawful inducements in connection with a Contract. 14.5 Besteht ein Verletzungsanspruch oder stellt CareFusion fest oder wird CareFusion angezeigt, dass ein Produkt gewerbliche Schutzrechte eines Dritten verletzen kann oder verletzt, darf CareFusion nach eigener Wahl dieses Produkt durch ein im wesentlichen gleiches Produkt ersetzen, darf das Produkt so abändern, dass die Wirkungsweise des Produktes nicht wesentlich beeinflusst wird oder darf dem Kunden den Wert des zurückgegebenen Produkts ersetzen. 15 Vertraulichkeit. 15.1 Die Parteien werden Vertrauliche Informationen der jeweils anderen Partei ausschließlich zur Erfüllung ihrer Verpflichtungen gemäß dem Vertrag nutzen und Dritten gegenüber nicht offenlegen, es sei denn, dies wird von einer Regierungsbehörde, einem Gericht oder einer Aufsichtsbehörde in angemessener Weise verlangt. Die empfangende Partei darf Vertrauliche Informationen gegenüber ihren Geschäftsführern, Angestellten und Bevollmächtigten (i) nur in dem Ausmaß offenlegen, soweit dies in angemessener Weise für die Erfüllung ihrer Verpflichtungen gemäß dem Vertrag notwendig ist und (ii) nur insoweit offenlegen, soweit diese Personen verpflichtet sind, die Vertraulichen Informationen mindestens in dem Zeitraum vertraulich zu behandeln, in dem die empfangende Partei zur Geheimhaltung der Vertraulichen Informationen gemäß diesen Allgemeinen Verkaufsbedingungen verpflichtet ist. 15.2 Die empfangende Partei trifft alle angemessenen Maßnahmen, um die Geheimhaltung der Vertraulichen Informationen sicherzustellen und die Vertraulichen Informationen gegen Diebstahl, Beschädigung, Verlust oder unbefugten Zugriff zu schützen. Insbesondere wird die empfangende Partei die Vertraulichen Informationen mit dem gleichen Maß an Sorgfalt behandeln, das sie auch zum Schutz ihrer eigenen vertraulichen Informationen anlegt. Die empfangende Partei benachrichtigt die mitteilende Partei schriftlich über jeden Missbrauch oder jede unerlaubte Verwendung von Vertraulichen Informationen, von dem die empfangene Partei Kenntnis erlangt. 15.3 Diese Geheimhaltungsverpflichtung gilt nicht für Vertrauliche Informationen, die (i) öffentlich bekannt geworden sind, es sei denn, dies ist auf einen Verstoß der empfangenden Partei gegen die Bestimmungen dieser Geheimhaltungsverpflichtung zurückzuführen, (ii) die empfangende Partei rechtmäßig von einem Dritten ohne Einschränkungen erhalten hat, (iii) der empfangenden Partei bereits vor der Mitteilung bekannt waren, (iv) von der empfangenden Partei unabhängig entwickelt wurden oder (v) kraft Gesetzes oder aufgrund von Börsenvorschriften offenzulegen sind. 15.4 Der Kunde bestätigt hiermit und stimmt zu, dass er dafür verantwortlich ist, die Namen, Positionen, Telefon- und Telefaxnummern sowie die Post- und E-Mailaddressen seiner Mitarbeiter zusammenzustellen, die die Produkte verwenden oder warten und diese Daten CareFusion zur Verfügung zu stellen und er wird sich nach besten Kräften bemühen, die schriftliche Zustimmung dieser Mitarbeiter im Hinblick auf die Nutzung oder Weiterverarbeitung dieser Daten durch CareFusion zum Zweck der Installation und der Wartung der Produkte sowie der Überprüfung der Kundenzufriedenheit einzuholen. Diese Daten werden für die Dauer des Wartungsbedarfs des Kunden oder bis der Kunde CareFusion schriftlich über deren Änderung oder Widerrufung informiert, aufbewahrt. Der Kunde trägt die Verantwortung für die Verarbeitung aller personenbezogenen Daten dieser Mitarbeiter und deren Offenlegung gegenüber CareFusion und haftet gemäß den anwendbaren Persönlichkeitsschutz- und Datenschutzgesetzen und -vorschriften im Hinblick auf deren Verarbeitung. Insbesondere wird der Kunde seine Mitarbeiter in der notwendigen Art und Weise informieren und unterrichten und im Zusammenhang mit seinen Verpflichtungen gemäß dieser Ziffer 15.4 alle Gesetze und Vorschriften in Bezug auf den Persönlichkeitsund Datenschutz einhalten. Die Verarbeitung der personenbezogenen Daten durch CareFusion für den Kunden unterliegt der diesen Allgemeinen Verkaufsbedingungen beigefügten Datenschutz-Anlage. 16 Berichtspflichten und Untersuchungen. 16.1 Zusätzlich zur Beachtung aller gesetzlichen Bestimmungen wird der Kunde CareFusion (a) unverzüglich nach Eintritt eines Vorkommnisses mit Todesfolge und (b) innerhalb von 24 Stunden nach Eintritt eines Vorkommnisses, das zu schweren Verletzungen geführt hat oder hätte führen können, über alle Vorkommnisse und Beinahe-Vorkommnisse im Hinblick auf die Produkte unterrichten (und alle damit in Zusammenhang stehenden Informationen zur Verfügung stellen). Darüber hinaus wird der Kunde CareFusion innerhalb von 7 Tagen (oder einem anderen von CareFusion gegebenenfalls bestimmten Zeitraum) über alle Anzeigen, Berichte, Mitteilungen oder Stellungnahmen, gleich welcher Art, informieren. Diese Berichtspflichten gelten insbesondere im Hinblick auf alle Anzeigen, Berichte, Mitteilungen oder Stellungnahmen von Endverbrauchern an Regierungsbehörden, (a) dass die Unterlagen in Bezug auf die Produkte mangelhaft sind, (b) in denen ein Mangel in Bezug auf die Identität, Qualität, Haltbarkeit, Zuverlässigkeit, Sicherheit, Wirkungsweise oder Leistung eines Produkts behauptet wird oder (c) die sich auf Nebenwirkun-gen, Mängel oder Fehler der oder Verletzungen durch die Produkte beziehen. Ist der Kunde unsicher, ob bestimmte Vorkommnisse, Beinahe-Vorkommnisse, Anzeigen, Berichte, Mitteilungen oder Stellungnahmen gemäß dieser Ziffer 16.1 gegenüber CareFusion angezeigt werden müssen, darf er kein Risiko eingehen und muss unverzüglich alle Vorkommnisse, Beinahe-Vorkommnisse, Anzeigen, Berichte, Mitteilungen oder Stellungnahmen gegenüber CareFusion anzeigen. 16.2 Der Kunde wird CareFusion in angemessener Weise alle Informationen und die notwendige Unterstützung zukommen lassen, dies gilt insbesondere in Bezug auf die Untersuchung aller Vorkommnisse und Beinahe-Vorkommnisse und aller Anzeigen, Berichte, Mitteilungen oder Stellungnahmen von Regierungsbehörden oder anderen Personen (gleich in welcher Form und ob in Bezug auf Nebenwirkungen oder Verletzungen durch die Produkte oder Mängel oder Funktionsstörungen der Produkte oder in einem sonstigen Zusammenhang mit den Produkten). Meldet der Kunde einer Regierungsbehörde ein Vorkommnis oder Beinahe-Vorkommnis, wird er CareFusion wenn möglich vor Einreichung der Meldung (es sei denn, die gesetzlichen Bestimmungen und/oder Vorschriften schreiben etwas anderes vor) und in jedem Fall unverzüglich nach Einreichung einer Meldung darüber informieren und Kopien der Meldung übergeben. 23 Prioritization of Documents. In resolving inconsistencies in a Contract (that incorporates these GTCS), documents have priority in the following order: (a) Acknowledgement of Order; (b) special conditions as set up in the Contract, (c) the Schedules to these GTCS and (d) the main body of these GTCS; and (e) the Purchase Order. 24 Notices. Any notice from one party to the other party relating to the Contract shall be in writing and delivered either by hand, courier or mail (certified or registered, return receipt requested, postage prepaid) to the attention of General Counsel/General Manager at the receiving party s registered address. Either party may change its notice address upon written notice to the other party. 18 Anwendbares Recht. Für alle aus oder im Zusammenhang mit einem Vertrag entstehenden Streitigkeiten, einschließlich Streitigkeiten im Hinblick auf seine Auslegung sowie außervertragliche Streitigkeiten oder Ansprüche, sind ausschließlich die Gerichte am Sitz der vertragsschließenden CareFusion-Gesellschaft zuständig. 19 Gesamte Vereinbarung, Unwirksamkeit, Verzicht. Der Vertrag stellt die gesamte Vereinbarung zwischen Parteien im Hinblick auf den Vertragsgegenstand dar und ersetzt alle früheren mündlichen oder schriftlichen Vereinbarungen, Absprachen, Geschäfte und Mitteilungen zwischen den Parteien in Hinblick auf denselben. Die Unwirksamkeit aller oder eines Teils der Bestimmungen dieses Vertrages beeinträchtigt nicht die Wirksamkeit der anderen Bestimmungen des Vertrages oder eines Teils davon. Das Versäumnis einer Partei, ihre Rechte nach diesem Vertrag auszuüben oder durchzusetzen, gilt nicht als Verzicht auf ein solches Recht und verhindert nicht die Ausübung oder Durchsetzung eines solchen Rechts. Ein Verzicht auf eine Bestimmung durch CareFusion ist nur wirksam, wenn er schriftlich erfolgt. 20 Einhaltung der Gesetze. Die Parteien verpflichten sich zur Einhaltung aller im Hinblick auf die Ausführung eines jeden Vertrages anwendbaren Gesetze und Vorschriften einschließlich des am Sitz des Kunden geltenden zwingenden Rechts. 21 Unrechtmäßige Beeinflussung. Nach bestem Wissen von CareFusion und dem Kunden haben weder sie noch ihre Mitarbeiter, ihr medizinisches Personal oder mit ihr verbundene Unternehmen einen maßgeblichen Einfluss auf die jeweils andere Partei, ihre Gesellschafter oder mit ihr Verbundenen Unternehmen, und sie erhalten außer den ausdrücklich im Vertrag bestimmten keine direkten oder indirekten Zahlungen aus einem Vertrag. CareFusion und der Kunde haben keine anwendbaren Gesetze und Vorschriften oder anwendbaren Richtlinien, die die jeweils andere Partei angezeigt hat, im Hinblick auf das Anbieten unrechtmäßiger Anreize im Zusammenhang mit einem Vertrag verletzt. 22 Vertragsbeginn. Diese Allgemeinen Verkaufsbedingungen gelten ab dem auf Seite 1 bzw. in der Fußzeile jeder Seite aufgeführten Ausstellungsdatum und gelten für alle nach diesem Datum geschlossenen Verträge. CareFusion kann diese Allgemeinen Verkaufsbedingungen jeweils nach eigenem Ermessen überarbeiten und ersetzen, wobei in der überarbeiteten oder ersetzten Fassung das Datum, ab dem diese Fassung der Allgemeinen Verkaufsbedingungen gelten soll, angegeben sein muss. CareFusion wird den Kunden jeweils schriftlich über die Überarbeitung oder Ersetzung dieser Allgemeinen Verkaufsbedingungen informieren und wird dem Kunden eine Ausfertigung der überarbeiteten oder ersetzten Allgemeinen Verkaufsbedingungen zur Verfügung stellen. Diese gelten für alle Verträge, die ab dem Datum, an dem diese überarbeiteten oder ersetzten Allgemeinen Verkaufsbedingungen wirksam werden, abgeschlossen werden. 23 Rangfolge der Dokumente. Zur Vermeidung von Widersprüchen in Bezug auf einen Vertrag (auf den diese Allgemeinen Verkaufsbedingungen Anwendung finden) gelten die nachstehenden Dokumente in der folgenden Reihenfolge: (a) Auftragsbestätigung, (b) besondere im Vertrag vereinbarte Bedingungen, (c) Anlagen zu diesen Allgemeinen Verkaufsbedingungen, (d) Haupttext dieser Allgemeinen Verkaufsbedingungen und (e) Bestellung. 24 Mitteilungen. Sämtliche Mitteilungen von einer Partei an die jeweils andere Partei im Zusammenhang mit dem Vertrag müssen schriftlich erfolgen und sind an den Leiter der Rechtsabteilung/Geschäftsführer (General Counsel/General Manager) am eingetragenen Sitz der empfangenden Partei entweder persönlich zu übergeben oder per Kurier oder per Post (per Einschreiben oder Certified Mail, mit Rückschein, Porto im Voraus bezahlt) zu versenden. Jede Partei kann ihre Adresse für Mitteilungen ändern, wobei dies der jeweils anderen Partei schriftlich angezeigt werden muss. 22 Effective Date. 17 Abtretung; Drittbegünstigte. These GTCS are effective from the issue date shown on page 1 / at the foot page of each page and are applicable to Contracts entered into after such effective date. These GTCS are subject to revision and replacement from time to time by CareFusion in its sole discretion, and any revision and replacement shall indicate the date from which it shall apply. CareFusion shall notify the Customer in writing of any revisions or replacements to these GTCS made from time to time and provide the Customer with a copy of such revised or replaced GTCS. They shall apply to all Contracts entered into from the date such revised or replacement GTCS become effective. CareFusion kann ihre Rechte und/oder Pflichten aus einem Vertrag oder Teile davon auch ohne die Zustimmung des Kunden an ein mit ihr Verbundenes Unternehmen, einen ihrer autorisierten Vertragshändler oder technischen Kundendienstleister, den Hersteller der Produkte oder einen anderen Dritten abtreten oder übertragen oder mit ihnen erneuern. Personen, die nicht Partei eines Vertrages sind, sind zur Durchsetzung einer Bestimmung des Vertrages nicht berechtigt. 148 149
