3 "Micro" Product Description - valid from December 17, Preface 1.1 In the case you chose our Flange Products, you take over and provide your gas at the entry-/exit point of the chosen underground storage facility in the net of the certain network operator. Thereby we provide you access to the market areas of GASPOOL Balancing Services GmbH ("GASPOOL") and NetConnect Germany GmbH & Co. KG ("NetConnect Germany"). You assume the booking and nominating of the gas transport and benefit of a lead-time of 2 hours for within-day-renominations. The gas you provided us remains in your possession at all times of storing. However, we offer you, through an easy service, to transfer your gas to another customer at the storage 1.2 The BioMicro is a flexible, weekly product for which we guarantee that your gas retains its biogenous features while it is stored. With its turnover rate of 6.25 days the product is suitable particularly for short-term balancing out your bio natural gas balancing group. A special bio shipper code ensures that your bio gas storage can be connected to your bio gas balancing group only. The product has a minimal service period of one week, a fixed fee, no characteristics and is interruptible In this product description, you will learn more about the features of the product BioMicro the processing of a BioMicro contract as well as its framework conditions regarding transport and network technology. You will also learn how to contract the BioMicro, which storage fee to be paid and what additional services you may make use of in connection with the BioMicro product. 1.4 The italicized terms in this description comply with the terms set out in the "General Terms and Conditions of VGS for the Storage of Gas at the Underground Storage Facilities operated by VGS" (Storage GT&C) published at and coming into force on October 15, I. DESCRIPTION OF THE "BIOMICRO" PRODUCT 2 "BioMicro" as Bundled Capacity on Interruptible Basis 2.1 The "BioMicro" product involves bundled capacities consisting of the interruptible capacities of working gas volume, injection rate and withdrawal rate. The capacities of one "BioMicro" are defined in the table below: page 3 of 17

4 "Micro" Product Description - valid from December 17, Working Gas Volume GWh Injection Rate MWh/h Withdrawal Rate MWh/h The capacities of injection rate and withdrawal rate of a "BioMicro" shall be useable irrespective of a characteristic. 2.3 Any interruption of the capacities of working gas volume, injection rate and withdrawal rate shall take place in accordance with the reduction order defined in the Operating Manual. If the working gas volume is interrupted, the customer is obligated to withdraw the gas quantities notified by VGS within a time period prescribed by VGS. If the customer does not withdraw the quantity punctually, or not completely, or not at all (nonwithdrawal), then VGS is entitled to demand a lump-sum restitution of damages according to number 20, besides further statutory and contractual claims. 3 Service Period 3.1 The service period of one "BioMicro" comprises seven (7) consecutive gas days or a multiple thereof. 3.2 Subject to the availability of correspondent capacities the customer may contract "BioMicro" in any number both for the same or different service periods. II. CONTRACT AND INDIVIDUAL BOOKING "BIOMICRO" 4 Principles 4.1 The "BioMicro" product is contracted by means of so-called individual bookings. Making individual bookings require concluding a "BioMicro" contract. 4.2 The customer can conclude a "BioMicro" contract in connection with the first-time individual booking of "BioMicro" or independently from such an individual booking. The ways to conclude a "BioMicro" contract are described in number The ways to execute individual bookings based on an already existing "BioMicro" contract are described in numbers 8 to 12. page 4 of 17

5 "Micro" Product Description - valid from December 17, CONTRACT "BIOMICRO" 5 Character and Integral Parts of the "BioMicro" Contract 5.1 The "BioMicro" contract has the character of a framework agreement and applies for all individual bookings of "BioMicro" executed on this basis. 5.2 The "BioMicro" product and therefore the "BioMicro" contract can be contracted at the following storage facilities: Bernburg, Bad Lauchstädt. 5.3 Integral Parts of the "BioMicro" contract shall be the annex "Specification". This is a list of current individual bookings of the customer including the capacity fee to be paid for this service. Current individual bookings comprise all "BioMicro" bookings contracted as individual bookings whose service period has not yet expired. The annex "Specification" is updated at every individual booking. The updated annex replaces the respective previous annex "Specification". 5.4 Integral Parts of the "BioMicro" contract shall also be the following documents designated hereinafter as "VGS Terms and Conditions": Storage GT&C, Operating Manual, in the respective version valid from October 15, Subject Matter of Contract Storage of Biogas 6.1 The customer shall use the capacities agreed upon in a "BioMicro" contract solely for the storage of biogas subject to the Energiewirtschaftsgesetz (German Energy Industry Act). VGS sets up a working gas account for a "BioMicro" contract that gets a specific biogas shipper code (biogas working gas account). VGS allows an injection of biogas to a biogas working gas account only if the supplying balancing group within the network of the adjacent network operator is a biogas balancing group. In this way, a complete documentation of the injection, storage inside the storage facility and withdrawal of biogas can be guaranteed. page 5 of 17

6 "Micro" Product Description - valid from December 17, The customer shall be able to withdraw biogas from the biogas working gas account even if the receiving balancing group within the network of the adjacent network operator is a natural gas balancing group. The risk that the relevant gas quantity loses its specific biogas status in consequence of such a withdrawal shall be solely borne by the customer. 6.2 The biogas supplied by the customer is stored together with and non-separated from other gas quantities of fossil origin, where it remains the (jointly held) property of the customer. The customer and the storage facility operator agree, that the identity of the gas, especially with respect to the possible origin of the gas as biogas, cannot be maintained. Specific requirements as to the quality and origin of the gas supplied by the customer as biogas shall be taken into account neither for the injection nor the storage or the withdrawal. VGS shall not check the origin of the gas when injected. The customer and the storage facility operator shall only be obligated to supply gas quantities that are in conformity with the requirements on gas quality published by the adjacent network operator for the gas transfer point concerned, but not supplying gas of a specific origin or with certain certificates of origin. The risk whether the stored gas is to be considered as gas produced according to the Biomasseverordnung (German Biomass Ordinance), for example in order to receive appropriate remunerations subject to the Erneuerbare-Energien-Gesetz (German Renewable Energy Law) in the use of the gas in the electricity, shall be solely borne by the customer. The obligation to set up a working gas account for a "BioMicro" contract imposed on VGS according to number 5.1 shall remain unaffected hereby. 7 Conclusion of a "BioMicro" Contract 7.1. To conclude a "BioMicro" contract, the customer may send via a non-binding informal request only concerning the conclusion of a "BioMicro" contract (number 7.2) respectively a non-binding informal request for the first-time individual booking of "BioMicro" (number 7.3) or use the "easystore" online product configurator in the customer portal at in order to issue a non-binding booking request for the first-time individual booking of "BioMicro" (number 7.4) respectively page 6 of 17

7 "Micro" Product Description - valid from December 17, carry out the first-time individual booking of "BioMicro" by online booking (number 7.5). 7.2 If the customer concludes a "BioMicro" contract without the definite intention of any individual booking of "BioMicro", so that the contract merely represents the future option of individual booking of "BioMicro", he must send a non-binding informal request per to sales@vng-gasspeicher.de. In this request the customer only has to name the storage facility for which the "BioMicro" contract should be concluded. VGS then sends the customer a standardised "BioMicro" contract along with a blank annex "Specification" form in duplicate per post. The return of the signed contract by the customer per post is then considered as a binding offer for the conclusion of the "BioMicro" contract. VGS accepts the offer by counter signature and by returning the countersigned copy of the contract to the customer. 7.3 The customer can also make a non-binding informal request to conclude a "BioMicro" contract in connection with the first-time individual booking of "BioMicro". In this case the request to be sent per to sales@vng-gasspeicher.de must contain the following information: the storage facility for which the "BioMicro" contract shall be concluded, the desired quantity of "BioMicro", and the desired service period of the respective "BioMicro". VGS further processes the request by applying the respective Terms of Registration and Booking for a non-binding booking request and for the conclusion of the contract on the basis of such a booking request. 7.4 Furthermore, the customer can conclude a "BioMicro" contract in connection with the first-time individual booking of "BioMicro" by means of the non-binding booking request. The Terms of Registration and Booking apply to processing a non-binding booking request and concluding a contract on the basis of such a booking request. 7.5 Finally, the customer at all times has the option to conclude the "BioMicro" contract in connection with the first-time individual booking of "BioMicro" by online booking. The Terms of Registration and Booking also apply to such a contract conclusion by means of online booking. page 7 of 17

8 "Micro" Product Description - valid from December 17, Term and Termination of a "BioMicro" Contract 8.1 The "BioMicro" contract shall become effective upon the time of contract conclusion and shall run for an indefinite period of time. 8.2 The "BioMicro" contract ends automatically without requiring a termination if after expiry of twelve (12) full consecutive storage months after the respective "BioMicro" contract took effect not a single individual booking of "BioMicro" had been issued in the time period of said contract or after expiry of twelve (12) full consecutive storage months after expiry of the service periods of all individual bookings issued on the basis of the respective "BioMicro" contract. 8.3 The "BioMicro" contract can be terminated by either contractual partner with a notice period of one (1) month by the end of the storage month. The provisions for termination for an important cause pursuant to the Storage GT&C shall remain unaffected hereby. 8.4 In case of termination of the "BioMicro" contract according to number 8.3 the "BioMicro" contract shall remain effective until the service periods of all individual bookings made prior to the termination of said contract have expired. 8.5 After termination of the "BioMicro" contract according to number 8.3, the ability to issue such individual bookings of "BioMicro" whose service periods go beyond the end of the "BioMicro" contract as per the termination is excluded according to number 8.3 sentence 1 respectively 8.4. INDIVIDUAL BOOKINGS OF "BIOMICRO" 9 Booking Procedures for Making Individual Bookings For the individual booking of "BioMicro" based on an existing "BioMicro" contract, the customer may send via a non-binding informal request for the individual booking of "BioMicro" (number 10) or use the contract monitor in the costumer portal at in order to page 8 of 17

9 "Micro" Product Description - valid from December 17, issue a non-binding booking request for the individual booking of "BioMicro" (number 11) respectively carry out an individual booking of "BioMicro" by online booking (number 13). 10 Individual Booking by a Non-Binding Informal Request 10.1 For the individual booking of "BioMicro" based on an existing "BioMicro" contract the customer may send a non-binding informal request via to sales@vnggasspeicher.de, that shall contain the following information: The contract number of the "BioMicro" contract on the basis of which the individual booking is to be made, the favoured number of "BioMicro" and the favoured service period of the "BioMicro" capacities The further processing of a non-binding informal request by VGS shall be carried out in accordance with the provisions of number Individual Booking by a Non-Binding Booking Request 11.1 For the individual booking of "BioMicro" based on an existing "BioMicro" contract the customer shall also be entitled to send a non-binding booking request to VGS. Such booking request requires the registration for the customer portal of VGS as well as the authorisation to use the contract monitor in accordance with the Terms of Registration and Booking The customer shall select the function "Add Capacity" for the respective "BioMicro" contract in the contract monitor of the customer portal, where an online form for the contract-specific individual booking of "BioMicro" is stored. Then the customer shall completely fill in the provided input fields of this online form and send the completed form to VGS by using the booking path "Proceed to Request" In derogation from the Terms of Registration and Booking the provisions of number 12 shall apply to further processing of a non-binding booking request. 12 Processing Individual Booking Requests as per Number 10 and Number After receipt of a non-binding informal request according to number 10 respectively a non-binding booking request according to number 11 (individual booking requests), VGS shall examine the availability of the requested "BioMicro" without discrimination page 9 of 17

10 "Micro" Product Description - valid from December 17, and in conformity with the generally recognized state of the art and shall endeavour to respond to the individual booking request within two (2) working days VGS shall process the individual booking requests in chronological order of receipt (first come, first served) Should VGS be unable to respond to an individual booking request within two (2) working days for whatever reason, VGS shall notify the customer of this in writing stating the reasons If VGS, after careful and non-discriminatory examination of the individual booking request, determines that the requested capacities are available, VGS shall send the customer by an updated annex "Specification" according to number 5.3. The sending of this updated annex "Specification" shall be considered as binding offer by VGS for adjustment of the scope of services of the "BioMicro" contract. If and when the customer does not object the updating within two (2) working days from receipt of the updated annex "Specification", the sent annex "Specification" shall be considered as part of the "BioMicro" contract and the "BioMicro" capacities shall be considered contracted The annex "Specification" shall be kept in the contract monitor and can be viewed there If VGS, after careful and non-discriminatory examination, must reject the individual booking request due to lack of free capacities or other reasons, VGS shall justify the rejection in written form (declaration of refusal). 13 Individual Booking by Online Booking 13.1 In addition the individual booking of "BioMicro" based on an existing "BioMicro" contract may be carried out at any time by using the online booking in the customer portal. The online booking procedure requires the registration for the customer portal of VGS as well as the authorisation to online booking and use of the contract monitor in accordance with the Terms of Registration and Booking. In derogation from the Terms of Registration and Booking the provisions of the numbers 13.2 to 13.6 shall apply to the individual booking of "BioMicro" by online booking The customer shall select the function "Add Capacity" for the respective "BioMicro" contract in the contract monitor of the customer portal, where an online form for the contract-specific individual booking of "BioMicro" is stored. Then the customer shall completely fill in the provided input fields of this online form and communicate the page 10 of 17

11 "Micro" Product Description - valid from December 17, completed form to VGS by using the booking path "Proceed to Booking". In this connection the customer shall request a booking code from VGS, which VGS shall send him via immediately afterwards The forwarding of the completed online form and the subsequent dispatch of the booking code received from VGS via the customer portal as part of the online booking shall be deemed a binding offer by the customer for adjustment of the scope of services of the "BioMicro" contract Binding offers received according to number 13.3 will be subject to automated processing in chronological order (first come - first served). The acceptance of a binding offer by VGS will be displayed in the customer portal by a booking confirmation. With acceptance by VGS the scope of services of the "BioMicro" contract shall be considered adjusted and the "BioMicro" capacities contracted The annex "Specification" shall be kept in the contract monitor and can be viewed there If a binding offer from a customer according to number 13.3 cannot be accepted because of binding offers according to number 13.3 from third parties received earlier, this fact will be immediately displayed to the user in the customer portal. 14 Implementation Period for Individual Bookings of "BioMicro" 14.1 If the first-time individual booking of "BioMicro" occurs at the same time as the conclusion of the "BioMicro" contract by means of the non-binding informal request according to number 7.3 or by means of the non-binding booking request according to number 7.4, fundamentally an implementation period of five (5) working days between the day of the conclusion of the "BioMicro" contract and the start of the service period of the contracted "BioMicro" must be taken into account. At the first-time individual booking of "BioMicro" with simultaneous conclusion of the "BioMicro" contract by means of online booking according to number 7.5, in deviation to sentence 1 an implementation period of one (1) calendar day between the day of the conclusion of the "BioMicro" contract and the start of the service period of the contracted "BioMicro" must be fundamentally taken into account. page 11 of 17

For individual bookings of "BioMicro" by means of online booking according to number 13 issued on the basis of an existing "BioMicro" contract, deviating to sentence 1 fundamentally an implementation period of one (1) calendar day must be taken into account between the time of the individual booking of "BioMicro" in the sense of number 13.4 and the intended start of the service period. The customer shall also pay the value added tax (VAT) in the particular legal amount as well as any taxes and dues in accordance with the respective "BioMicro" contract. page 12 of 17

13 "Micro" Product Description - valid from December 17, Capacity Fee 16.1 The capacity fee for contracted "BioMicro shall be the capacity fee as set out in the Fee Schedule that is valid and published at at the time of the respective individual booking( Contract-defining Fee Schedule ) If an interruption occurs that cannot be attributed to force majeure pursuant to the Storage GT&C, there will be no refund of the capacity fee. This means that the capacity fee for a "BioMicro has to be paid even if the interruption lasts over the entire service period. 17 Variable Fee 17.1 The variable fee shall be calculated based on the gas quantities (MWh) injected by the customer in the respective storage month multiplied by the "variable fee" factor (VFF) applicable to the current storage year in /MWh. The injected gas quantities to be nominated in the energy unit of kilowatt hours (kwh) according to the Operating Manual follows from the gas quantities communicated in the confirmation or reduction notice according to number 4.5 of the Operating Manual The "variable fee" factor applicable to the respective current storage year is determined on the basis of the variable fee for the storage year in which the respective "BioMicro" contract was concluded. This "variable fee" factor shall be taken from the Contract-defining Fee Schedule The "variable fee" factor changes on April 1 of every calendar year according to a fee adaptation formula set forth in the respective "BioMicro" contract. This formula for the "variable fee" factor shall be taken from the Contract-defining Fee Schedule. SERVICES AND SERVICE FEE 18 Services and Service Fee 18.1 Provided the relevant prerequisites are fulfilled, the customer shall be entitled within the term of a "BioMicro" contract to make use in return for payment of the VGS services offered below in connection with the "BioMicro" product: exceeding of capacity according to number 19.1, gas transfer according to number 20.1 and If use is made of the services according to number 18.1, the customer shall pay the relevant service fee, i.e. for page 13 of 17

14 "Micro" Product Description - valid from December 17, exceeding of capacity payment of an overrun fee according to number 19.2, gas transfer payment of a transfer fee according to number Other general provisions, in particular in terms of amount of the service fee the customer may have to pay to VGS, can be gathered from the Fee Schedule. The Contract-defining Fee Schedule that is valid on the date of submission of a binding offer for the conclusion of a "BioMicro" contract shall apply The service fees referred to in number 18.2 which the customer shall pay to VGS if applicable are net fees. The customer shall also pay the value added tax (VAT) in the particular legal amount as well as any taxes and dues in accordance with the respective "BioMicro" contract. 19 Exceeding of Capacity and Overrun Fee 19.1 In accordance with the procedure defined in the Operating Manual the customer may use non-contractual capacities (exceeding of capacity). Aforementioned sentence 1 shall not be deemed to create an entitlement for use of capacities beyond the contractually agreed capacities In the event of exceeding of capacity according to number 19.1 the customer shall pay an overrun fee. The amount of the overrun fees applicable to the respective "BioMicro" contract can be gathered from the Contract-defining Fee Schedule. 20 Gas Transfer within a Storage Facility and Transfer Fee 20.1 Customer may transfer injected gas quantities to another customer (gas transfer) provided the other customer s contract is a valid contract Micro, "BioMicro", "Micro Storage, "BioMicro Storage", "Trading" or "Trading Storage", for the same storage facility. In this connection, VGS also permits a gas transfer, if the contract of the other customer is a contract for the storage of natural gas. The risk that the relevant gas quantity loses its specific biogas status and cannot be withdrawn in a biogas balancing group in consequence of such a gas transfer, shall be solely borne by the customer. page 14 of 17

15 "Micro" Product Description - valid from December 17, Is the other customer s contract a "Trading Storage" contract the gas transfer also requires that the working gas account of the other costumer s contract shows a working gas account balance after the gas transfer that does not exceed 95 % of the totally contracted working gas volume. VGS shall enter the gas transfer in the working gas accounts of the relevant customers. Details of the procedure are laid down in the Operating Manual 20.2 A gas transfer according to number 20.1 shall also be possible between contracts of the same customer A gas transfer according to number 20.1 or 20.2 shall be subject to a transfer fee charged by VGS, the amount of which depending on the contract of the customer whose gas is transferred to another working gas account. The transfer fee shall be paid by the transmitting customer to VGS. The amount of the transfer fee applicable to the respective "BioMicro" contract can be gathered from the Contract-defining Fee Schedule In addition to the regulation in accordance with Number 20.1 above, a transfer of injected gas quantities to another customer or the takeover of injected gas quantities from another customer, respectively, shall in principle even be possible even in the case that the other customer owns a valid contract that is not mentioned in number 20.1 sentence 1 to storage natural gas for the same storage facility ("Other Flange-contract") or owns a contract with a virtual trading point as the agreed gas transfer point ("Hub contract") and that Hub contract expressly provides for the physical storage of the gas quantities to be injected in the storage facility for which this contract "BioMicro" was concluded. In that case, however, the gas shall be transferred subject to certain technical conditions and the prior fulfilment of contractual obligations that are already existing vis-à vis other customers. The same shall apply in the case that the customer is a contractual partner of this contract "BioMicro", an Other Flange-contract or of the Hub contract at the same time. At the customer s request, VGS shall examine the feasibility of such a gas transfer. In the event of a gas transfer, the provision above shall apply mutatis mutandis page 15 of 17

16 "Micro" Product Description - valid from December 17, OTHER FEES 21 Non-Withdrawal and Lump-sum Restitution of Damages In the event of non-withdrawal after interruption of the working gas volume according to number 2.3, VGS shall impose a lump-sum claim for restitution of damages of 2.00 per 1,000 kwh not withdrawn on time and per hour of exceeding the time limit. VGS reserves the right to provide evidence of greater damages. The customer reserves the right to provide evidence that none or only slight damage has arisen. ACCOUNTING OF STORAGE FEE, SERVICE FEE AND OTHER FEES 22 Invoicing 22.1 VGS shall invoice the customer the contract-specific capacity fee according to number 16 on a monthly basis, usually by the twentieth (20 th ) calendar day of the current storage month for the previous storage month VGS shall invoice the customer the variable fee according to number 17 on a monthly basis, usually by the twentieth (20 th ) calendar day of the current storage month for the previous storage month Any overrun fee for exceeding of capacity according to number 19.2, transfer fee for gas transfer according to number 20.3 and liquidated damages in case of nonwithdrawal according to number 21 shall always be charged by VGS in the calendar month following the exceeding of capacity or gas transfer or non-withdrawal after an interruption of the working gas volume. III. 21 1 Vorbemerkung 1.1 Bei unseren Flansch Produkten übernehmen und übergeben Sie Ihr Gas am Entry/Exit-Punkt des entsprechenden Untergrundgasspeichers im Netz des jeweiligen Netzbetreibers. Dabei bieten wir Ihnen den Zugang zu den Marktgebieten GASPOOL Balancing Services GmbH ( GASPOOL ) und NetConnect Germany GmbH & Co. KG ( NetConnect Germany ). Sie übernehmen die Buchung und Nominierung des Gastransportes selbst und profitieren von einer 2-stündigen Vorlaufzeit bei Within-Day-Renominierungen. Das an uns übergebene Gas bleibt zu jeder Zeit der Speicherung in unseren Gasspeichern Ihr Eigentum. Durch einen einfachen Service bieten wir Ihnen allerdings auch die Übertragung auf andere Kunden im Speicher an. 1.2 Bei dem Produkt BioMicro handelt es sich um ein flexibles Wochenprodukt bei dem wir Ihnen garantieren, dass Ihr Gas während der Speicherung seine biogenen Eigenschaften behält. Mit seiner Umschlagsdauer von 6,25 Tagen eignet sich das Produkt zum kurzfristigen Ausgleich Ihres Biogas-Bilanzkreises. Ein spezieller Bio- Shippercode gewährleistet, dass Ihr Biogasspeicher ausschließlich mit Ihrem Biogas-Bilanzkreis verknüpft werden kann. Das Produkt besitzt einen fixen Leistungszeitraum, ein fixes Entgelt und ist unterbrechbar. 1.3 In dieser Produktbeschreibung erfahren Sie mehr über die Merkmale des Produkts BioMicro, die Abwicklung eines BioMicro Vertrages sowie dessen transportseitige und netztechnische Rahmenbedingungen. Sie erfahren auch, wie BioMicro kontrahiert werden kann, welches Speicherentgelt zu zahlen ist und welche zusätzlichen Dienstleistungen Sie im Zusammenhang mit diesem Produkt entgeltlich in Anspruch nehmen können. 1.4 Bei den in dieser Produktbeschreibung kursiv dargestellten Begrifflichkeiten handelt es sich um Begriffsbestimmungen nach Maßgabe der unter veröffentlichten Allgemeinen Geschäftsbedingungen der VGS für die Speicherung von Gas in den von VGS betriebenen Untergrundgasspeichern, gültig ab (Speicher-AGB). BESCHREIBUNG DES PRODUKTS BIOMICRO WESENTLICHE MERKMALE DES PRODUKTS BIOMICRO 2 BioMicro als gebündelte Kapazität auf unterbrechbarer Basis 2.1 Bei dem Produkt BioMicro handelt es sich um gebündelte Kapazitäten, die aus den unterbrechbaren Kapazitäten Arbeitsgasvolumen, Einspeicherleistung und Ausspeicherleistung bestehen. Die Kapazitäten eines BioMicro sind in nachfolgender Tabelle definiert: Arbeitsgasvolumen GWh Einspeicherleistung MWh/h Ausspeicherleistung MWh/h 0,50 5,00 10, Die Kapazitäten Einspeicherleistung und Ausspeicherleistung eines BioMicro sind ungeachtet einer Kennlinie nutzbar. 2.3 Eine etwaige Unterbrechung der Kapazitäten Arbeitsgasvolumen und/oder Einspeicherleistung und/oder Ausspeicherleistung erfolgt in einer vorab definierten, im Operating Manual geregelten Unterbrechungsreihenfolge. Erfolgt eine Unterbrechung des Arbeitsgasvolumens, ist der Kunde verpflichtet, die von VGS mitgeteilten Gasmengen innerhalb einer von VGS gesetzten Frist auszuspeichern. Speichert der Kunde nicht fristgerecht, nicht vollständig bzw. gar nicht aus (Nichtausspeicherung), ist VGS neben weitergehenden gesetzlichen und vertraglichen Ansprüchen berechtigt, einen pauschalierten Schadensersatz gemäß Nummer 21 zu verlangen. 3 Leistungszeitraum 3.1 Der Leistungszeitraum eines BioMicro umfasst sieben (7) aufeinanderfolgende Gastage oder ein Vielfaches hiervon. 3.2 Vorbehaltlich der Verfügbarkeit entsprechender Kapazitäten kann der Kunde Bio Micro in beliebiger Anzahl sowohl für gleiche als auch für unterschiedliche Leistungszeiträume kontrahieren. 23 II. VERTRAG UND EINZELBUCHUNG BIOMICRO 4 Grundsätze 4.1 Das Produkt BioMicro wird im Wege sogenannter Einzelbuchungen kontrahiert. Um Einzelbuchungen vornehmen zu können, ist der Abschluss eines Vertrages BioMicro erforderlich. 4.2 Der Kunde kann einen Vertrag BioMicro im Zusammenhang mit der erstmaligen Einzelbuchung von BioMicro oder unabhängig von einer solchen Einzelbuchung abschließen. Die Wege zum Abschluss eines Vertrages BioMicro ergeben sich aus Nummer Die Wege zur Vornahme von Einzelbuchungen auf der Grundlage eines bereits bestehenden Vertrages BioMicro sind in den Nummern 9 bis 13 beschrieben. VERTRAG BIOMICRO 5 Charakter und Bestandteile des Vertrages BioMicro 5.1 Der Vertrag BioMicro hat den Charakter eines Rahmenvertrages und gilt übergreifend für alle Einzelbuchungen von BioMicro, die auf seiner Basis vorgenommen werden. 5.2 Das Produkt und mithin der Vertrag BioMicro kann für folgende Speicher kontrahiert werden: Speicher Bernburg (BBG), Speicher Bad Lauchstädt (BDL) 5.3 Wesentlicher Bestandteil des Vertrages BioMicro ist die Anlage Spezifikation. Hierbei handelt es sich um eine Auflistung der aktuellen Einzelbuchungen des Kunden einschließlich des hierfür zu zahlenden Leistungsentgelts. Aktuelle Einzelbuchungen umfassen alle im Wege der Einzelbuchung kontrahierten BioMicro, deren Leistungszeitraum noch nicht abgelaufen ist. Seite 6 von 21

24 Die Anlage Spezifikation wird bei jeder Einzelbuchung entsprechend aktualisiert. Die aktualisierte Anlage ersetzt die jeweils bisherige Anlage Spezifikation. 5.4 Wesentliche Bestandteile des Vertrages BioMicro sind auch die nachfolgend im Gesamten als Geschäftsbedingungen der VGS bezeichneten Dokumente: Speicher-AGB, Operating Manual jeweils in der ab gültigen Fassung. 6 Vertragsgegenstand Speicherung von Biogas 6.1 Der Kunde ist verpflichtet die vertraglich vereinbarten Kapazitäten ausschließlich zur Speicherung von Biogas im Sinne des Energiewirtschaftsgesetzes zu nutzen. VGS legt für den Vertrag BioMicro ein Arbeitsgaskonto an, welchem ein spezifischer Biogas Shippercode zugeordnet wird (Biogas-Arbeitsgaskonto). VGS lässt eine Einspeicherung von Biogas in das Biogas-Arbeitsgaskonto nur zu, wenn der abgebende Bilanzkreis im Netz des angrenzenden Netzbetreibers ein Biogas-Bilanzkreis ist. Damit kann die lückenlose Dokumentation der Einspeicherung, der Lagerung im Speicher selbst und der Ausspeicherung von Biogas gewährleistet werden. Die Ausspeicherung von Biogas aus dem Biogas-Arbeitsgaskonto ist dem Kunden hin-gegen auch dann möglich, wenn es sich bei dem abnehmenden Bilanzkreis im Netz des angrenzenden Netzbetreibers um einen Erdgas-Bilanzkreis handelt. Das Risiko, dass mit einer solchen Ausspeicherung die betreffende Gasmenge den besonderen Biogasstatus verliert, trägt der Kunde. Seite 7 von 21

25 6.2 Das vom Kunden übergebene, in dessen (Mit-)Eigentum verbleibende Biogas wird zusammen mit und ungetrennt von anderen Gasmengen aus fossiler Herkunft gespeichert. Kunde und Speicherbetreiber sind sich einig, dass die Nämlichkeit des Gases insbesondere auch hinsichtlich der eventuellen Herkunft des Gases als Biogas nicht gewahrt werden kann. Besondere Qualitäts- oder Herkunftsanforderungen an das Gas des Kunden als Biogas werden weder bei der Einspeicherung noch bei der Lagerung im Speicher selbst noch bei der Ausspeicherung berücksichtigt. VGS prüft bei der Ein-speicherung des Gases nicht dessen Herkunft. Der Kunde und VGS sind nur verpflichtet, einander Gasmengen gemäß den vom angrenzenden Netzbetreiber für den betreffenden Gasübergabepunkt veröffentlichten Gasbeschaffenheitsanforderungen zu übergeben, nicht aber Gas einer bestimmten Herkunft oder mit bestimmten Herkunftszertifikaten. Das Risiko, ob das gespeicherte Gas als im Sinne der Biomasseverordnung erzeugtes Gas gilt, beispielsweise um beim Einsatz in der Stromerzeugung die entsprechenden Vergütungen nach dem Erneuerbare-Energien-Gesetz zu erhalten, trägt allein der Kunde. Unberührt hiervon bleibt die der VGS gemäß Nummer 5.1 obliegende Verpflichtung, für den Vertrag BioMicro ein Biogas-Arbeitsgaskonto anzulegen. 7 Abschluss eines Vertrages BioMicro 7.1 Um einen Vertrag BioMicro abzuschließen, kann der Kunde per eine unverbindliche formlose Anfrage lediglich zum Abschluss eines Vertrages BioMicro stellen (Nummer 7.2) bzw. eine unverbindliche formlose Anfrage zur erstmaligen Einzelbuchung von Bio Micro stellen (Nummer 7.3) oder mit Hilfe des Online-Produktkonfigurators easystore im Kundenportal unter eine unverbindliche Buchungsanfrage zur erstmaligen Einzelbuchung von Bio Micro stellen (Nummer 7.4) bzw. im Wege der Onlinebuchung die erstmalige Einzelbuchung von BioMicro vornehmen (Nummer 7.5). 26 7.2 Möchte der Kunde einen Vertrag BioMicro ohne die konkrete Absicht der Einzelbuchung von BioMicro abschließen, so dass dieser Vertrag lediglich der künftigen Möglichkeit zur Einzelbuchung von BioMicro dient, hat er eine unverbindliche formlose Anfrage per an zu senden. In der Anfrage hat der Kunde lediglich den Speicher zu benennen, für den der Vertrag BioMicro geschlossen werden soll. VGS übersendet dem Kunden sodann einen standardisierten Vertrag BioMicro nebst Blanko-Anlage Spezifikation in zweifacher Ausfertigung auf dem Postweg. Die postalische Rücksendung der durch den Kunden unterzeichneten Vertragsausfertigungen gilt als verbindliches Angebot zum Abschluss des Vertrages BioMicro. Die Angebotsannahme seitens VGS erfolgt durch Gegenzeichnung und Übersendung einer gegengezeichneten Vertragsausfertigung an den Kunden. 7.3 Daneben kann der Kunde eine unverbindliche formlose Anfrage auf Abschluss eines Vertrages BioMicro verbunden mit der erstmaligen Einzelbuchung von BioMicro stellen. Die per an zu sendende Anfrage hat in diesem Fall folgende Informationen zu enthalten: den Speicher, für den der Vertrag BioMicro geschlossen werden soll, die gewünschte Anzahl BioMicro und den gewünschten Leistungszeitraum des/der jeweiligen BioMicro Für die weitere Bearbeitung der Anfrage durch VGS finden die Regelungen der Registrierungs- und Buchungsbedingungen zur Bearbeitung einer unverbindlichen Buchungsanfrage und zum Vertragsabschluss auf Basis einer solchen Buchungsanfrage entsprechende Anwendung. 7.4 Überdies kann der Kunde einen Vertrag BioMicro im Zusammenhang mit der erstmaligen Einzelbuchung von BioMicro im Wege der unverbindlichen Buchungsanfrage abschließen. Insoweit gelten die Regelungen der Registrierungsund Buchungsbedingungen zur Bearbeitung einer unverbindlichen Buchungsanfrage und zum Vertragsabschluss auf Basis einer solchen Buchungsanfrage. 27 7.5 Schließlich hat der Kunde jederzeit die Möglichkeit, den Vertrag BioMicro im Zusammenhang mit der erstmaligen Einzelbuchung von BioMicro über die Onlinebuchung abzuschließen. Es gelten die Regelungen der Registrierungs- und Buchungsbedingungen zum Vertragsabschluss im Wege der Onlinebuchung. 8 Laufzeit und Kündigung des Vertrages BioMicro 8.1 Der Vertrag BioMicro tritt mit dessen Abschluss in Kraft und läuft auf unbestimmte Zeit. 8.2 Der Vertrag BioMicro endet automatisch, ohne dass es einer Kündigung bedarf, mit Ablauf von zwölf (12) aufeinanderfolgenden vollen Speichermonaten nach Inkrafttreten des jeweiligen Vertrages BioMicro, wenn auf dessen Grundlage zu keiner Zeit eine Einzelbuchung von BioMicro vorgenommen wurde oder mit Ablauf von zwölf (12) aufeinanderfolgenden vollen Speichermonaten nach Ablauf der Leistungszeiträume aller auf der Grundlage des jeweiligen Vertrages BioMicro vorgenommenen Einzelbuchungen. 8.3 Jeder Vertragspartner kann den Vertrag BioMicro mit einer Frist von einem (1) Monat zum Ende eines Speichermonats ordentlich kündigen. Die Regelungen zur Kündigung aus wichtigem Grund gemäß Speicher-AGB bleiben hiervon unberührt. 8.4 Im Falle der Kündigung des Vertrages BioMicro gemäß Nummer 8.3 bleibt der Vertrag BioMicro noch so lange wirksam, bis die Leistungszeiträume sämtlicher vor Kündigung des Vertrages BioMicro vorgenommenen Einzelbuchungen abgelaufen sind. 8.5 Nach erfolgter Kündigung des Vertrages BioMicro gemäß Nummer 8.3 ist die Vornahme solcher Einzelbuchungen von BioMicro ausgeschlossen, deren Leistungszeiträume über das kündigungsbedingte Ende des Vertrages BioMicro gemäß Nummer 8.3 Satz 1 bzw. 8.4 hinausgehen. 28 EINZELBUCHUNGEN VON BIOMICRO 9 Buchungswege zur Vornahme von Einzelbuchungen 9.1 Um Einzelbuchungen auf der Grundlage eines bereits bestehenden Vertrages BioMicro vorzunehmen, kann der Kunde per eine unverbindliche formlose Anfrage zur Einzelbuchung von BioMicro stellen (Nummer 10) oder über den Vertragsmonitor im Kundenportal unter eine unverbindliche Buchungsanfrage zur Einzelbuchung von BioMicro stellen (Nummer 10) bzw. die Einzelbuchung von BioMicro im Wege der Onlinebuchung vornehmen (Nummer 12). 10 Einzelbuchung im Wege der unverbindlichen formlosen Anfrage 10.1 Zur Einzelbuchung von BioMicro auf der Grundlage eines bestehenden Vertrages BioMicro kann der Kunde eine unverbindliche formlose Anfrage per an sales@vng-gasspeicher.de senden, die folgende Informationen zu enthalten hat: die Vertragsnummer des Vertrages BioMicro, auf dessen Grundlage die Einzelbuchung vorgenommen werden soll, die gewünschte Anzahl BioMicro und den gewünschten Leistungszeitraum des/der jeweiligen BioMicro Die weitere Bearbeitung der formlosen Anfrage durch VGS erfolgt nach Maßgabe der Regelungen in Nummer Einzelbuchung im Wege der unverbindlichen Buchungsanfrage Seite 11 von 21

29 11.1 Zur Einzelbuchung von BioMicro auf der Grundlage eines bestehenden Vertrages BioMicro kann der Kunde überdies eine unverbindliche Buchungsanfrage an VGS senden. Voraussetzung hierfür ist die Registrierung für das Kundenportal der VGS sowie die Berechtigung zur Nutzung des Vertragsmonitors nach Maßgabe der Registrierungs- und Buchungsbedingungen Im Vertragsmonitor des Kundenportals wählt der Kunde die dem betreffenden Vertrag BioMicro zugeordnete Funktion Kapazität hinzufügen aus, unter welcher ein Online-Formular für die vertragsspezifische Einzelbuchung von BioMicro hinterlegt ist. Die in diesem Formular vorgesehenen Eingabefelder hat der Kunde vollständig auszufüllen und das ausgefüllte Formular über den Buchungsweg Weiter zur Anfrage an VGS zu übermitteln Abweichend von den Registrierungs- und Buchungsbedingungen gelten für die weitere Bearbeitung der unverbindlichen Buchungsanfrage die Regelungen der Nummer Bearbeitung von Einzelbuchungsanfragen gemäß Nummer 10 und Nummer Nach Eingang einer unverbindlichen formlosen Anfrage gemäß Nummer 10 bzw. einer unverbindlichen Buchungsanfrage gemäß Nummer 11 (Einzelbuchungsanfragen) prüft VGS die Verfügbarkeit der angefragten BioMicro diskriminierungsfrei und in Übereinstimmung mit dem allgemein anerkannten Stand der Technik und wird sich bemühen, die unverbindliche Buchungsanfrage innerhalb von zwei (2) Arbeitstagen zu bearbeiten VGS bearbeitet Einzelbuchungsanfragen in der zeitlichen Reihenfolge ihres Zugangs (first come - first served) Sollte VGS die Beantwortung einer Einzelbuchungsanfrage innerhalb der zwei (2) Arbeitstage, gleich aus welchem Grund, nicht möglich sein, wird VGS dies dem Kunden unter Angabe des Grundes in Textform mitteilen. 30 12.4 Stellt VGS nach sorgfältiger und diskriminierungsfreier Prüfung der Einzelbuchungsanfrage fest, dass die angefragten Kapazitäten frei verfügbar sind, sendet VGS dem Kunden per eine Aktualisierung der Anlage Spezifikation gemäß Nummer 5.3 zu. Die Übersendung dieser Anlage Spezifikation gilt als verbindliches Angebot seitens VGS auf Anpassung des Vertrages BioMicro. Sofern der Kunde nicht innerhalb von zwei (2) Arbeitstagen, nachdem ihm diese Anlage Spezifikation zugegangen ist, der Anlage Spezifikation per widerspricht, gilt die jeweils übersandte Anlage Spezifikation als Bestandteil des Vertrages BioMicro und der/die BioMicro als kontrahiert Die Anlage Spezifikation wird im Vertragsmonitor geführt und kann dort eingesehen werden Sofern VGS die Einzelbuchungsanfrage nach sorgfältiger und diskriminierungsfreier Prüfung mangels frei verfügbarer Kapazitäten oder aus anderen Gründen ablehnen muss, wird VGS die Ablehnung in Textform begründen (Ablehnungserklärung). 13 Einzelbuchungen im Wege der Onlinebuchung 13.1 Die Einzelbuchung von BioMicro auf der Grundlage eines bestehenden Vertrages BioMicro kann zudem jederzeit im Wege der Onlinebuchung im Kundenportal erfolgen. Voraussetzung hierfür ist die Registrierung für das Kundenportal der VGS sowie die Berechtigung zur Onlinebuchung und zur Nutzung des Vertragsmonitors nach Maßgabe der Registrierungs- und Buchungsbedingungen. Abweichend von den Registrierungs- und Buchungsbedingungen gelten in Bezug auf die Einzelbuchung im Wege der Onlinebuchung die Regelungen der Nummern 13.2 bis Im Vertragsmonitor des Kundenportals wählt der Kunde die dem betreffenden Vertrag BioMicro zugeordnete Funktion Kapazität hinzufügen aus, unter welcher ein Online-Formular für die vertragsspezifische Einzelbuchung von BioMicro hinterlegt ist. Die in diesem Formular vorgesehenen Eingabefelder hat der Kunde vollständig auszufüllen und das ausgefüllte Formular über den Buchungsweg Weiter zur Buchung an VGS zu übermitteln. In diesem Zusammenhang fordert der Kunde einen Buchungscode an, welchen er unmittelbar im Anschluss hieran per von VGS erhält. Seite 13 von 21
