3 Proposal for Election to the Committee The following, having served their two-year terms, have resigned and are offering themselves for re-election: Neville Anderson Paul Buckley Andrew Fairhurst The following has resigned and is not offering himself for re-election: Hamish Stewart In addition we have the following proposal for election to the Committee Rick Stubley As ever we are always on the lookout for new blood on the Committee. Nominations should be received by the Secretary, Raymond Gann, three weeks before the AGM - 2 -

4 Outline of proposed changes to AGiG constitution (Satzung) As a registered German society (eingetragener Verein) the Accountants Group in Germany e.v. has to comply with German legal requirements as embodied in the Vereinsgesetz and the Bürgerliches Gesetzbuch. In order to ensure that the Group provides its members with a comprehensive seminar programme the Group s founding Fathers thought it appropriate that the task of organising and finding speakers and running the group would best be performed if shared amongst a body of 12 busy professionals (10 of whom to be elected and up to 2 who could be coopted). However certain normal transactions such as notifying the District Court of a change of committee member require a notarized lodging signed by all twelve committee members. The procedure for coopting up to two committee members has been made more transparent. The purpose of the Group does not comply with the legal definition of common public interest ( Gemeinnützigkeit ). In addition After much deliberation your committee recommends the following changes to the constitution: 1) That the committee continues to comprise up to 12 members (up to 2 of whom may be coopted at the committee s discretion) 2) The committee will comprise 4 office bearers (President, Vice President, Secretary and Treasurer) who will be known as the Vorstand and a further 8 committee members (two of whom may be coopted) who will be known as Beisitzer. 3) German law requires only that the Vorstand sign documents which require a notarized lodging. 4) The committee will be empowered to coopt up to two members. The committee believes that by adopting these changes the group will continue to enjoy the benefits of a widespread committee and dispense with the current compliance burden. The committee recommends that you support these changes

6 Vorschlag für Wahl des Vorstands Die nachfolgenden Vorstandsmitglieder haben ihre zweijährige Amtszeit vollendet, ihr Amt niedergelegt und stellen sich zur Wiederwahl zur Verfügung: Neville Anderson Paul Buckley Andrew Fairhurst Die nachfolgenden Vorstandsmitglieder haben ihr Amt niedergelegt und stellen sich nicht zur Wiederwahl zur Verfügung: Hamish Stewart Zusätzlich stellen sich nachfolgende Mitglieder zur Vorstandswahl zur Verfügung: Rick Stubley Weitere Kandidaten können sich bis 3 Wochen vor der Hauptversammlung für die Vorstandswahl aufstellen lassen

7 Vorschlag für Satzungsänderung Nachfolgende Satzungsänderung bzw. Formulierung wird vorgeschlagen: 2 Zweck Absatz 2 wird ersatzlos gestrichen. Die nachfolgende Nummerierung wird entsprechend angepasst. 7 Vorstand 1) Der Vorstand besteht aus dem ersten Vorsitzenden, dem zweiten Vorsitzenden, dem Schriftführer, dem Schatzmeister und sechs Beisitzern. 2) Zum Vorstand im Sinne des 26 BGB gehören der erste Vorsitzende, der zweite Vorsitzende, der Schriftführer und der Schatzmeister. Die gerichtliche und außergerichtliche Vertretung des Vereins erfolgt durch zwei dieser Mitglieder gemeinschaftlich, darunter jedenfalls der erste oder zweite Vorsitzende. 8 Zuständigkeit des Vorstandes 3) Der Vorstand sowie die Beisitzer dürfen zwei besondere Vertreter benennen für folgende Geschäftskreise: a) Internationale Beziehungen b) Kultureller Austausch c) gastronomischer Teil des Eventmanagements. 9 Wahl und Amtsdauer des Vorstands 1) Der Vorstand wird von der Mitgliederversammlung auf die Dauer von zwei Jahren gewählt. Wiederwahl ist zulässig. Der Vorstand bleibt so lange im Amt, bis ein neuer Vorstand ordnungsgemäß gewählt ist
