1 ENERGY NEWS #18/2016 Amendment to the Incentive Regulation Ordinance 26 August 2016 Deutsche Version ab S. 5 On 3 August, the German Federal Cabinet enacted a fundamental amendment of the Incentive Regulation Ordinance (Anreizregulierungsverordnung - ARegV), with some significant changes. It introduces a capital cost comparison with the possibility of refinancing investment costs without a time delay by means of the grid fees. The amendment also provides for an efficiency bonus for particularly efficient grid system operators. Finally, the amendment does away with the lump-sum budgets, as well as the expansion factor and the base amount effect (Sockeleffekt). The amendment will enter into force shortly after it has been signed and promulgated in the Federal Gazette (Bundesgesetzblatt). I. Summary 1. The most important change in the current amendment of the Incentive Regulation Ordinance (ARegV) is the introduction of a capital cost comparison. 2. The former system with the lump sum budgets (expansion factor, base amount effect, investment measure) has thus become obsolete. 3. Particularly efficient and innovative grid system operators will be rewarded with an efficiency bonus in the future. At the same time, the capital cost comparison is meant to counteract any privileging of capital intensive and inefficient solutions. 4. Difficulties could arise for the capital cost comparison in the transitional period: a. The period for applying for the capital cost comparison will expire on 30 June 2017 for the gas sector with effect as of 1 January 2018, and on 30 June 2018 in the electricity sector, with effect as of 1 January b. The enactors of the Ordinance have not provided an explicit regulation for the capital costs which are incurred immediately before the application deadline for 2016/2017 in the gas sector and for 2017/2018 in the electricity sector. c. The application should therefore be explicitly extended to these upstream time periods as well in order to obtain credit for these costs on the regulatory account. Gleiss Lutz Energy News Seite 1

2 II. Background Distribution grids, along with transmission grids, are playing a central role in the success of the energy transition. Over 90 percent of the installations generating electricity from renewable energy sources are already connected to the distribution grid which is approximately 690,000 km long. They not only distribute electricity to the end-consumer, but increasingly have to take up and transfer the decentrally generated electricity. The transformed and increased technical requirements placed on the distribution grids give rise to a substantial need to convert and expand them so they can keep up with the tempo of the energy transition. According to the distribution grid study of 2014 which was commissioned by the Federal Ministry for Economic Affairs and Energy (BMWi), three quarters of the needed expansion would have to be realised within the next ten years. The investment required for this is estimated at up to EUR 50 billion. With the amendment of the Incentive Regulation Ordinance, the distribution grids are to be strengthened and the proven system of incentive regulation is to be adapted to meet the needs of the energy transition. The amendment is the result of many years of intensive consultations between the Federal Network Agency (Bundesnetzagentur - BNetzA), the BMWi, the energy sector and the associations. While the Ministry s draft merely provided a period of three years, on 8 July 2016 the higher house of Parliament (Bundesrat) made its approval of the amendment contingent upon the distribution grid operators being granted a period of five years a regulation period to eliminate the existing inefficiencies (Senkungspfad). By order of 3 August, the Federal Cabinet approved the proposal of the Bundesrat. III. The key changes The Cabinet s draft amendment of the ARegV (ARegV-E) provides for the following key changes: 1. Introduction of a capital cost comparison A central component of the reformed regulatory model is the capital cost comparison, which is regulated in the newly added section 10a ARegV-E. Up to now it has not been possible for the distribution grid operators to re-finance investments during the regulatory period in which they were made, but could only do so in the following period by way of the grid fees. As a result, distribution grid operators have shifted their investments to the end of the five-year regulatory period in order to keep the capital costs down. Now, an annual capital cost comparison is to be carried out. The capital costs for investments will thus be taken into account when assessing the revenue caps without a delay in time. The capital cost comparison in the gas sector can be applied for on 30 June 2017 and carried out on 1 January Operators of electricity distribution grids cannot file the application until 30 June 2018, whereby the comparison will be made as at 1 January 2019 (section 34(6) ARegV-E). However, the enactors of the Ordinance have not clarified how capital costs in the gas sector for 2016/2017 and in the electricity sector for 2017/2018 that are incurred prior to the application deadline will be handled. In order to cover all efficient investments within the meaning of sections 21 and 21a Energy Industry Act (EnWG), it would be advisable to explicitly extend the application to cover these upstream time periods as well. Since a decision by the regulatory authority is tied to the scope of the application, this would be the only way to enable it to bring about a netting with a corresponding credit on the regulatory account that would be in compliance with the system. 2. Elimination of the current lump-sum budgets With the introduction of the capital cost comparison, the current lump-sum budgets used for incentive regulation will be obsolete: The base effect which has been granted up to now, under which the cost reducing effect of depreciations was not taken into account on an annual basis, but only periodically in the respective base year for the next regula- Gleiss Lutz Energy News Seite 2

3 tory period, will be eliminated in the future pursuant to section 6(3) ARegV-E. The expansion factor under the old regulatory model, which up to now had effected the necessary adjustments of the revenue cap if a permanent change in the supply task occurred during a regulatory period, will no longer be necessary (section 10 ARegV-E). Finally, the investment measure (section 23(6), (7) ARegV-E), which in any case had only been granted for distribution grid operators in exceptional cases, will likewise be eliminated. 3. Rewarding especially efficient grid system operators with efficiency bonuses Moreover, with the conversion to the regulatory system of the capital cost comparison, an efficiency bonus will be given to especially efficient distribution grid operators. Pursuant to the new section 12a ARegV E, the bonus will be granted by the BNetzA and is supposed to incentivise efficient and innovative investments. At the same time, the bonus serves to prevent capital intensive and inefficient solutions which could benefit from the introduction of the capital cost comparison. 4. Miscellaneous The length of the regulatory period will continue to be five years (section 3(2) ARegV-E). There has meanwhile been discussion of reducing it to four years. Inefficiencies which are discovered must according to the principle set out in section 16(1) ARegV-E be remedied by the end of the ongoing regulatory period. It re-mains possible for the regulatory authority to deviate from this if the grid system operator proves that it cannot achieve the individual efficiency standards that have been set by possible and reasonable means. The draft of the BMWi had also required that inefficiencies be eliminated within three years and considerably increased the pressure on the distribution grid operators. The simplified procedure will remain in effect. The threshold values for carrying out the simplified procedure will not change. However, the lump sum for the permanently non-controllable cost components has been substantially reduced from 45 percent auf 5 percent (section 24(2) ARegV-E). The deadline for eligibility for consideration of additional personnel costs has been extended from 31 December 2008 to 31 December Under section 11(2) no. 9 ARegV, non-wage costs and retirement benefits will al-ready now be considered to be permanently non-controllable cost components. With the postponement of the deadline, the grid system operators can make adjustments here without suffering disadvantages in the calculation of the revenue cap. 5. Transition provisions The general transition provisions are laid down in section 34 ARegV-E. Pursuant to section 34(5) ARegV-E, the base amount effect will be updated on a transitional basis only for those investments of distribution grid operators in fixed assets that are necessary for operation in the 3rd regulatory period that were activated for the first time in the period from 1 January 2007 through 31 December Thus, for these investments of the grid system operator, substantial parts of the positive base amount effect will be eliminated. Consequently, the compensation effect for the delay will be devalued proportionately for old investors. Such a disappointment of legitimate expectations can scarcely be reconciled with the new requirements of the Federal Constitutional Court (Bundesverfassungsgericht) on retroactive effects. The interest in amendment which is being pursued by the legislature cannot justify such a shortening of the transition period for the base amount effects. Transitional provisions on the elimination of the expansion factor and the investment measure can be found in section 34(7) ARegV-E, under which these instruments will be eliminated completely from the 3rd regulatory period on. Investment measures which were approved over the duration of the 2nd regulatory period will end upon the expiry of the 3rd regulatory period. Gleiss Lutz Energy News Seite 3

4 6. Conclusion / outlook The amendment of the ARegV meets fundamental demands of the distribution grid operators. The introduction of the capital comparison and the associated elimination of the time delay improve the investment conditions for the distribution grids. Although the energy associations were striving for a continuation of the base amount effect for another two regulatory periods up to 2028, with the introduction of the capital cost comparison, which now finally solves the problem of the delay, a central concern was in any case taken into account. 5 ENERGY NEWS #18/2016 Novelle der Anreizregulierungsverordnung 26. August 2016 Am 3. August hat das Bundeskabinett die grundlegende Novellierung der Anreizregulierungsverordnung (ARegV) beschlossen. Die Novelle enthält wesentliche Neuerungen. Sie führt einen Kapitalkostenabgleich ein mit der Möglichkeit, Investitionskosten ohne Zeitverzug über die Netzentgelte zu refinanzieren. Zudem sieht die Novelle einen Effizienzbonus für besonders effiziente Netzbetreiber vor. Mit der Novelle entfallen schließlich die bisherigen pauschalen Budgets, wie der Erweiterungsfaktor und der Sockeleffekt. Die Novelle tritt nach ihrer Ausfertigung und Verkündung im Bundesgesetzblatt kurzfristig in Kraft. I. Zusammenfassung 1. Als zentrale Neuerung führt die aktuelle Novellierung der Anreizregulierungsverordnung (ARegV) einen Kapitalkostenabgleich ein. 2. Das bisherige System mit den pauschalen Budgets (Erweiterungsfaktor, Sockeleffekt, Investitionsmaßnahme) wird damit obsolet. 3. Besonders effiziente und innovative Netzbetreiber werden künftig mit einem Effizienzbonus finanziell belohnt. Gleichzeitig soll damit einer Begünstigung kapitalintensiver und ineffizienter Lösungen durch den Kapitalkostenabgleich entgegengewirkt werden. 4. Schwierigkeiten können sich für den Kapitalkostenabgleich im Übergangszeitraum ergeben: a. Die Antragsfrist für den Kapitalkostenabgleich läuft im Gasbereich bis zum 30. Juni 2017 mit Wirkung zum 1. Januar 2018 und im Strombereich bis zum 30. Juni 2018 mit Wirkung zum 1. Januar b. Für die unmittelbar vor der Antragsfrist angefallenen Kapitalkosten der Jahre 2016/2017 im Gasbereich und der Jahre 2017/2018 im Strombereich trifft der Verordnungsgeber keine ausdrückliche Regelung. c. Der Antrag sollte daher ausdrücklich auch auf diese vorgelagerten Zeiträume erstreckt werden, um eine entsprechende Gutschrift auf dem Regulierungskonto zu erwirken. Gleiss Lutz Energy News Seite 5

6 II. Hintergrund Verteilernetzen kommt, neben den Übertragungsnetzen, eine zentrale Rolle für das Gelingen der Energiewende zu. Bereits jetzt sind über 90 Prozent der Anlagen zur Erzeugung von Strom aus Erneuerbaren Energien direkt an die etwa km Verteilernetze angeschlossen. Sie verteilen nicht nur Strom an die Endverbraucher; sondern müssen zunehmend den dezentral erzeugten Strom aufnehmen und weiterleiten. Die gewandelten und gestiegenen technischen Anforderungen an die Verteilnetze rufen einen erheblichen Um- und Ausbaubedarf für die Netze hervor, damit sie mit dem Tempo der Energiewende Schritt halten können. Laut der Verteilernetzstudie aus dem Jahr 2014, die im Auftrag des BMWi erstellt wurde, müssten drei Viertel des Ausbaubedarfs bereits innerhalb der kommenden zehn Jahre realisiert werden. Der Investitionsbedarf dafür wird auf bis zu 50 Milliarden Euro geschätzt. Mit der Novellierung der ARegV sollen die Verteilernetze gestärkt und das bewährte System der Anreizregulierung an die Anforderungen der Energiewende angepasst werden. Der Novelle gingen jahrelange intensive Konsultationen zwischen der Bundesnetzagentur (BNetzA), dem Bundesministerium für Wirtschaft und Energie (BMWi), der Energiewirtschaft und den Verbänden voraus. Während der Entwurf des BMWi für den Senkungspfad lediglich einen Zeitraum von drei Jahren vorsah, knüpfte der Bundesrat am 8. Juli 2016 seine Zustimmung zur Novelle daran, dass den Verteilernetzbetreibern ein Zeitraum von fünf Jahren eine Regulierungsperiode zugestanden wird, um bestehende Ineffizienzen abzubauen. Mit Be-schluss vom 3. August stimmte das Kabinett dem Vorschlag der Länderkammer zu. III. Die wesentlichen Neuerungen Der Kabinettsentwurf zur Novellierung der ARegV (ARegV-E) sieht folgende wesentliche Neuerungen vor: 1. Einführung eines Kapitalkostenabgleichs Ein zentraler Baustein des reformierten Regulierungsmodells ist der Kapitalkostenabgleich, den der neu eingefügte 10a ARegV-E regelt. Bisher war es den Verteilnetzbetreibern nicht möglich, Investitionen bereits in der Regulierungsperiode, in der sie getätigt wurden, sondern erst in der Folgeperiode über die Netzentgelte zu refinanzieren. Das führte dazu, dass Verteilnetzbetreiber Investitionen an das Ende der fünfjährigen Regulierungsperiode verlagerten, um die Kapitalkosten gering zu halten. Nunmehr soll ein jährlicher Kapitalkostenabgleich stattfinden. Die Kapitalkosten für Investitionen werden damit ohne Zeitverzug bei der Bemessung der Erlösobergrenzen berücksichtigt. Der Kapitalkostenabgleich kann im Gasbereich zum 30. Juni 2017 beantragt und zum 1. Januar 2018 vorgenommen werden. Betreiber von Elektrizitätsverteilernetzen können den Antrag erstmals zum 30. Juni 2018 stellen, wobei der Abgleich zum 1. Januar 2019 erfolgt ( 34 Abs. 6 ARegV-E). Der Verordnungsgeber trifft jedoch keine Klarstellung dazu, wie Kapitalkosten im Gasbereich für die Jahre 2016/2017 und im Strombereich für die Jahre 2017/2018 behandelt werden, die bereits vor der Antragsfrist angefallen sind. Um eine lückenlose Deckung sämtlicher effizienten Investitionen im Sinne der 21, 21a EnWG zu gewährleisten, ist zu empfehlen, den Antrag ausdrücklich auch auf diese vorgelagerten Zeiträume zu erstrecken. Da eine Entscheidung der Regulierungsbehörde an die Reichweite des Antrags gebunden ist, kann ihr nur auf diese Weise die Möglichkeit gegeben werden, mit einer entsprechenden Gutschrift auf dem Regulierungskonto einen systemkonformen Ausgleich herbeizuführen. 2. Wegfall der bisherigen pauschalen Budgets Mit der Einführung des Kapitalkostenabgleichs werden die bisherigen pauschalen Budgets bei der Anreizregulierung obsolet: Gleiss Lutz Energy News Seite 6

7 Der bisher gewährte Sockeleffekt, wonach der kostenmindernde Effekt von Abschreibungen nicht jährlich, sondern nur periodisch im jeweiligen Basisjahr für die nächste Regulierungsperiode berücksichtigt wurde, entfällt nach 6 Abs. 3 ARegV-E für die Zukunft. Auch der Erweiterungsfaktor nach dem hergebrachten Regulierungsmodell, der bislang bei einer nachhaltigen Veränderung der Versorgungsaufgabe während einer Regulierungsperiode die notwendigen Anpassungen der Erlösobergrenze bewirkte, besteht kein Bedarf mehr ( 10 ARegV-E). Schließlich läuft die Investitionsmaßnahme ( 23 Abs. 6, Abs. 7 ARegV-E), die für Verteilernetzbetreiber ohnehin nur ausnahmsweise gewährt wurden, ebenfalls aus. 3. Belohnung besonders effizienter Netzbetreiber durch Effizienzboni Mit der Umstellung auf das Regulierungssystem des Kapitalkostenabgleichs wird ferner ein Effizienzbonus für besonders effiziente Verteilnetzbetreiber eingeführt. Der Bonus wird nach dem neuen 12a ARegV-E durch die Bundesnetzagentur gewährt und soll effiziente und innovative Investitionen anreizen. Zugleich dient der Bonus der Vermeidung von kapitalintensiven und ineffizienten Lösungen, die durch die Einführung des Kapitalkostenabgleichs begünstigt werden könnten. 4. Sonstiges Die Dauer der Regulierungsperiode verbleibt bei fünf Jahren, 3 Abs. 2 ARegV-E. Diskutiert wurde zwischenzeitlich eine Verkürzung auf vier Jahre. Festgestellte Ineffizienzen müssen gemäß dem Grundsatz in 16 Abs. 1 ARegV-E bis zum Ende der laufenden Regulierungsperiode abgebaut werden. Eine Abweichung dazu ist durch die Regulierungsbehörde weiterhin möglich, wenn der Netzbetreiber nachweist, dass er die festgesetzten individuellen Effizienzvorgaben unter Einsatz der möglichen und zumutbaren Mittel nicht erreichen kann. Der Entwurf des Bundeswirtschaftsministeriums sah noch vor, dass Ineffizienzen innerhalb von drei Jahren abzubauen sind. Dies hätte den Druck auf die Verteilnetzbetreiber noch deutlich erhöht. Das vereinfachte Verfahren bleibt erhalten. Die Schwellenwerte für die Durchführung des vereinfachten Verfahrens ändern sich nicht. Allerdings wird die Pauschale für die dauerhaft nicht beeinflussbaren Kostenanteile deutlich von 45 Prozent auf 5 Prozent abgesenkt ( 24 Abs. 2 ARegV-E). Der Stichtag der zur Berücksichtigungsfähigkeit von Personalzusatzkosten verschiebt sich vom 31. Dezember 2008 auf den 31. Dezember Lohnzusatz- und Versorgungsleistungen gelten nach 11 Abs. 2 Nr. 9 ARegV bereits jetzt als dauerhaft nicht beeinflussbare Kostenanteile. Durch die Verschiebung des Stichtages können die Netzbetreiber hier Anpassungen vornehmen, ohne dass sie Nachteile bei der Berechnung der Erlösobergrenze erleiden 5. Übergangsregelungen Die allgemeinen Übergangsbestimmungen sind in 34 ARegV-E geregelt. Nach 34 Abs. 5 ARegV-E wird der Sockeleffekt nur für Investitionen von Verteilnetzbetreibern in betriebsnotwendige Anlagegüter in der 3. Regulierungsperiode übergangsweise fortgeschrieben, soweit diese im Zeitraum vom 1. Januar 2007 bis einschließlich 31. Dezember 2016 erstmals aktiviert wurden. Für diese Investitionen der Netzbetreiber fallen damit erhebliche Teile der bisherigen positiven Sockeleffekte weg. Die bislang damit erzielte Kompensationswirkung für den Zeitverzug wird damit für Altinvestitionen anteilig entwertet. Eine solche Enttäuschung schutzwürdigen Vertrauens ist mit den neueren Vorgaben des Bundesverfassungsgerichts zur Rückwirkung kaum zu vereinbaren. Das gesetzgeberisch verfolgte Änderungsinteresse kann eine derartige Verkürzung der Übergangsphase für die Sockeleffekte nicht rechtfertigen. Übergangsbestimmungen zu dem Wegfall des Erweiterungsfaktors und der Investitionsmaßnahme finden sich in 34 Abs. 7 ARegV-E. Die Vorschrift bestimmt, dass diese Instrumente ab der 3. 8 maßnahmen, die über die Dauer der 2. Regulierungsperiode genehmigt wurden, enden mit Ablauf der 3. Regulierungsperiode. 6. Fazit / Ausblick Die Novelle der ARegV kommt grundlegenden Forderungen der Verteilernetzbetreiber nach. Die Einführung des Kapitalabgleichs und der damit verbundene Wegfall des Zeitverzugs verbessern die Investitionsbedingungen für die Verteilnetze. Zwar strebten die Energieverbände eine Fortschreibung des Sockeleffektes für noch zwei weitere Regulierungsperioden bis zum Jahre 2028 an. Mit der Einführung des Kapitalkostenabgleichs, der nun endlich das Problem des Zeitverzuges löst, wurde jedenfalls ein zentrales Anliegen berücksichtigt.
