23 General business terms Weinmann GmbH 1 Geltungsbereich (1) Diese allgemeinen Geschäftsbedingungen gelten ausschließlich gegenüber Unternehmern, juristischen Personen des öffentlichen Rechts oder öffentlich-rechtlichen Sondervermögen im Sinne von 310 Absatz 1 BGB. (2) Diese allgemeinen Geschäftsbedingungen gelten für alle Geschäftsbeziehungen zwischen der Weinmann GmbH - Infratronic Solutions, Frankenstraße 6, Mömbris (im Folgenden: Verwender) und ihren Kunden (im Folgenden: Kunde), in der jeweiligen, zum Zeitpunkt des Vertragsschlusses aktuellen Fassung. Entgegenstehende oder von diesen Bestimmungen abweichende Bedingungen des Bestellers erkennt der Verwender nur an, wenn er ausdrücklich schriftlich deren Geltung zustimmt. 2 Zustandekommen des Vertrages (1) Eine schriftliche oder telefonische Bestellung wird vom Verwender als Angebot gemäß 145 BGB angesehen, welches er innerhalb von zwei Wochen annehmen kann. Ein wirksamer Vertrag kommt nur zu Stande, wenn das Angebot des Kunden vom Verwender schriftlich (Telefa ausreichend) angenommen wird. Sollte die Annahmeerklärung des Verwenders inhaltlich vom Angebot abweichen, kommt hierdurch kein Vertrag zustande, sondern stellt ein neues Angebot nach 150 Abs. 2 BGB dar. (2) Allein maßgeblich für die Rechtsbeziehungen zwischen Verwender und Kunden ist der schriftlich geschlossene Kaufvertrag, einschließlich dieser Allgemeinen Geschäftsbedingungen. Dieser gibt alle Abreden zwischen den Vertragsparteien zum Vertragsgegenstand vollständig wieder. Mündliche Zusagen des Verwenders vor Abschluss dieses Vertrages sind rechtlich unverbindlich und mündliche Abreden der Vertragsparteien werden durch den schriftlichen Vertrag ersetzt, sofern sich nicht jeweils ausdrücklich aus ihnen ergibt, dass sie verbindlich fortgelten. (3) Angaben des Verwenders zur Kaufsache (z.b. Gewichte, Maße, Gebrauchswerte, Toleranzen und technische Daten) sowie Darstellungen desselben (z.b. Zeichnungen und Abbildungen) sind nur annähernd maßgeblich, soweit nicht die Verwendbarkeit zum vertraglich vorgesehenen Zweck eine genaue Übereinstimmung voraussetzt. Sie sind keine garantierten Beschaffenheitsmerkmale, sondern Beschreibungen oder Kennzeichnungen der Kaufsache. Handelsübliche Abweichungen und Abweichungen, die aufgrund rechtlicher Vorschriften erfolgen oder technische Verbesserungen darstellen, sowie die Ersetzung von Bauteilen durch gleichwertige Teile sind zulässig, soweit sie die Verwendbarkeit zum vertraglich vorgesehenen Zweck nicht beeinträchtigen. 3 Lieferung, Versandkosten, Online-Rechnung (1) Der Verwender ist zu Teillieferungen und Teilleistungen jederzeit berechtigt, sofern diese dem Kunden zumutbar sind. Sofern Teillieferungen vom Verwender durchgeführt werden, übernimmt der Verwender die zusätzlichen Portokosten. (2) Angaben über die voraussichtliche Lieferfrist sind unverbindlich, sollte der Verwender dem Kunden nicht im Einzelfall schriftlich eine verbindliche Zusage erteilt haben. (3) Der Verwender kann unbeschadet seiner Rechte aus Verzug des Kunden vom Kunden eine Verlängerung der Liefer- und Leistungsfristen oder eine Verschiebung der Liefer- und Leistungsterminen um den Zeitraum verlangen, in dem der Kunde seinen vertraglichen Verpflichtungen dem Verwender gegenüber nicht ordnungsgemäß nachkommt. (4) Falls der Verwender ohne eigenes Verschulden zur Lieferung der bestellten Ware nicht in der Lage ist, weil der Lieferant des Verwenders seine vertraglichen Verpflichtungen nicht erfüllt, ist der Verwender dem Kunden gegenüber zum Rücktritt berechtigt. Dieses Recht zum Rücktritt besteht jedoch nur dann, wenn der Verwender mit dem betreffenden Lieferanten ein kongruentes Deckungsgeschäft (verbindliche, rechtzeitige und ausreichende Bestellung der Ware) abgeschlossen hat und die Nichtlieferung der Ware auch nicht in sonstiger Weise zu vertreten hat. In einem solchen Fall wird der Verwender den Kunden unverzüglich darüber informieren, dass die bestellte Ware nicht verfügbar ist. Bereits erbrachte Gegenleistungen des Kunden werden unverzüglich zurückerstattet. (5) Falls der Verwender an der Erfüllung seiner Lieferverpflichtungen durch den Eintritt unvorhergesehener Ereignisse, z.b. Krieg, Naturkatastrophen, Streik, und höhere Gewalt, die den Verwender oder deren Lieferanten betreffen, gehindert wird und der Verwender diese auch mit der nach den Umständen zumutbaren Sorgfalt nicht abwenden konnte, so verlängert sich die Lieferfrist angemessen. Auch hierüber wird der Verwender den Kunden unverzüglich informieren. Die gesetzlichen Ansprüche des Kunden bleiben hiervon unberührt. (6) Die Versandkosten trägt der Kunde. Die Kosten bestimmen sich nach der jeweils gewählten Versandart und werden im Vertrag gesondert genannt. (7) Mit seiner Bestellung erklärt der Kunde seine Zustimmung die Rechnung des Verwenders per Eail als pdf-dokument in das von ihm angegebene Postfach zu erhalten. Für den Fall, dass der Kunde eine Rechnung in Papierform wünscht, ist dies von ihm im Rahmen der Bestellung gesondert mitzuteilen. Für die Übersendung in Papierform berechnet der Verwender eine Bearbeitungspauschale in Höhe von 1,45 zzgl. der jeweils gültigen Mehrwertsteuer. 4 Gefahrübergang beim Versendungskauf (1) Wird die Ware auf Wunsch des Kunden an ihn versandt, so geht mit der Übergabe der Ware an den Spediteur oder Frachtführer, die Gefahr des zufälligen Untergangs oder der zufälligen Verschlechterung der Ware auf den Kunden über. Dies gilt unabhängig davon, ob die Versendung der Ware vom Erfüllungsort erfolgt oder wer die Frachtkosten trägt, oder ob der Verwender noch andere Leistungen übernommen hat. (2) Verzögert sich der Versand oder die Übergabe infolge eines Umstandes, dessen Ursache beim Kunden liegt, geht die Gefahr von dem Tag an auf den Kunden über, an dem die Ware versandbereit ist und der Verwender dies dem Kunden angezeigt hat. 5 Eigentumsvorbehalt (1) Der Verwender behält sich das Eigentum an der Ware bis zum Eingang aller Zahlungen aus dem Kaufvertrag vor (Vorbehaltsware). Der Kunde hat den Verwender von allen Zugriffen Dritter, insbesondere von Zwangsvollstreckungsmaßnahmen sowie sonstigen Beeinträchtigungen seines Eigentums unverzüglich schriftlich zu unterrichten. Der Kunde hat dem Verwender alle Schäden und Kosten zu ersetzen, die durch einen Verstoß gegen diese Verpflichtung und durch erforderliche Interventionsmaßnahmen gegen Zugriffe Dritter entstehen. Verhält sich der Kunde vertragswidrig, insbesondere wenn der Kunde seiner Zahlungsverpflichtung trotz einer Mahnung des Verwenders nicht nachkommt, kann der Verwender nach einer vorherigen angemessenen Fristsetzung vom Vertrag zurücktreten und die Herausgabe der noch in seinem Eigentum stehenden Ware verlangen. In der Zurücknahme der Ware oder Pfändung durch den Verwender liegt ein Rücktritt vom Vertrag. Die dabei anfallenden Versandkosten trägt der Kunde. Der Verwender ist nach Rückerhalt der Ware zu deren Verwertung befugt. Der Verwertungserlös ist auf Verbindlichkeiten des Kunden, abzüglich angemessener Verwertungskosten anzurechnen. (2) Der Kunde ist zur Weiterveräußerung der Vorbehaltsware im normalen Geschäftsverkehr berechtigt. Die Forderungen des Kunden aus der Weiterveräußerung der Vorbehaltsware tritt er schon jetzt an den Verwender in Höhe des mit ihm vereinbarten Faktura-Betrages (einschließlich Mehrwertsteuer) ab. Diese Abtretung wird vom Verwender bereits jetzt angenommen. Diese Abtretung gilt unabhängig davon, ob die Sache ohne oder nach Bearbeitung weiterverkauft worden ist. Der Kunde bleibt zur Einziehung der Forderung auch nach der Abtretung ermächtigt. Die Befugnis des Verwenders, die Forderungen selbst einzuziehen bleibt davon unberührt. Er verpflichtet sich jedoch die Forderungen nicht einzuziehen, solange der Kunde seinen Zahlungsverpflichtungen aus den vereinnahmten Erlösen nachkommt, nicht im Zahlungsverzug ist und insbesondere kein Antrag auf Eröffnung eines Insolvenzverfahrens gestellt ist oder Zahlungseinstellung vorliegt. Gegenständen verarbeitet wird, erwirbt er das Miteigentum an der neuen Sache im Verhältnis des objektiven Wertes der Kaufsache zu den anderen bearbeiteten Gegenständen zur Zeit der Verarbeitung. Dasselbe gilt für den Fall der Vermischung. Sofern die Vermischung in der Weise erfolgt, dass die Sache des Kunden als Hauptsache anzusehen ist, gilt als vereinbart, dass der Kunde dem Verwender anteilmäßig Miteigentum überträgt und das so entstandene Alleineigentum oder Miteigentum für den Verwender verwahrt. Der Kunde tritt dem Verwender solche Forderungen ab, die ihm durch die Verbindungen der Vorbehaltsware mit einem Grundstück eines Dritten erwachsen. Diese Abtretung nimmt der Verwender schon mit Vertragsschluss an. 6 Bezahlung, Aufrechnung (1) Die Zahlung des Kaufpreises hat ausschließlich auf das im Rahmen der Auftragsbestätigung genannte Konto zu erfolgen. Der Abzug von Skonto ist nur bei schriftlicher besonderer Vereinbarung zulässig. Ansonsten sind Zahlungen in voller Höhe des Rechnungsbetrages ohne Abzug zu leisten. (2) Der Kaufpreis ist mit Vertragsschluss fällig. (3) Die Forderungen des Verwenders können nur mit einer von ihm unbestrittenen oder rechtskräftig festgestellten Forderung des Kunden aufgerechnet werden. (4) Der Verwender ist berechtigt, noch ausstehende Lieferungen nur gegen Vorauszahlung oder Sicherheitsleistung auszuführen oder zu erbringen, wenn ihm nach Abschluss des Vertrages Umstände bekannt werden, welche die Kreditwürdigkeit des Kunden wesentlich zu mindern geeignet sind und durch welche die Bezahlung der offenen Forderungen des Verwenders durch den Kunden aus dem jeweiligen Vertragsverhältnis (einschließlich aus anderen Einzelaufträgen, für die derselbe Rahmenvertrag gilt) gefährdet wird. 7 Mängelhaftung (1) Gewährleistungsrechte des Kunden setzen voraus, dass dieser seine ihm gemäß 377 HGB obliegenden Untersuchungs- und Rügepflicht schriftlich und unverzüglich nachgekommen ist. (2) Bei Neuware wird der Verwender für Mängel, die bei Gefahrübergang vorhanden sind, während einer Gewährleistungsfrist von zwölf Monaten einstehen. Hierbei steht dem Verwender das Wahlrecht der Nacherfüllungsart (Beseitigung des Mangels oder Neulieferung der Kaufsache) zu. Die Nacherfüllung beinhaltet weder den Ausbau der mangelhaften Sache noch den erneuten Einbau, wenn wir ursprünglich nicht zum Einbau verpflichtet waren. (3) Der Verwender haftet nicht für Mängel, die auf natürlicher Abnutzung, normalem Verschleiß, unsachgemäßem Gebrauch, Pflegefehler, ungeeigneter Betriebsmittel, übermäßiger Beanspruchung und fahrlässigem Verhalten des Kunden, sowie Brand, Blitzschlag oder Eplosion beruhen. (4) Die Mängelhaftung ist ausgeschlossen bei nur unerheblicher Abweichung von der vereinbarten Beschaffenheit oder bei nur unerheblicher Beeinträchtigung der Brauchbarkeit. (5) Schäden an der Kaufsache, die durch ihre unsachgemäße Benutzung entstehen, beispielsweise durch die Verwendung von nicht geeigneten Desinfektionsmitteln in Spendern, stellen keinen Sachmangel dar. Hierbei wird zwingend auf die Produktbeschreibung des jeweiligen Produkts hingewiesen. Sollte der Verwender für dieses Produkt in eigenem Namen eine Garantie erklärt haben, entfällt diese im vorgenannten Fall. (6) Eine im Einzelfall mit dem Kunden vereinbarte Lieferung gebrauchter Gegenstände erfolgt unter Ausschluss jeglicher Gewährleistung für Sachmängel. 8 Haftung (1) Der Verwender haftet unbeschränkt für vorsätzlich oder grob fahrlässig verursachte Schäden, bei arglistigem Verschweigen von Mängeln, bei Übernahme einer Beschaffenheitsgarantie sowie für Körperschäden. (2) Eine Haftung nach dem Produkthaftungsgesetz bleibt unberührt. (3) Für sonstige Schäden, die durch einfache Fahrlässigkeit verursacht werden, haftet der Verwender nur, sofern eine Pflicht verletzt wird, deren Einhaltung für die Erreichung des Vertragszwecks von besonderer Bedeutung ist (Kardinalpflicht) und sofern die Schäden aufgrund der vertraglichen Verwendung der Ware typisch und vorhersehbar sind. Soweit die Haftung von dem Verwender ausgeschlossen oder beschränkt ist, gilt dies auch für die persönliche Haftung der Arbeitnehmer, Vertreter und Erfüllungsgehilfen des Verwenders. (4) Es wird darauf hingewiesen, dass bestimmte Produkte im Sortiment des Verwenders Medizinprodukte im Sinne des Medizinproduktegesetz (MPG) darstellen. Im Falle des Weiterverkaufs solcher Produkte des Verwenders durch einen Kunden, haftet der Verwender nicht für die Verletzung von Verhaltenspflichten nach dem MPG, welche durch den Weiterverkauf verletzt werden. Die Haftung dafür wird ausschließlich von demjenigen übernommen, der die Produkte des Verwenders weiterverkauft, es sei denn, eine Verhaltenspflicht nach dem MPG wurde durch den Verwender schuldhaft verletzt. (5) Ebenso haftete der Verwender nicht dafür, dass jemand vom Verwender hergestellte oder gelieferte Medizinprodukte unberechtigt weiterverkauft und dabei Verhaltenspflichten des MPG verletzt oder vom Verwender hergestellte Medizinprodukte in veränderter Form in den Verkehr bringt. (6) Soweit der Verwender technische Auskünfte gibt oder beratend tätig wird und diese Auskünfte oder Beratung nicht zu dem von ihm geschuldeten, vertraglich vereinbarten Leistungsumfang gehören, geschieht dies unentgeltlich und unter Ausschluss jeglicher Haftung. 9 Rückverfolgbarkeit von Medizinprodukten Jeder Kunde ist verpflichtet, die Rückverfolgbarkeit seiner Endkunden aufrecht zu erhalten, damit im Falle einer Rückrufaktion, gemäß den EG-Richtlinien über Medizinprodukte vom 14. Juli 1993 (93/ 42/ EWG), seine Endverbraucher angesprochen werden können und das entsprechende Medizinprodukt vom Markt genommen werden kann. 10 Kundendaten Mit der Aufgabe einer Bestellung erklärt der Kunde sein Einverständnis, dass die angegebenen Adressdaten nach den gesetzlichen Vorgaben des BDSG verarbeitet und im Rahmen der Kundenbeziehung benutzt werden dürfen. Persönliche Daten werden vertraulich behandelt. Sollte der Kunde Änderungen, Sperrungen oder Löschungen seiner Daten wünschen, hat der Kunde dies dem Verwender mitzuteilen. 11 Schlussbestimmungen (1) Für die Rechtsbeziehungen der Parteien gilt deutsches Recht, unter Ausschluss des UNaufrechts (CISG). (2) Ausschließlicher Gerichtsstand und Erfüllungsort ist, soweit gesetzlich zulässig, der Sitz des Verwenders. (3) Sollten einzelne Bestimmungen dieser Geschäftsbedingungen unwirksam sein/werden oder ein Lücke enthalten, so bleiben die übrigen Bestimmungen hiervon unberührt. Die Parteien verpflichten sich, an Stelle der unwirksamen Regelung eine solche gesetzlich zulässige Regelung zu treffen, die dem wirtschaftlichen Zweck der unwirksamen Regelung am nächsten kommt, beziehungsweise diese Lücke ausfüllt. Mömbris, den (3) Der Verwender verpflichtet sich, die ihm zustehenden Sicherheiten auf Verlangen des Kunden freizugeben, soweit ihr Wert die zu sichernden Forderungen um mehr als 20% übersteigt. (4) Die Be- und Verarbeitung der Kaufsache durch den Kunden erfolgt stets Namens und im Auftrag des Verwenders. In diesem Falle setzt sich das Anwartschaftsrecht des Kunden an der Kaufsache an der umgebildeten Sache fort. Sofern die Kaufsache mit anderen, nicht dem Verwender gehörenden 23
