Consortium Agreement ARTICLE VI - FINANCIAL MANAGEMENT OF THE GRANT VI.1 Payments to the Partners are the exclusive tasks of the Coordinator. VI.2 The detailed description of the total maximum cost per Partner and overall total EU contribution for the Project is given in Artikel I.3 and Annex II, III of the Grant Agreement [ ] ; the grants will be paid only for reimbursement of eligible costs that have actually been incurred, in accordance with Art. II.16 of the Grant Agreement for eligible costs, in accordance with the budget set out in Annex II, and the funding and contractual terms set out in Annex III. The maximum amounts will only be reimbursed if they comply with the funding terms and conditions. Entscheidungen im Konsortium III.2.1 The Management Committee [the MC] is the association of Partners of the Consortium. III.2.4 Each member of the MC will have a 1/5th weight. III.2.5 A minimum of 2/3 of members present or represented by a proxy constitutes a quorum for the MC assembly. III.2.7 The MC decides and approves major issues regarding: III.2.8 Decisions during the assembly of the MC shall be made by unanimity [ ] III.2.9 In case there is no assembly of the MC, decisions may be discussed and submitted to the MC electronically or in writing [ ] Decisions shall be made by unanimity. Konfliktmanagement III.2.10 If the MC is faced with a deadlock situation that could endanger the action, it shall take all necessary measures to find a consensus within 10 days in a fair and mutual esteem spirit.
