10 10 Word from the Chairman Woord van de Voorzitter Message du Président Botschaft des Vorsitzenden 2012 was unquestionably an outstanding year for Soudal. With over 8% growth in turnover, this year Soudal again continued its tradition of growth well above the average level in the sector. I am especially pleased to note that Soudal is very well equipped to keep moving forward even under difficult market conditions. Nevertheless, the market conditions in 2012 were especially difficult. New construction and sales of existing housing in Europe and North America continued to drop. Contractors had to compete for a share of a stagnating or declining market, which also confronted us with a trend toward lower-cost products. Due to this relatively unfavourable economic climate, especially in the building and construction sector, it was impossible to pass on higher raw material costs fully and promptly. From Turnhout to the entire world Despite these challenges, we remain optimistic about the sector, our competitive ability and our growth potential. The successful takeover of Işik in Turkey, the opening of our plant in India, the acquisition of the shares of our joint venture partner in South Africa, the establishment of a sales subsidiary in Brazil and the expansion of our plant in China are expressions of our global vision and strategy. If we look at the rapidly growing markets in Asia, Latin America, Turkey and Eastern Europe, we see that we are staying ahead of our competitors and strengthening our relative market share. It is pleasing to see that sales of innovative products (new products introduced during the last five years) have more than doubled compared to the previous financial year. Our participation in the World Entrepreneur of the Year 2012 competition is something we can be proud of. True to our values, in 2012 we continued to invest in our people, structures and production capacity so that we can continue to grow in a sustainable manner. Despite increased professionalism, I think it is fair to say that Soudal has retained its character as a family business. This enables us to give our customers what they deserve: outstanding service, high-quality products and affordable prices. Entrepreneurship, customer orientation, mutual inspiration, respect and commitment are still the core values of our company culture. In 2013 we expect to see continued economic uncertainty and volatility in the raw materials markets. However, Soudal is determined to remain aloof from the crisis, and our team of highly dedicated employees are totally committed to successfully pursuing the course we have chosen. Our results were affected by the uncertain economic climate in various regions. Despite higher raw material costs that we were not able to pass on to customers, a poorer initial position (in Greece, Portugal, Spain and Italy) and exchange rate fluctuations, we managed to more than hold our own in mature markets such as Europe and expand our market share. We noted a very pleasing growth in turnover in the emerging countries. Sales in these regions doubled in comparison to also saw a number of major investment decisions: Upgrading and expansion of our capacity for cartridges and foil packs filling in Turnhout Further expansion of the site in Taicang (China), with a new filling line for polyurethane foam and the start-up of silicone filling Start-up of a brand new factory in Bawal (India) Record real estate investments in Turnhout: operations centre, start-up building works for a European distribution centre and purchase of buildings for expansion of various factories Investment in production capacity expansion in Pionki (Poland) Increasing storage capacity in the UK, Russia and Denmark The joint venture Soudal South Africa PTY Ltd became a fully owned subsidiary of Soudal in January 2012 The acquisition of Işik in Turkey enlarges our presence in Turkey, with its rapidly expanding building sector Our brand new sales subsidiary in Sao Paulo paves the way for further expansion in Brazil, the largest economy in Latin America Final phase of the preparation for the implementation of the ERP system, SAP based, which went live on 1 January 2013 In addition to increasing our efficiency, these major investments will contribute to accelerated growth and create new opportunities for our business. We are also continuing to invest heavily in innovation and we have a very attractive pipeline with products in various stages of development. Some of them were commercialised in 2012 and other products will be launched in the near future. Many of these innovations come in response to global megatrends, such as climate change. Safety and sustainability are key focuses in our activities. Our range of fire-retardant joint materials is being further expanded. Soudal Window System makes a very significant contribution to reducing energy consumption in both relatively warm and relatively cold climates. Many of the products we have developed in recent years comply with the EC1 Plus emissions standard. Although 2012 was a difficult year in economic terms, Soudal managed to deliver solid performance and our employees deserve considerable praise for their commitment to the successful implementation of the company strategy. The staff policy is oriented towards developing talent and retaining critical knowledge and skills. This policy is fleshed out by offering specific training courses and by formulating and providing training on work instructions. Our workforce grew by over 100 new employees to a total of 1,559 co-workers. 13

14 14 Highlights Hoogtepunten Faits saillants Höhepunkte Soudal opens its eleventh production unit On Sunday November 4 th, the newest Soudal production site was officially inaugurated in Bawal, India. The new production hall has an area of 6,700 m² located on a 20,000 m² site. It has a capacity of 15 million cartridges per year. Soudal has been active in the Indian market since early 2010, when it established a joint venture (JV) with the McCoy Group in New Delhi. Today, this JV employs over 60 people at four regional locations in Mumbai, Calcutta, Bangalore and New Delhi. Now the list can be expanded with Bawal, situated in the state of Haryana and a 90-minute drive south of New Delhi. New subsidiary in Brazil and full acquisition of Soudal South Africa Soudal is already well established in a large part of the top emerging national economies, commonly known as BRICS. In 2012, with operations in Russia, China, India and South Africa, consolidated turnover from activities in the BRICS countries accounted for more than 15% of Soudal s global turnover, and growing strongly. In 2012, a gap in our presence in the remaining BRICS countries was filled with the start-up of Soudal s fully owned subsidiary Soudal Brasil Industria e Comercio de Produtos Quimicos Ltda. Headquarted in Sao Paulo, it aims to grow rapidly to become one of the top ten Soudal subsidiaries. Soudal s operations in South Africa, which started in 2007 as a joint venture, were fully acquired in January Soudal successfully implements SAP In late 2012, Soudal headquarters, UK, the Netherlands and Austria rolled out a new ERP system based on SAP. Thanks to very intensive preparation, training and testing, this go-live went very smoothly. After the postlaunch phase, SAP will be rolled out internationally over the coming years. New premises in several countries In 2012, several Soudal subsidiaries moved to new premises to support their growth. Soudal UK moved in early 2012 to new offices near Birmingham. With over 2,000 m² of storage area for 1,750 pallets, this location will support further growth in UK and Ireland. Soudal Italy s new warehouse and offices near Milano were officially inaugurated by Vic Swerts and the Mayor of Milan in February Soudal Russia expanded its warehouse capacity to 1,500 pallets, and Soudal Denmark doubled its warehouse and office capacity. Soudal participates in WEoY 2012 event After winning the Belgian edition of the Company of the Year competition in 2011, Soudal was invited to represent Belgium at the World Entrepreneur of the Year 2012 event in Monte Carlo. 17 New products Nieuwe producten Nouveautés Neue Produkte Genius Gun - the handiest system for polyurethane foam application The patented Genius Gun from Soudal is a world first that raises the convenience and precision of polyurethane foam application to an unprecedented level. The new, ergonomically shaped adapter is specifically designed to foster ease of use, allowing the gun to be operated with just one hand. This provides perfect control and dispensing, just like a professional gun. The Genius Gun offers benefits even after use, since it can be sealed so that the foam in the can remains usable for up to six weeks after initial use. Professional and DIY versions of the Genius Gun were introduced during 2012 in virtually all countries where Soudal is active. New wood floor adhesives with the EC1 Plus label SMX-30 Plus, MS-30 Plus and MS-20 Plus from Soudal are new hybrid adhesives for wood floors that offer outstanding use characteristics and comply with one of the most stringent environmental labels for emissions: EC1 Plus. Soudal has been working for years to reduce its environmental impact and is constantly looking for new developments and innovative products. New raw materials are analysed extremely thoroughly, mixing ratios are adapted and product properties are tested extensively. Naturally, outstanding application and product characteristics, ranging from even faster development of bonding strength and curing to very high final strength, are still of essential importance. Silirub 2/S - a new premium sanitary silicone Silirub 2/S has been one of Soudal s top sanitary products for a long time. However, product continuity and high quality standards were increasingly coming under pressure from the variable availability of raw materials, new regulations and new trends in building and materials use. Soudal chose to convert these frustrations into true opportunities. Thanks to the efforts of a dedicated team of researchers, a new formula was developed that combines better performance with constant, reliable quality. This confirms the position of the new and improved Silirub 2/S as the standard premium sanitary silicone for the coming years. Along with the well-known excellent application characteristics and increased shelf life, the new formula has reduced odour. Powerful fungicides and adhesion promoters ensure perfect protection against mould and provide perfect and durable adhesion to all types of surface. SWS international rollout Soudal has been providing system solutions for the window and door market in Central and Eastern Europe for several years. There, the keys to a sound reputation and good results are fully mature product development and the right technical framework. In response to the advent of energy performance at the European level and the popularity of the passive house standard, Soudal is investing in the further deepening and expansion of Soudal Window Systems (SWS) throughout Europe. Extensive testing at the University of Ghent (Belgium) formed the basis for combining fully elaborated joint details that are not only airtight in practice, but also fulfil the thermal requirements regarding cold bridges. This research, which is still ongoing, formed the basis for the successful launch of SWS in Belgium, Germany, Italy, France, Spain and the Netherlands. There is also interest in these energy-saving solutions in the UK, Austria, Portugal, Slovenia and even China and India. In each case, the key is a product mix adapted to local needs, along with supplementary tests in local research centres. 17

Comment on the financial statements As presented, the financial statements are consolidated at the level of Soudal Holding NV. It includes the companies associated with the public limited company Soudal NV, producer of silicones, polyurethane foams, adhesives and various other chemical construction specialties and automotive products. The consolidated financial statements for 2012 closed with a balance sheet total of d214,451,263 compared with d196,440,080 as per , an increase of d18,011,183. The consolidated profit for 2012 reached d16,948,497 The group s average workforce increased from 1,453 to 1,559. Investments of d22 mio were recorded. Consolidated turnover increased with 8% from d380,151,807 to d410,649,726. Consolidated equity capital rose from d83,691,238 to d101,049,201. Information concerning Research and Development activities The Group and Soudal NV a company governed by Belgian law, in particular are making considerable efforts in the area of Research and Development. To this end, the company employs a number of highly qualified research scientists. The main objective is to develop higher quality that meet the highest standards and technical specifications. Significant efforts are also being made to improve production methods and logistic processes. 5. Information concerning the use of financial instruments The Group uses a number of specific financial instruments to cover foreign exchange and interest rate risks. The use of such instruments does not have any major influence on the financial position of the group. 6. Risk management by the company The members of the Board of Directors and the management are aware that business also entails risk. Significant efforts have been made in the area of risk management. The Board of Directors, Statutory auditor s report to the general meeting of shareholders of Soudal Holding on the consolidated financial statements for the year ended on 31st of december The statutory auditor Vyvey & Co, Certified Public Accountants, represented by Steven Vyvey has given an unqualified audit opinion on the consolidated financial statements for the year ended on December 31st of 2012 of the company Soudal Holding NV and confirms that the included financial statements are in accordance with the audited financial statements of the company Soudal Holding NV.

Finally, Soudal aims to be an employer that is involved in the community in which the company operates. 22 22 Woord van de Voorzitter Word from the Chairman Message du Président Botschaft des Vorsitzenden 2012 was ontegensprekelijk een uitstekend jaar voor Soudal. Met een omzetgroei van meer dan 8% zet Soudal ook dit jaar zijn traditie verder van groei ver boven het marktgemiddelde van de sector. Het doet me bijzonder plezier vast te stellen dat Soudal uitstekend gewapend is om ook in moeilijke marktomstandigheden te blijven vooruit gaan. Toch waren de marktomstandigheden in 2012 bijzonder lastig. Nieuwbouw en de verkoop van bestaande huizen in Europa en Noord-Amerika bleven dalen. Aannemersbedrijven moeten concurreren voor een aandeel in een stagnerende of dalende markt, waar we ook te maken kregen met een trend naar goedkopere producten. Door dit minder gunstige economische klimaat, vooral in de bouw- en constructiemarkt, was het onmogelijk om de gestegen grondstofkosten volledig en tijdig door te rekenen. Vanuit Turnhout naar de ganse wereld zodat we op een duurzame wijze kunnen verder groeien. Ondanks de verdere professionalisering meen ik te mogen stellen dat Soudal zijn familiaal karakter behouden heeft. Zodoende kunnen we onze klanten geven wat ze verdienen: een uitstekende service, een heel kwaliteitsvol assortiment en betaalbare prijzen. Ondernemerschap, klantgerichtheid, elkaar inspireren, respect en betrokkenheid blijven de kernwaarden van onze ondernemingscultuur. Voor 2013 verwachten wij voortgaande economische onzekerheid en volatiliteit op de grondstofmarkten. Soudal heeft echter besloten niet deel te nemen aan de crisis en ons team zeer gemotiveerde medewerkers zal zich volledig inzetten om de ingeslagen koers succesvol verder te zetten. Vic Swerts, Voorzitter Ondanks deze uitdagingen blijven we optimistisch over de sector, ons concurrentievermogen en groeipotentieel. De succesvol afgeronde overname van Işik in Turkije, de opening van onze fabriek in India, de overname van de aandelen van onze joint venture partner in Zuid-Afrika, de oprichting van een verkoopsfiliaal in Brazilië en de uitbreiding van onze fabriek in China, zijn uitingen van onze wereldwijde visie en strategie. Als we kijken naar de snelgroeiende markten van Azië, Latijns-Amerika, Turkije en Oost-Europa, zien we dat we onze concurrenten nog steeds voorblijven en ons relatieve marktaandeel verstevigen. Het was verheugend te zien dat de omzet van innovatieve producten (nieuwe producten geïntroduceerd gedurende de laatste vijf jaar) meer dan verdubbelde ten opzichte van vorig boekjaar. Met trots kunnen we u over onze deelname aan The World Entrepreneur of the Year 2012 berichten. 25 Belangrijkste gebeurtenissen 2012 Most important events Principaux événements Wichtigste Ereignisse Na een sterke start tijdens het eerste kwartaal werd de groei enigszins afgezwakt. Het onzekere economische klimaat in diverse regio s had effect op onze prestaties. Ondanks de gestegen grondstofkosten die we niet konden doorrekenen, de slechtere uitgangspositie (Griekenland, Portugal, Spanje, Italië) en wisselkoersschommelingen, wisten we in volwassen markten zoals Europa meer dan stand te houden en ons marktaandeel verder uit te bouwen. In de opkomende landen konden we een zeer verheugende omzetgroei vaststellen. De omzet in deze regio s verdubbelde t.o.v was ook het jaar van een aantal belangrijke investeringsbeslissingen: upgrade van en toevoeging van capaciteit aan onze afvulling van worsten en kokers in Turnhout verdere uitbreiding van de site in Taicang (China): nieuwe afvullijnen voor PU schuim, opstart afvulling silicone opstart van een gloednieuwe fabriek in Bawal (India) recordinvestering op het vlak van real estate in Turnhout: operations center, opstart werf voor nieuw Europees distributiecentrum, aankoop van gebouwen voor uitbreiding van diverse fabrieken investering in uitbreiding van productiecapaciteit in Pionki (Polen) verhoging van de opslagcapaciteit in UK, Rusland en Denemarken de joint venture Soudal South Africa PTY Ltd werd in januari 2012 een 100% eigen Soudal filiaal door de acquisitie van Işik versterkten we onze aanwezigheid in Turkije met zijn snel expanderende bouwsector ons gloednieuwe verkoopsfiliaal in Sao Paulo opent de weg voor verdere expansie in Brazilië, de grootste economie van Latijns-Amerika laatste fase van de voorbereiding van de implementatie van een SAP gebaseerd ERP systeem dat per 1 januari 2013 in gebruik genomen werd Deze belangrijke investeringen verhogen niet enkel onze efficiëntie maar zullen tevens bijdragen aan versnelde groei en nieuwe kansen bieden voor onze business. We zijn ook volop blijven investeren in innovatie en hebben een zeer interessante pijplijn met producten die zich in verschillende ontwikkelingsstadia bevinden. Sommige hiervan commercialiseerden we in 2012, andere producten worden op korte termijn gelanceerd. Vele innovaties zijn een reactie op mondiale megatrends zoals klimaatverandering. Veiligheid en duurzaamheid zijn belangrijke aandachtspunten in wat wij doen. Ons gamma brandvertragende voegmaterialen wordt verder uitgebouwd. Soudal Window Systems draagt in zeer belangrijke mate bij tot de reductie van het energieverbruik in zowel warmere als koudere klimaten. Vele producten die we gedurende de jongste jaren ontwikkelden, voldoen aan de Emicode EC1-Plus was economisch een moeilijk jaar maar toch wist Soudal een solide prestatie neer te zetten en onze medewerkers verdienen alle lof voor hun inzet bij de succesvolle uitvoering van de strategie van de onderneming. Het personeelsbeleid is gericht op het ontwikkelen van talent en het behouden van kritische kennis en vaardigheden. Aan het beleid wordt invulling gegeven door het aanbieden van gerichte opleidingen en door het opstellen en trainen van werkinstructies. Ons personeelsbestand groeide met meer dan 100 nieuwe medewerkers verder aan tot werknemers. 25

26 26 Hoogtepunten Highlights Faits saillants Höhepunkte Soudal opent haar 11 e productie-eenheid Op zondag 4 november werd de nieuwste Soudal productielocatie officieel ingehuldigd in Bawal, India. De nieuwe productiehal heeft een oppervlakte van m² en is gebouwd op een terrein van m 2. De fabriek heeft een capaciteit van 15 miljoen kokers per jaar. Soudal is actief in de Indiase markt sinds het begin van 2010, toen het een joint venture overeenkomst sloot met de McCoy Group uit New Delhi. Vandaag heeft deze JV meer dan 60 mensen in dienst verspreid over vier regionale kantoren in Mumbai, Calcutta, Bangalore en New Delhi. Nu kan ook Bawal aan deze lijst toegevoegd worden. De stad is gelegen in de staat Haryana, op anderhalf uur rijden ten zuiden van New Delhi. Nieuwe vestiging in Brazilië en de 100% overname van Soudal Zuid-Afrika Soudal is al goed aanwezig in een groot deel van de snel opkomende nationale economieën, algemeen bekend als de BRICS-landen. In 2012, met activiteiten in Rusland, China, India en Zuid-Afrika, vertegenwoordigde de omzet in de BRICS-landen meer dan 15% van de wereldwijde omzet van Soudal en deze is sterk groeiende. In 2012 werd de aanwezigheid in het laatste ontbrekende BRICSland gerealiseerd met de opstart van het 100% filiaal Soudal Brasil Industria e Comercio de Produtos Quimicos Ltda. Met hoofdkwartier gelegen in Sao Paulo heeft dit filiaal de ambitie om snel door te groeien tot een van de top 10 filialen van Soudal. De activiteiten van Soudal in Zuid-Afrika werden 100% verworven in januari Deze operatie begon in 2007 als een joint venture. Soudal implementeert SAP succesvol Tijdens de 2012 eindejaarsperiode werden Soudal Turnhout, Verenigd Koninkrijk, Nederland en Oostenrijk succesvol overgezet naar een nieuw ERP-systeem op basis van SAP. Dankzij zeer intensieve voorbereiding, training en een uitgebreide testfase verliep deze GO LIVE erg vlot. Zodra de nazorgfase afgewerkt is, wordt SAP in de komende jaren verder in alle Soudal filialen uitgerold. Nieuwe panden in meerdere landen In 2012 verhuisden verschillende Soudal filialen naar nieuwe locaties om hun groei te ondersteunen. Soudal UK verhuisde begin 2012 naar een nieuw kantoor in de buurt van Birmingham. Met meer dan m 2 magazijnruimte voor pallets, zal deze nieuwe locatie de verdere groei in het Verenigd Koninkrijk en Ierland ondersteunen. Soudal Italië s nieuwe magazijn en kantoren in de buurt van Milaan werden officieel ingehuldigd door Vic Swerts en de burgemeester van Milaan in februari Soudal Rusland breidde zijn magazijn uit tot palletplaatsen en Soudal Denemarken verdubbelde de capaciteit van haar magazijn en kantoor. 29 Nieuwe producten New Products Nouveautés Neue Produkte Genius Gun : het handigste systeem voor het gebruik van PU Schuim Met de gepatenteerde Genius Gun zorgt Soudal voor een wereldprimeur dat het gebruik van PU schuimen naar een ongekend niveau van gemak en precisie tilt. De nieuwe perfect in de hand liggende adapter werd speciaal ontwikkeld ter bevordering van het gebruiksgemak zodat de bus met slechts 1 hand kan worden uitgespoten. Net zoals bij een professioneel pistool of gun zorgt dit voor een perfecte controle en dosering. Ook ná gebruik biedt deze Genius Gun voordelen omdat het systeem kan afgesloten worden zodat de bus schuim tot 6 weken na activatie kan hergebruikt worden. De Genius Gun werd in de loop van 2012 in een PRO en DIY versie geïntroduceerd in nagenoeg alle landen waar Soudal actief is. Nieuwe parketlijmen met EC1plus label Soudal brengt met SMX-30 Plus, MS-30 Plus en MS-20 Plus drie nieuwe hybride parketlijmen die naast hun uitstekende gebruikskwaliteit ook voldoen aan één van de strengste milieulabels aangaande emissie-uitstoot, namelijk EC-1 Plus. Soudal neemt op dit vlak al jaren zijn verantwoordelijkheid en is continu op zoek naar nieuwe ontwikkelingen en innovatieve producten. Nieuwe grondstoffen worden uiterst grondig geanalyseerd, mengverhoudingen worden aangepast en eigenschappen van producten worden uitvoerig getest. Uiteraard blijven de uitstekende verwerking en eigenschappen, gaande van een nog snellere krachtopbouw en doorharding tot een zeer hoge eindsterkte, van primordiaal belang. Silirub 2/S: nieuwe premium sanitaire silicone Silirub 2/S is al sinds lange tijd een van de top sanitaire producten van Soudal. Echter, wisselende beschikbaarheid van grondstoffen, veranderende regelgeving en nieuwe trends in de bouw en de gebruikte materialen, betekende dat de continuïteit en de hoge kwaliteitseisen onder druk kwamen te staan. Soudal heeft ervoor gekozen om deze frustraties om te zetten in echte kansen. Dankzij een toegewijd team van onderzoekers werd een nieuwe formule ontwikkeld die betere prestaties koppelt aan constante en zekere kwaliteit. De vernieuwde Silirub 2/S wordt aldus bevestigd als de standaard premium sanitaire silicone voor de komende jaren. Samen met de bekende prima verwerkbaarheid en een verhoogde houdbaarheid, is in de nieuw formule ook de geur verminderd. Krachtige fungicides en adhesie bevorderaars zorgen voor een perfecte bescherming tegen schimmels en voor een perfecte en duurzame hechting op alle types ondergronden. SWS international rollout Reeds heel wat jaren levert Soudal systeemoplossingen voor de ramen- en deuren markt in Oost- en Centraal-Europa. Een doorgedreven productontwikkeling en de juiste technische omkadering staan daar garant voor een stevige reputatie en mooie resultaten. Met de komst van de energieprestatie op Europees niveau en het succes van de passiefhuisstandaard, investeert Soudal in de verdere uitdieping en uitbouw in heel Europa van het Soudal Window System (SWS). Het ruime testwerk aan de Universiteit van Gent vormde de basis voor een bundeling van volledig uitgewerkte aansluitdetails, die niet alleen in de praktijk luchtdicht zijn, maar ook voldoen aan de thermische eisen inzake koudebruggen. Dit onderzoek, dat trouwens nog steeds loopt, vormde de basis voor de succesvolle introductie van SWS in België, Duitsland, Italië, Frankrijk, Spanje en Nederland. Ook in UK, Oostenrijk, Portugal, Slovenië en zelfs China en India is er interesse in deze energiebesparende oplossingen.
