Principal Commercial Activity The principal commercial activity of the company is, in accordance with the purpose of the company as set out in its articles of association, the financing of the entire Weissenhaus project of the managing partner by using capital, which was provided to the company for this purpose via equity-based crowdfunding from third parties by means of participatory loans with qualified subordinated loans. d. Responsible Supervisory Authority None 2. Information on the Provision of Loans a. Risk Warning A loan provided to the company carries specific business risks because of its specific characteristics (i.e., that of a subordinated loan). Possible past revenues are no indicator of future revenues. The financial service does not relate to financial instruments whose price depends on fluctuations in the financial market. This investment carries considerable risks and may lead to a complete loss of the assets invested. b. Essential Characteristics of the Financial Service Offered The company offers a subordinated profit-participating loan with qualified subordination for purchase. The qualified profit-participating loan granted to the issuer does not constitute a share in the company in accordance with company law, but it grants the investor (i.e., the lender) a contractual claim to the repayment of the loan amount with final maturity (no redemption payments during the time to maturity and a payment of biannual fixed-interest payments on the supplied loan amount of 4.5%. The loan is a qualified subordinated loan because all claims of the investor are excluded as long and insofar as making such claims would cause the opening of insolvency proceedings against the start-up. The subordinated profitparticipating loans are thus shares in a business with similar characteristics as equity. If the start-up becomes insolvent or is liquidated, the claims of the investors will be satisfied from the assets in the insolvency or the assets in liquidation only after the claims of all other external creditors have been satisfied. There is no obligation to make further contributions. The subordinated loan contract is limited and has a fixed-term until c. The loan contract does not come into force until Companisto or the business confirms the conclusion of the contract in . The profit-participating loan contract is subject to the condition precedent that the start-up receives profit-participating loans worth at least EUR 500,000 from investors. d. Fixed Life Time

2 The loan is granted for an indefinite period and has a fixed time period until For information on terminating the contract, please see the following paragraph. e. Conditions for Termination The loan has a fixed term until and the company can terminate the loan before the end of the fixed term. The investor then receives a prepayment compensation for the fixed interest rate he lost due to the premature termination of the loan. The early repayment compensation amounts to the euro amount that would have been payable as a fixed interest rate by the end of the fixed term.the right to extraordinary termination for good cause remains unaffected. The contract does not include any penalties. f. Applicable Law, Competent Court The loan contract itself and the rights and obligations resulting from this contract are governed by the law of the Federal Republic of Germany. Venue for the settlement of disputes arising from and in relation to this contract is Berlin. g. Languages of the Contract and of Communication German h. Service Provisos There is no provision that a service with an equivalent quality and price is to be provided. The loan contract is subject to the condition precedent that the company receives profit-participating loans worth at least EUR 500,000 from investors. i. Total Price, Price Components, Taxes Paid The minimum loan amount is EUR 100. The execution of the loan contract does not lead to any costs for the investor, but the company may use the loan amount provided to cover the transaction costs that it has to bear because of the equity-based crowdfunding campaign, particularly the fee for being listed on the platform. Subscription for the loan is not subject to value-added tax. j. Details on Payment and Delivery Payment is made through direct debit, bank transfer, or Sofortüberweisung. There is no delivery of documents. k. Additional Costs of Using Means of Distance Communication The company does not charge any such costs. l. Validity of Information/Offer This information remains valid until any amendments are announced. The investment will be possible until full placement (investment limit), and the offer period will end at midnight on 22 December 2017 (extended investment period) at the latest unless the offer ends prematurely. m. Extrajudicial Complaint and Appeal Procedures In the case of disputes resulting from the application of the German Civil Code [BGB] with regard to distance contracts on financial services, there is, without prejudice to the right to begin legal proceedings, the option of contacting the arbitration body created at Deutsche Bundesbank. 3 Right to Cancel In accordance with section 2d of the German Act on Capital Investment [VermAnlG], you may cancel your contractual declaration in text form (e.g., in a letter, fax, or ) within 14 days and without stating a reason, or if you receive a participation confirmation before this period ends you may also cancel it by returning the participation confirmation. The cancellation period starts at the time you receive this information in text form, but not before the recipient receives the participation confirmation. Die Finanzdienstleistung bezieht sich nicht auf Finanzinstrumente, deren Preis von Schwankungen auf dem Finanzmarkt abhängig ist. Der Erwerb dieser Vermögensanlage ist mit erheblichen Risiken verbunden und kann zum vollständigen Verlust des eingesetzten Vermögens führen. b. Wesentliche Merkmale der angebotenen Finanzdienstleistung Das Unternehmen bietet den Erwerb eines Nachrangdarlehens mit qualifiziertem Rangrücktritt an. Das qualifiziert nachrangige Darlehen vermittelt keine gesellschaftsrechtliche Beteiligung, sondern räumt dem Investor als Darlehensgeber einen endfälligen vertraglichen Anspruch auf Rückzahlung des Darlehensbetrages (keine Tilgung während der Laufzeit) und auf Zahlung einer halbjährlich auszuzahlenden Festverzinsung in Höhe von 4,5% p.a. auf den bereitgestellten Darlehensbetrag ein. Qualifiziert nachrangig ist das Darlehen, da sämtliche Ansprüche des Investors solange und soweit ausgeschlossen werden, wie ihre Geltendmachung einen Grund für die Eröffnung des Insolvenzverfahrens des Unternehmens herbeiführen würde. Die Nachrangdarlehen sind somit unternehmerische Beteiligungen mit eigenkapitalähnlichen Eigenschaften. Im Falle einer Insolvenz oder einer Liquidation des Unternehmens werden die Investoren erst nach allen anderen Fremdgläubigern aus der Insolvenzmasse oder Liquidationsmasse bedient. Eine Nachschusspflicht besteht nicht. Der Nachrangdarlehensvertrag ist befristet und hat eine Festlaufzeit bis zum c. Zustandekommen des Vertrages Um ein Nachrangdarlehen an das Unternehmen zu gewähren hat der Investor den Investmentprozess auf der Internetplattform unter vollständig zu durchlaufen. Durch das Anklicken des hierfür vorgesehenen Buttons auf der Webseite nach Auswahl der Investitionshöhe durch den Companisten, gibt der Companist ein Angebot auf Abschluss eines Darlehensvertrages nach Maßgabe des dort hinterlegten Vertrages ab. Der Darlehensvertrag kommt erst dann zustande, wenn Companisto oder das Unternehmen den Abschluss des Vertrages mit einer bestätigten. Eines gesonderten schriftlichen Vertragsschlusses bedarf es darüber hinaus nicht. Der Darlehensvertrag kommt unter der aufschiebenden Bedingung zustande, dass das Unternehmen mindestens Darlehen in Höhe von insgesamt EUR von Investoren einwirbt. d. Festlaufzeit

5 Die Laufzeit des Darlehens ist befristet und hat eine Festlaufzeit bis zum Zu den Ku ndigungsmöglichkeiten siehe nachfolgenden Absatz. e. Vertragliche Ku ndigungsbedingungen Das Darlehen hat eine Festlaufzeit bis zum Das Unternehmen kann das Darlehen vor dem Ende der Festlaufzeit vorzeitig kündigen. Der Investor erhält dann eine Vorfälligkeitsentschädigung für die ihm durch die vorzeitige Beendigung des Darlehens entgangene Festverzinsung. Die Vorfälligkeitsentschädigung beträgt den Euro- Betrag, der bis zum Ende der Festlaufzeit als Festverzinsung zu zahlen gewesen wäre. Das Recht zur außerordentlichen Kündigung aus wichtigem Grund bleibt unberührt. Vertragsstrafen sind nicht vorgesehen. f. Anwendbares Recht, zuständiges Gericht Der Darlehensvertrag selbst und die Rechte und Pflichten aus diesem Vertrag unterliegen dem Recht der Bundesrepublik Deutschland. Gerichtsstand für sämtliche Streitigkeiten aus und im Zusammenhang mit diesem Vertrag ist, soweit gesetzlich zulässig, Berlin. g. Vertrags- und Kommunikationssprachen Deutsch h. Leistungsvorbehalte Es gibt keinen Vorbehalt, eine in Qualität und Preis gleichwertige Leistung zu erbringen. Der Darlehensvertrag kommt unter der aufschiebenden Bedingung zustande, dass das Unternehmen mindestens Darlehen in Höhe von insgesamt EUR von Investoren einwirbt. i. Gesamtpreis, Preisbestandteile, abgeführte Steuern Der Mindestdarlehensbetrag beträgt EUR 100. Die Abwicklung des Darlehensverhältnisses ist für den Investor nicht mit Kosten verbunden, wobei die Transaktionskosten, die das Unternehmen für das Crowdinvesting zu tragen hat, insbesondere die Gebühr für das Listing auf der Plattform, vom Unternehmen aus dem gewährten Darlehensbetrag gedeckt werden dürfen. Die Zeichnung des Darlehens ist nicht umsatzsteuerpflichtig. j. Einzelheiten der Zahlung und Lieferung Die Zahlung erfolgt per Lastschrift, Überweisung oder Sofortüberweisung. Eine Lieferung von Urkunden erfolgt nicht. k. Zusätzliche Kosten für die Benutzung von Fernkommunikationsmitteln Solche Kosten werden durch das Unternehmen nicht in Rechnung gestellt. l. Gültigkeitsdauer der Informationen / des Angebots Diese Information gilt bis zur Mitteilung von Änderungen. Die Möglichkeit zum Erwerb dieser Vermögensanlage besteht bis zu deren Vollplatzierung (Investmentlimit), spätestens endet die Angebotsfrist mit Ablauf des (verlängerte Investitionsfrist), sofern das Angebot nicht vorzeitig beendet wird. m.
