Mai 2015 (Deutsche Version - English version below) Dieser Vertrag räumt Ihnen das Recht ein, die Software netcim wie nachfolgend beschrieben zu installieren, zu laden, zu hosten und zu verwenden. Dieser Vertrag ist ausdrücklich gültig sowohl für kostenpflichtige Software- Lizenzen wie auch für kostenlose Demo-/Trial-Versionen von Software-Lizenzen. Teile der unter diesem Vertrag lizenzierten Software unterliegen der Lizenz von Dritten. Alle Rechte vorbehalten. HINWEIS AN ALLE BENUTZER: LESEN SIE BITTE DEN FOLGENDEN RECHTSGÜLTIGEN VERTRAG ( VERTRAG ) SORGFÄLTIG DURCH. DIESER VERTRAG IST EIN RECHTSGÜLTIGER, BINDENDER UND DURCHSETZBARER VERTRAG ZWISCHEN IHNEN UND NETREE ( NETREE ) BEZÜGLICH JEGLICHER VERWENDUNG SÄMTLICHER NETREE SOFTWARE ( SOFTWARE ). DURCH DAS INSTALLIEREN DER SOFTWARE ERKLÄREN SIE (ENTWEDER ALS NATÜRLICHE ODER JURISTISCHE PERSON) SICH DAMIT EINVERSTANDEN, DASS SIE AN DIESEN VERTRAG GEBUNDEN SIND UND PARTEI DES VERTRAGS MIT NETREE WERDEN. WENN SIE NICHT SÄMTLICHEN BESTIMMUNGEN DIESES VERTRAGS ZUSTIMMEN, DÜRFEN SIE DIE SOFTWARE WEDER INSTALLIEREN NOCH VERWENDEN. 1. Lizenzerteilung. Unter der Voraussetzung, dass Sie die entsprechenden Lizenzgebühren entrichtet haben und die Bestimmungen dieses Vertrags einhalten, erteilt Ihnen Netree hiermit das nicht exklusive, nicht übertragbare Recht zur Verwendung einer Kopie der angegebenen Version der von Ihnen erworbenen Software sowie möglicherweise dazugehörige Medien, gedruckte Materialien, Dokumentation(en) im "Online"- oder elektronischen Format und internetbasierte Dienste (nachfolgend generell Software genannt). 2. Verwendung. Die Verwendung der Produkte ist in diesem Endbenutzer-Lizenzvertrag sowie dem Wartungsvertrag (nur bezahlten Versionen) und dem Lizenzletter (nur bei bezahlten Versionen) geregelt und somit rechtsverbindlich für Sie. Lesen Sie daher unbedingt auch die Dokumente, die Ihrer Rechnung beiliegen. Diese Dokumente bilden einen integrierenden Bestandteil dieses Vertrages. 3. Laufzeit. Dieser Vertrag bleibt bis zu seiner Auflösung in Kraft. Sie können die Auflösung jederzeit herbeiführen, indem Sie die Software zusammen mit allen Kopien vernichten. Außerdem kann Netree diesen Vertrag auflösen, wenn Sie gegen eine Bestimmung dieses Vertrags verstoßen. Sie erklären sich damit einverstanden, nach einer solchen Auflösung unverzüglich die Software und die Dokumentation zusammen mit allen davon angefertigten Kopien zu vernichten. 4. Updates. Netree aktualisiert den Inhalt der Software in bestimmten Abständen. Sofern Sie das Recht dazu erworben haben, dürfen Sie solche Überarbeitungen, Upgrades oder Updates der Software herunterladen, sobald sie von Netree auf ihrer Website oder über andere Onlinedienste bereitgestellt werden. Sie stimmen zu, dass die Bestimmungen dieses Vertrags (oder einer nachfolgenden Version davon) ebenfalls für alle aktualisierten Versionen der Software gelten. 5. Eigentumsrechte. Die Software ist durch internationale Urheberrechtsgesetze und Abkommen geschützt. Netree und die Lieferanten verfügen über alle Eigentums- und Nutzungsrechte an der Software, einschließlich aller darin enthaltenen Patente, Handelsgeheimnisse und Marken- oder anderen Eigentumsrechte. Durch Ihren Besitz, Ihre Installation oder Ihre Verwendung der Software werden Ihnen keinerlei Eigentumsrechte an der Software übertragen, und Sie erhalten lediglich die Rechte, die in diesem Vertrag ausdrücklich genannt sind. Alle im Rahmen dieses Vertrags angefertigten Kopien der Software müssen mit denselben Eigentumshinweisen versehen werden, die sich auf und in der Software befinden. 6. Beschränkungen. Sie dürfen die Software nicht weitergeben, vermieten, verleasen oder weiterverkaufen und keine durch diesen Vertrag gewährten Rechte an Dritte übertragen. Sie sind nicht berechtigt, die Software zurückzuentwickeln, zu dekompilieren, zu hacken, zu übersetzen oder zu disassemblieren (sofern diese Einschränkung durch das geltende Recht nicht ausdrücklich untersagt ist). Sie dürfen die Software weder ganz noch teilweise verändern oder Ableitungen daraus erstellen. Sie dürfen die Software ausschließlich für die in Abschnitt 1 oben genannten Zwecke kopieren. Sie dürfen keine Eigentumshinweise von der Software entfernen. Außerdem müssen Sie sicherstellen, dass keine der in diesem Abschnitt 6 genannten Aktionen von Dritten durchgeführt wird. 2 7. Gewährleistung und Ausschlussklausel. a. Eingeschränkte Gewährleistung. Netree gewährleistet für einen Zeitraum von sechzig (60) Tagen ab Kaufdatum, dass allfällige Datenträger (z.b. CDs), auf denen die Software geliefert wird, frei von Material- und Verarbeitungsfehlern sind. b. Ansprüche des Kunden. Die Gesamthaftung von Netree oder den Lieferanten und Ihr ausschließlicher Anspruch aus dieser Gewährleistung besteht nach alleinigem Ermessen von Netree (1.) in der Rückerstattung des für die Lizenz bezahlten Kaufpreises (sofern zutreffend) oder (2.) im Ersatz des defekten Datenträgers mit der Sie müssen den defekten Datenträger zusammen mit einer Kopie der Rechnung auf eigene Kosten an Netree zurückschicken. Diese beschränkte Gewährleistung gilt nicht, wenn der Datenträger durch einen Unfall, Missbrauch oder falsche Verwendung beschädigt wurde. Für Ersatzdatenträger gilt die Restdauer des ursprünglichen Garantiezeitraums. Dieser Anspruch gilt nicht bis zu dem Umfang, in dem Netree den Beschränkungen von Exportkontrollgesetzen und -vorschriften unterliegt. c. Gewährleistungsausschluss. DIE SOFTWARE WIRD OHNE GARANTIE UND MÄNGELGEWÄHR JEDWEDER ART GELIEFERT. IM VOLLEN RAHMEN DES ANWENDBAREN SCHWEIZERISCHEN RECHTS SCHLIESST NETREE FÜR DIE SOFTWARE JEGLICHE AUSDRÜCKLICHE ODER KONKLUDENTE GEWÄHRLEISTUNG AUS, EINSCHLIESSLICH, JEDOCH NICHT BESCHRÄNKT AUF DIE STILLSCHWEIGENDE GEWÄHRLEISTUNG DER HANDELSÜBLICHEN QUALITÄT, EIGNUNG FÜR EINEN BESTIMMTEN ZWECK UND NICHTVERLETZUNG VON RECHTEN DRITTER. SIE STIMMEN HIERMIT ZU, DASS SIE FÜR DIE AUSWAHL DER SOFTWARE ZUR ERREICHUNG DER BEABSICHTIGTEN ZIELE SOWIE FÜR DIE INSTALLATION, VERWENDUNG UND AUSFÜHRUNGSERGEBNISSE DER SOFTWARE VERANTWORTLICH SIND. OHNE DIE VORSTEHENDEN BESTIMMUNGEN EINZUSCHRÄNKEN, GEWÄHRLEISTET NETREE WEDER DEN FEHLER- NOCH UNTERBRECHUNGSFREIEN BETRIEB DER SOFTWARE UND SCHLIESST JEGLICHE HAFTUNG FÜR PROBLEME BEI DER KOOPERATION MIT ANDEREN SOFTWAREPAKETEN ODER MIT BETRIEBSSYSTEMEN, FÜR SONSTIGE FEHLER ODER FÜR DIE NICHTERFÜLLUNG IHRER ANFORDERUNGEN AUS, UND ZWAR UNABHÄNGIG DAVON, OB DIES AUSDRÜCKLICH EINGERÄUMT WURDE ODER NICHT. d. Haftungsbeschränkung. NETREE UND DIE LIEFERANTEN SCHLIESSEN HIERMIT JEGLICHE HAFTUNG GEGENÜBER IHNEN ODER DRITTEN (ALS NATÜRLICHER ODER JURISTISCHER PERSON) FÜR INDIREKTE ODER SPEZIELLE SCHÄDEN, FÜR SCHADENERSATZ UND FÜR FOLGESCHÄDEN JEDWEDER ART AUS, EINSCHLIESSLICH, JEDOCH NICHT BESCHRÄNKT AUF SCHÄDEN DURCH DEN VERLUST VON GESCHÄFTSWERT, DURCH BETRIEBSUNTERBRECHUNGEN, DURCH DATENVERLUST, DURCH COMPUTERAUSFÄLLE ODER - STÖRUNGEN UND DURCH SONSTIGE VERLUSTE. DIES GILT UNABHÄNGIG DAVON, OB DIE SCHÄDEN DURCH EINE UNERLAUBTE HANDLUNG, EINE VERTRAGSVERLETZUNG ODER AUF SONSTIGE WEISE ENTSTANDEN SIND. DIE GESAMTE HAFTUNG VON NETREE FÜR ALLE SCHÄDEN IST AUF DEN LISTENPREIS VON NETREE FÜR EINE LIZENZ DER SOFTWARE BESCHRÄNKT, UND ZWAR AUCH, WENN NETREE AUF DIE MÖGLICHKEIT SOLCHER SCHÄDEN HINGEWIESEN WURDE. DIESE HAFTUNGSBESCHRÄNKUNG ERSTRECKT SICH NICHT AUF DIE HAFTUNG FÜR TOD ODER PERSONENSCHÄDEN IN DEM MASSE, IN DEM DAS GELTENDE RECHT SOLCHE BESCHRÄNKUNGEN VERBIETET. Die vorgenannten Bestimmungen gelten im größtmöglichen, durch das anwendbare Recht gestatteten Umfang. 8. Hochriskante Aktivitäten. Die Software ist nicht fehlertolerant und wurde nicht für die Verwendung in gefahrenträchtigen Umgebungen entwickelt oder vorgesehen, in denen ein störungsfreier Betrieb erforderlich ist, wie z.b. in nukleartechnischen Einrichtungen, Flugzeugnavigations- oder -kommunikationssystemen, in der Flugsicherung, in Waffensystemen, Maschinen zur direkten Lebenserhaltung oder anderen Anwendungen, in denen ein Ausfall der Software direkt zu Todesfällen, Personenschäden oder schwerwiegenden Sach- bzw. Umweltschäden führen würde (zusammen Hochriskante Aktivitäten ). Netree schließt hiermit jede ausdrückliche oder konkludente Gewährleistung für die Eignung der Software für hochriskante Aktivitäten aus. 9. Verschiedenes. Dieser Vertrag unterliegt dem Recht der Schweiz, ungeachtet der Bestimmungen des internationalen Privatrechts. Die Anwendung der Vertragskonvention der Vereinten Nationen für den internationalen Warenverkauf wird ausdrücklich ausgeschlossen. Dieser Vertrag definiert alle Rechte des Benutzers der Software und bildet die gesamte Vereinbarung zwischen den Parteien. Dieser Vertrag hat Vorrang vor allen anderen Vereinbarungen bezüglich der Software und der Dokumentation. Dieser Vertrag darf nur durch einen schriftlichen Zusatz von Netree geändert werden. Die Bestimmungen dieses Vertrags können nur durch eine schriftliche, unterschriebene Verzichtserklärung von Netree außer Kraft gesetzt werden. Wenn eine Bestimmung dieses Vertrags für ungültig erklärt wird, bleiben die übrigen Bestimmungen weiterhin vollständig wirksam. Die als ungültig erklärte Bestimmung bleibt im größtmöglichen Umfang erhalten, in dem sie juristisch als mit dem beabsichtigten Zweck und dem Wesen dieses Vertrags übereinstimmend ausgelegt werden kann. Die Parteien erklären sich damit einverstanden, dass dieser Vertrag nur in Englisch und Deutsch verfasst wurde. Aus keiner Bestimmung in diesem Abschnitt 9 lässt sich für Sie die Verpflichtung ableiten, dass Sie vertrauliche oder private Informationen Dritten gegenüber offen legen müssen. 3 10. Ihre Erklärungen und Zusicherungen. Sie erklären und sichern zu, dass Sie zum Abschließen dieses Vertrags berechtigt sind und dass Sie sich an seine Bestimmungen halten. Außerdem erklären Sie und sichern zu, dass Sie allen Verpflichtungen aus diesem Vertrag nachkommen und alle anwendbaren, die Software betreffenden Gesetze, Vorschriften und Richtlinien einhalten. Sie stimmen zu, dass Sie die volle und unbeschränkte Haftung für jegliche Verwendung übernehmen, die diesem Vertrag widerspricht, und zwar unabhängig davon, ob dies gesetzlich verfügt oder direkt bzw. indirekt von Ihnen verursacht wurde. Sie erklären sich damit einverstanden, Netree von allen Haftungsansprüchen freizustellen und schadlos zu halten, die sich aus Ihrer Verletzung dieses Vertrags oder Nichteinhaltung der anwendbaren Gesetze, Vorschriften und Richtlinien ergeben oder damit in Verbindung stehen. 11. Wartungsvertrag Netree (Gilt nicht für Demo-/Freeware-Produkte der netcim Software): Ihre Software-Lizenz beinhaltet ein Jahr lang (oder für die auf der Auftragsbestätigung vereinbarte Dauer) Wartung. Nach Ablauf der Wartung (max. 12 Monate) können Sie den Netree Wartungsvertrag zu einem Preis gemäss der jeweils aktuellen Preisliste Ihrer Software-Lizenz erneuern. Nach der Erneuerung haben Sie Anspruch auf kostenlose Software-Updates und -Upgrades (sofern verfügbar), die den Wert Ihrer Software-Investition sicherstellen. Wenn Ihr Netree Wartungsvertrag abläuft, stehen die unter Punkt 4 erläuterten Rechte nicht mehr zur Verfügung. Die Details entnehmen Sie dem Wartungsvertrag, welcher der Rechnung beigelegt wird. Dieser Wartungsvertrag ist integrierender Bestandteil des vorliegenden Vertrages. 12. OpenSource Code. netcim benutzt für unterschiedliche Aufgaben frei verfügbare Komponenten. Die Lizenzvereinbarungen dieser sind am Ende dieses Dokuments aufgelistet. 13. KONTAKTAUFNAHME MIT NETREE. Provided that you have paid the appropriate licensing fees and comply with the provisions of this Agreement, Netree shall grant you the non-exclusive, non-transferable right of use of one copy of the specified version of the software purchased by you and any accompanying media, printed material, documentation in online or electronic format and Internet-based services (hereinafter generally referred to as 'Software'). 2. Use. The use of the products is regulated in this End User Licensing Agreement and in the maintenance contract (only paid versions) and the licensing letter (only paid versions) and you are therefore legally bound by the contract. Therefore ensure that you also read the documents attached to your invoice. These documents form an integral part of this Agreement. 3. Term. This Agreement shall remain in force until it is dissolved. You can dissolve it at any time by destroying the Software together with all copies. Furthermore, Netree is entitled to dissolve this Agreement, if you breach any provision of this Agreement. 4 you shall without delay destroy the software and the documentation, together with all and any copies you have made of them. 4. Updates. Netree shall update the content of the Software at pre-determined intervals. If you have purchased the right to do so, you may download such revised versions, upgrades and updates, as soon as they are made available by Netree on their website or via other online services. You agree that the provisions of the Agreement (or a subsequent version of it) shall also be valid for all updated versions of the 5. Property rights. The Software is protected by international laws of copyright and conventions. Netree and its distributors hold all property rights and rights of use in the Software, including all patents, trade secrets and brand names or other property rights contained therein. Your possession, installation or use of the Software shall not transfer to you any property rights whatsoever in the Software and you shall obtain only the rights, which are expressly specified in this Agreement. All copies of the Software made in connection with this Agreement must be provided with the same notices as to ownership, as are included on and in the 6. Restrictions. You may not pass on, rent out, lease out or sell on the Software and you may not transfer to third parties any rights granted under this Agreement. You are not entitled to reverse engineer, decompile, hack, translate or dis-assemble the Software (unless this limitation is expressly forbidden by applicable law). You may not modify the Software either in whole or in part, nor may you generate derivatives from it. You are entitled to copy the Software exclusively for the purposes specified in Section 1. Netree reserves all rights, including those not expressly specified herein. 7. Warranty and exclusion clause. a. Restricted warranty. For a period of sixty (60) days from date of purchase, Netree warrants that all applicable data storage devices (e.g. CDs), on which the Software is supplied, shall be free from material and processing defects. b. Claims by the customer. The joint and several liability of Netree or its distributors and your sole claim arising from this warranty consists at the sole discretion of Netree (1.) in the reimbursement of the purchase price paid for the licence (if applicable) or (2.) in the replacement of the defective data storage device with the You must return the defective data storage device, together with a copy of the invoice at your own costs to Netree. This restricted warranty shall not apply, if the data storage device has been damaged through accident, misuse or incorrect use. The remainder of the warranty term shall apply to the replacement data storage device. This claim shall not apply up to the extent, to which Netree is subject to the restrictions of export control laws and regulations. c. Caveat emptor. THE SOFTWARE IS SUPPLIED ON AN AS IS BASIS AND WITHOUT ANY GUARANTEE WHATSOEVER. TO THE FULLEST EXTENT OF THE APPLICABLE SWISS LAW NETREE EXCLUDES ANY EXPRESS OR IMPLIED WARRANTY WHATSOEVER, INCLUDING, HOWEVER NOT LIMITED TO, THE TACIT WARRANTY OF QUALITY USUAL IN THE TRADE, ELEGIBILITY FOR A STATED PURPOSE AND NON-INFRINGEMENT OF THE RIGHTS OF THIRD PARTIES. YOU HEREBY AGREE THAT YOU ARE RESPONSIBLE FOR SELECTING SOFTWARE TO ACHIEVE THE INTENDED PURPOSES AND FOR THE INSTALLATION, USE AND EXECUTION RESULTS OF THE WITHOUT LIMITATION TO THE FOREGOING PROVISIONS NETREE GUARANTEES NEITHER THAT THE SOFTWARE IS FREE FROM ERRORS NOR THAT IT IS INTERRUPTION-FREE AND EXCLUDES ANY LIABILITY WHATSOEVER FOR PROBLEMS CONCERNING COMPATIBIILITY WITH OTHER SOFTWARE PACKAGES OR WITH OPERATING SYSTEMS, FOR OTHER FAULTS OR FOR THE NON-FULFILLMENT OF YOUR REQUIREMENTS, AND IRRESPECTIVE OF WHETHER THIS HAS BEEN EXPRESSLY GRANTED OR NOT. d. Limitation of liability. NETREE AND ITS DISTRIBUTORS HEREBY EXCLUDE ANY LIABILITY WHATSOEVER TOWRDS YOU OR TOWARDS THIRD PARTIES (WHETHER NATURAL OR LEGAL PERSONS) FOR INDIRECT OR SPECIAL DAMAGES, FOR COMPENSATION FOR DAMAGES AND FOR CONSEQUENTIAL DAMAGES OF ANY TYPE WHATSOEVER, INCLUDING, HOWEVER NOT LIMITED TO, DAMAGES CAUSED BY THE LOSS OF GOODWILL, INTERRUPTION OF BUSINESS, LOSS OF DATA, COMPUTER FAILURE OR MALFUNCTION OR ANY OTHER LOSSES. THIS SHALL APPLY IRRESPECTIVE OF WHETHER THE DAMAGE HAS BEEN CAUSED BY A TORT, A BREACH OF CONTRACT OR IN ANY OTHER WAY. NETREE'S TOTAL LIABILITY FOR ALL DAMAGES SHALL BE LIMITED TO NETREE S LIST PRICE FOR A LICENCE FOR THE SOFTWARE, NAMELY ALSO, WHERE NETREE HAS BEEN NOTIFIED OF THE POSSIBILITY OF SUCH DAMAGES. THIS LIMITATION OF LIABILITY SHALL NOT EXTEND TO LIABILITY FOR DEATH OR PERSONAL INJURY TO THE EXTENT THAT THE APPLICABLE LAW PROHIBITS SUCH LIMITATIONS. 5 8. High-risk Activities. The Software is not fault tolerant and has not been developed or designed for use in hazardous environments, in which failure-free operation is required, as for instance in nuclear technical installations, aircraft navigation or communication systems, in flight safety, in weapons systems, direct lifesupport machines or other applications, in which a software failure would lead to death, personal injury or serious damage to property or to the environment (collectively 'High-risk Activities'). Netree hereby excludes any express or implied warranty for the eligibility of the Software for High-risk Activities. 9. Miscellaneous. This Agreement shall be governed by the law of Switzerland, irrespective of the provisions of international private law. The application of the United Nations Convention on the International Sale of Goods is expressly excluded. This contract defines all the rights of the User of the Software and forms the mutual agreement between the parties to the contract. This contract has priority over all other agreements with respect to the Software and the documentation. This contract may be amended only by a written addition by Netree. The provisions of this contract may be abrogated only by a written, signed statement of waiver by Netree. In the event that any provision of this contract is declared to be void, the remaining provisions shall be deemed to remain effective. The provision declared void shall be retained to the greatest possible extent, to which it is consistent in law with the intended purpose and in conformity with the character of this contract. The parties declare that they are in agreement that this contract shall be published solely in English and German. None of the provisions in this Section 9 can be construed to the effect that you are obliged to disclose confidential or private information to third parties. 10. Your declarations and covenants. You declare and affirm that you are entitled to conclude this contract and that you shall comply with its provisions. Furthermore you declare and affirm that you shall comply with all obligations arising from this contract and with all applicable laws, provisions and directives concerning the You agree that you accept full and unlimited liability for any use whatsoever, which is contrary to this contract and irrespective of whether this is prescribed by law or directly or indirectly caused by you. You declare that you agree to discharge Netree and to hold Netree harmless from all claims for liability, which result from your breach of this contract or your failure to observe the applicable laws, provisions and directives or which arise in conjunction with the said breach or failure. 11. Netree Maintenance Contract (Does not apply to demo-/freeware products of the netcim software): Your software licence includes maintenance for one year (or maintenance for the term agreed on confirmation of the order). On expiry of the maintenance agreement (max. 12 months) you are entitled to renew the Netree Maintenance Agreement at a cost defined on the current list price of your software licence. On renewing the agreement you shall be able to claim cost-free software updates and upgrades (if available), which will safeguard the value of your investment in the software. When your Netree Maintenance Agreement expires, the rights defined in Point 4 shall no longer be available. The details are contained in the Maintenance Agreement, which is enclosed with the invoice.
