Definitionen, Herunterladen der Software Dieser Lizenzvertrag wird beim Herunterladen von ( Software ) in Google Play ( Plattform ) zwischen der Busch-Jaeger Elektro GmbH, Lüdenscheid, Deutschland (im folgenden: Lizenzgeber ) und dem Endnutzer ( Lizenznehmer ) geschlossen. Vor Abschluss dieses Lizenzvertrages ist der Lizenznehmer nicht berechtigt, die Software zu nutzen. Die Nutzungsbedingungen für die Nutzung der Software werden im Folgenden aufgeführt: 1. Umfang der Lizenz Der Lizenzgeber gewährt dem Lizenznehmer, der die Software von der Plattform herunterlädt, für die Dauer dieses Vertrags das einfache, nicht ausschließliche Recht (im Folgenden auch als Lizenz" bezeichnet), die Software auf Smartphones und Tablets nach Maßgabe der Regelungen dieses Vertrages zu benutzen. Eine andere oder weitergehende Nutzung ist nicht zulässig. Der Lizenznehmer ist berechtigt, ausschließlich zu Sicherungszwecken eine Sicherungskopie der Software zu erstellen, die denselben Beschränkungen und Bedingungen unterliegt wie die von der Plattform heruntergeladene Software. 2. Verwenden der Software Dem Lizenznehmer ist bekannt, dass es nach dem Stand der Technik nicht möglich ist, eine von Fehlern vollkommen freie Software zu erstellen. Daher umfaßt dieser Lizenzvertrag nur eine Software, welche im Wesentlichen mit der Produktdokumentation übereinstimmt. 3. Besondere Beschränkungen Dem Lizenznehmer ist untersagt: a) ohne vorherige schriftliche Genehmigung des Lizenzgebers die Software an einen Dritten zu übergeben oder einem Dritten sonstwie zugänglich zu machen, wobei auch Vermietung und Verleih ausdrücklich untersagt sind, b) die Software abzuändern (insbesondere zu bearbeiten oder zu übersetzen) oder davon abgeleitete Werke zu erstellen, c) ohne vorherige schriftliche Genehmigung des Lizenzgebers die Software zu dekompilieren oder zu entassemblieren, d) vorbehaltlich der Regelung in Ziff. 2 die Software zu vervielfältigen; oder e) die Lizenz auf Dritte zu übertragen oder eine Unterlizenz zu vergeben.

2 4. Daten Die Software sammelt keine Daten, insbesondere keine personenbezogenen Daten, unbeschadet des Erfordernisses, dass der Lizenznehmer das Paßwort in der Software eingeben muss. 5. Urheberrechte Die Software ist urheberrechtlich geschützt. Der Lizenznehmer erwirbt nur ein beschränktes Nutzungsrecht, in keinem Fall aber Rechte an der Software selbst. Der Lizenzgeber und der Urheberrechtsinhaber behalten sich insbesondere alle Veröffentlichungs-, Vervielfältigungs-, Bearbeitungs- und Verwertungsrechte an der Software vor. Der Lizenznehmer ist verpflichtet, auf der Sicherungskopie der Software den Urheberrechtsvermerk des Lizenzgebers und des Urheberrechtsinhabers anzubringen bzw. ihn darin zu übernehmen. Ein in der Software vorhandener Urheberrechtsvermerk sowie eine in ihr aufgenommene Registrierungsnummer dürfen in keinem Fall entfernt werden. 6. Keine Zahlung an Lizenzgeber Die Lizenzeinräumung erfolgt unentgeltlich. Jedoch ist der Lizenznehmer verpflichtet, alle Kosten und Aufwendungen zu tragen, die für das Herunterladen der Software erforderlich sind. 7. Drittsoftware und Open Source Software Soweit die Software Softwarekomponenten enthält, für die der Lizenzgeber nur ein abgeleitetes Recht hat, oder sog. Open Source Software (zusammen: Fremdsoftware ), gelten vorrangig die entsprechenden Nutzungsbedingungen. Eine Aufstellung über die enthaltene Fremdsoftware und die entsprechenden Nutzungsbedingungen ist nach diesen Bedingungen am Ende dieses Dokuments enthalten. Urheberrechts- und Lizenzhinweise in der Software oder Produktdokumentation dürfen nicht gelöscht, entfernt oder verändert werden. Der Lizenznehmer stellt den Lizenzgeber von allen Ansprüchen und Kosten/Aufwendungen frei, die dem Lieferer aus dem Einsatz der Fremdsoftware entstehen. 8. Unterstützung Im Falle von Fragen im Hinblick auf die Software kann der Lizenznehmer den Lizenzgeber per wie folgt ansprechen: 9. Geheimhaltung Der Lizenznehmer verpflichtet sich, alle Informationen und Unterlagen des Lizenzgebers, die ihm und seinen Mitarbeitern über die generell ausgelieferte Produktdokumentation hinaus bekannt werden, (insbesondere die Software) gegenüber Dritten geheimzuhalten und sie Dritten in keiner Weise

3 zugänglich zu machen. Der Lizenznehmer wird seinen Mitarbeitern entsprechende Verpflichtungen auferlegen. 10. Geltung und Dauer des Vertrags Der Vertrag kommt mit Zustimmung des Lizenznehmers zu diesem Lizenzvertrag zustande. Der Lizenzvertrag hat eine unbefristete Laufzeit. Das Recht des Lizenznehmers zur Benutzung der Software erlischt in jedem Fall automatisch ohne Kündigung, wenn er eine Bedingung dieses Vertrags verletzt. Handelt es sich um eine nicht wesentliche Pflichtverletzung, so tritt die Folge nur (i) nach wiederholtem (d.h. mindestens zweifachem) Verstoß gegen dieselbe oder eine vergleichbare Pflicht ein oder (ii) nach fruchtloser Abmahnung des Lizenznehmers mit Aufforderung zur Beseitigung des durch die Pflichtverletzung geschaffenen Zustands. Bei Beendigung des Nutzungsrechts ist der Lizenznehmer verpflichtet, alle Vervielfältigungsstücke der Software (einschließlich der ursprünglich heruntergeladenen Software) - auch soweit in irgendeiner Weise bearbeitet oder soweit an Dritte weitergegeben - auf eigene Kosten zu löschen bzw. löschen zu lassen. Der Lizenznehmer hat die Erfüllung der vorstehenden Verpflichtungen auf Wunsch des Lizenzgebers schriftlich zu bestätigen. 11. Schadenersatz bei Vertragsverletzung Der Lizenznehmer haftet für alle Schäden, die dem Lizenzgeber aus einer Verletzung dieses Lizenzvertrages oder in diesem Zusammenhang durch den Lizenznehmer oder seine Erfüllungs- oder Verrichtungsgehilfen entstehen. 12. Allgemeine Bestimmungen in Abhängigkeit vom Sitz des Lizenznehmers Abschnitt A: Die Bestimmungen dieses Abschnitts A gelten (nur) für Lizenznehmer, die ihren Sitz in Deutschland haben: a.1 (Keine) Gewährleistung und Haftung Im Hinblick auf den Umstand, dass die Lizenz unentgeltlich eingeräumt wird (s. Ziff. 6) ist der Lizenzgeber nur haftbar und verantwortlich für a) Verletzung von Schutzrechten oder Urheberrechten oder für Rechtsmängel: nur im Falle von Vorsatz, grober Fahrlässigkeit oder Arglist; und b) Mängel oder für Schäden jedweder Art (z.b. für Sachschäden, Verluste usw.): im Falle von Arglist. a.2 Anwendbares Recht Dieser Lizenzvertrag einschließlich seiner Auslegung unterliegt deutschem Recht unter Ausschluss des Übereinkommens der Vereinten Nationen über Verträge über den internationalen Warenkauf (CISG) und der Verweisungsnormen des Internationalen Privatrechts.

4 a.3 Streitbeilegung Alleiniger Gerichtsstand ist bei allen aus dem Vertragsverhältnis unmittelbar oder mittelbar sich ergebenden Streitigkeiten der Sitz des Lizenzgebers. Der Lizenzgeber ist jedoch auch berechtigt, am Sitz des Lizenznehmers zu klagen. Abschnitt B: Die Bestimmungen dieses Abschnitts B gelten (nur) für Lizenznehmer, die ihren Sitz nicht in Deutschland haben: B.1 (Keine) Gewährleistung oder Haftung Im Hinblick auf den Umstand, dass die Lizenz an der Software unentgeltlich gewährt wird jede Gewährleistung oder Haftung, gleich welcher Art, einschließlich einer Haftung im Hinblick auf mögliche Rechtsmängel, ausgeschlossen Mündliche oder schriftliche Informationen oder Auskünfte/Rat des Lizenzgebers oder eines verbundenen Unternehmens des Lizenzgebers begründen keinerlei Gewährleistung des Lizenzgebers oder des verbundenen Unternehmens. Ein verbundenes Unternehmen bedeutet ein oder mehrere Unternehmen, welche im Hinblick auf eine andere Partei direkt oder indirekt (a) durch die andere Partei kontrolliert wird /werden, (ii) die Anteile an der anderen Partei besitzt/-en oder die andere Partei sonstwie kontrolliert/-en oder (iii) von dem Unternehmen, welches die Anteile an der andere Partei besitzt oder diese kontrolliert, durch Anteile oder sonstwie kontrolliert wird/werden. Für die Zwecke dieser Definition wird Kontrolle der einen Partei über eine andere Partei angenommen, wenn die erste Partei die Anteile an der anderen Partei innehat oder diese kontrolliert durch mehr als 50 % (fünfzig Prozent) der Stimmrechte, welche im Regelfall die Befugnis zur Wahl der Geschäftsführer umfassen, oder im Falle einer Nicht-Kapitalgesellschaft: mehr als 50 % der Anteile an der anderen Partei. Ungeachtet anderslautender Bestimmungen in diesem Vertrag ist eine Haftung des Lizenzgebers (einschließlich der Haftung seiner Mitarbeiter, Gehilfen oder Nachunternehmer) gleich aus welchem Rechtsgrund (z.b. im Zusammenhang mit Mängeln, Verzug, Schutzrechten, Freistellung) wie folgt begrenzt: a) Der Lizenzgeber haftet in keinem Fall für entgangenen Gewinn, Ausfall von Einnahmen, Nutzungsausfall, Produktionsausfall, Kapitalkosten oder Kosten, die mit einer Betriebsunterbrechung verbunden sind, Aufwendungen für Reisen / Flüge oder zur Einhaltung von Terminen, den Verlust erhoffter Einsparungen, Ansprüche Dritter oder für indirekte oder Folgeschäden oder Verluste, gleich welcher Art; b) Die Gesamthaftung des Lizenzgebers im Hinblick auf alle Ansprüche die im Zusammenhang mit der Erfüllung oder Nichterfüllung unter diesem Vertrag entstehen können, wird in keinem Fall insgesamt 500 EUR übersteigen. Die vorstehenden Haftungsausschlussbestimmungen gelten nicht für rechtswidrige Absicht oder grobe Fahrlässigkeit des Lizenzgebers, jedoch gelten sie auch für rechtswidrige Absicht oder grobe Fahrlässigkeit von Hilfspersonen. B.2 Anwendbares Recht

5 Dieser Vertrag einschließlich seiner Auslegung unterliegt Schweizer Recht unter Ausschluss des Übereinkommens der Vereinten Nationen über Verträge über den internationalen Warenkauf (CISG). B.3 Streitbeilegung Alleiniger Gerichtsstand ist Zürich/Schweiz. 13. Verschiedenes a) Es gelten ausschließlich diese Bedingungen. Davon abweichende oder sie ergänzende Bedingungen des Lizenznehmers sind für den Lizenzgeber unverbindlich, auch wenn der Lizenzgeber nicht widerspricht. Dies gilt auch für den Fall, dass der Lizenznehmer angibt, nur zu seinen Bedingungen den Vertrag schließen zu wollen. b) Diese Bedingungen gelten auch für alle Verbesserungen der Software des Lizenzgebers, die die ursprüngliche Software ersetzen oder ergänzen, es sei denn dass der verbesserten Software andere Lizenzbestimmungen beigefügt werden. c) Zur Einhaltung nationaler und internationaler außenwirtschaftsrechtlicher Bestimmungen und Gesetze werden sich die Parteien gegenseitig unterstützen und die dafür notwendigen Dokumente und Informationen, z. B. über eine Ausfuhrlistenerfassung der zu exportierenden Güter oder über den Bestimmungsort und die Endverwendung übermitteln. Keine Partei ist verpflichtet, eine Lieferung oder Leistung ohne die danach erforderliche Genehmigung oder entgegen einem entsprechenden Verbot zu erbringen. Der Lizenzgeber kann jederzeit unter Ausschluss von Schadensersatzansprüchen vom Vertrag zurücktreten, wenn der Lizenznehmer trotz Anfrage nicht oder nicht hinreichend über den Bestimmungsort und die Endverwendung informiert; der Lizenzgeber Kenntnis von einer zum Zeitpunkt der Angebotsabgabe nicht vorausgesetzten Endverwendung oder über eine am Geschäft beteiligte Person erhält und ihr die Durchführung der Lieferung oder Leistung aufgrund von außenwirtschaftsrechtlichen oder konzerninternen Bestimmungen nicht möglich ist; Güter oder Dienstleistungen für militärische oder kerntechnische Zwecke oder die Verwendung im Zusammenhang mit Massenvernichtungswaffen oder dafür vorgesehene Trägersysteme bestimmt sind; hierfür reichen tatsächliche Anhaltspunkte; oder eine verbotene oder ungenehmigte Ausfuhr oder ein Embargoverstoß nicht zweifelsfrei ausgeschlossen werden kann. Der Lizenznehmer ist verpflichtet sicherzustellen, dass (i) er/sie nicht in einem Land sich aufhält, welches einem US-Regierungs-Embargo unterliegt oder das durch die US-Regierung als Terrorunterstützendes Land bezeichnet wird; und (ii) er/sie nicht auf einer US-Regierungs-Liste über Verbotene oder ähnliche ( restricted parties ) Personen steht. d) Änderungen und Ergänzungen der Lizenzbedingungen bedürfen der Schriftform. e) Sollten einzelne Bestimmungen des Vertrages unwirksam werden, wird die Gültigkeit des Vertrages im übrigen davon nicht berührt. Die unwirksamen Bestimmungen sollten durch eine ihrer wirtschaftlichen Zielsetzung am nächsten kommenden Regelung ersetzt werden.

Definitions, Download of Software This License Agreement (the Agreement ) shall be entered into by the end-user ( Licensee ) by downloading the free@home-app (the Software ), which Busch-Jaeger Elektro GmbH, Lüdenscheid, Germany (the Licensor ) is licensing at Google Play (the Platform ). The Licensee shall not be entitled to use the Software prior to entering into the Agreement by accepting the application of the terms hereof. The terms for the using of the Software shall be hereinafter laid down: 1. Subject of the Agreement, License Licensor grants to Licensee downloading the Software from the Platform after having accepted the terms of this Agreement for the duration of this Agreement the non-exclusive right (hereafter called Licence ) to use subject to the requirements set out herein the Software on Smartphones and Tablets subject to the requirements set out herein. Any other or further use is not permitted. The Licensee is entitled to make a single backup copy of the Software solely for security purposes. This copy shall be and is subject to the same restrictions as the software downloaded from Platform. 2. Use of the Software The Licensor points out that it is not possible with today s technology to produce computer software that operates without any errors in all applications and combinations. The subject of the licence hereunder therefore is only software which can be used substantially in accordance with the product description contained in the Software. 3. Special Restrictions The Licensee shall refrain from a) handing over, or otherwise making the Software accessible, to a third party without prior written permission from Licensor; save that it is expressly forbidden to rent or lease the Software, b) any processing, in particular any translating or modifying, of the Software or creating any derivative products, c) decompiling or disassembling the Software without prior written permission from Licensor, d) subject to Clause 2 above, duplicating the Software, and/or e) transferring the Licence to a third party or granting a sub-licence. 4. Data The Software does not collect data, in particular no personal data, save that the Licensee shall enter the pass word for using the Software. 5. Copyright The Software is protected by copyright. The Licensee shall only be granted a limited license hereunder, but in no case acquire, or be granted, any rights to or in the Software itself. The

14 Licensor and the copyright owner in particular reserve all rights concerning the publication, duplication, processing, editing and use of the Software. The Licensee is obliged to attach the copyright notice of Licensor and/or of the copy right owner, as the case may be, onto the backup copy and to incorporate it into the copy, respectively. Licensee shall refrain from removing an existing copyright notice or registration number from the Software. 6. No Payments to Licensor The License is free of charge. However, the Licensee shall bear all cost and expenses necessary to download or to use the Software. 7. Open Source Software and Third Party Software To the extent that Software is provided to the Licensee for which the Licensor has only derived rights to use or so-called open source software (collectively: Third Party Software), the conditions of use of the Third Party Software shall apply with priority. A list of the Third Party Software components and of the respective conditions of use is attached at the end of this document. Notices on copyright and licenses contained in the Software or in the product documentation shall not be deleted, eliminated or modified. Licensee shall indemnify and hold Licensor harmless from and against any claims, cost, expenses which Licensor might incur arising from Licensee s or Licensee s successor s the use of Third Party Software. 8. Support In case of questions pertaining to the Software, please contact Licensor by info.bje@de.abb.com. 9. Secrecy The Licensee undertakes to maintain secrecy concerning all information and documents of the Licensor of which he and/or his employees become aware (in particular the Software and/or Documentation) towards third parties and not to make these accessible to third parties in any way. The Licensee shall impose corresponding obligations on his employees 10. Coming into Force and Duration of the Agreement The Agreement shall come into force upon acceptance of these terms by Licensee on the Platform. The Agreement shall have an unlimited term. The right of the Licensee to use the Software shall expire automatically without notice if he violates any terms of this Agreement. If there is an insignificant breach of duty, automatic expiry shall only apply (i) after repeated violations of the same or a comparable duty (i.e. at least twice) or (ii) after the Licensee has been unsuccessfully requested by Licensor to rectify the situation caused by the breach of duty. When the right of use is terminated, the Licensee is obliged to erase, or have erased, all the copies of the Software, including any modified copies. On Licensor s request Licensee shall confirm in writing that he has fulfilled the obligations set out above. 11. Compensation for breach of Contract The Licensee shall be liable for all damages incurred by Licensor due to a breach of this Agreement by Licensee or by any person engaged or employed by Licensee in connection with the performance of this Agreement.

15 12. General Provisions depending on Domicile of Licensee Section A: The provisions of this Section A shall apply to Licensee (only) if Licensee is domiciled in Germany: A1. (No) Warranty and Liability Considering the fact that the License to Licensee is free of charge (see Clause 6), Licensor shall only be liable and responsible for a) the infringement of industrial property rights or copyright as well as for defects in title: in case of intent, gross negligence or if Licensor fraudulently conceals a defect (fraudulent concealment); and b) defects as well as for any damages whatsoever (e.g. damages to physical property, losses etc.): in case Licensor fraudulently conceals a defect (fraudulent concealment). A.2 Applicable Law This Agreement and its interpretation shall be governed by substantive German law, to the exclusion of the United Nations Convention on Contracts for the International Sale of Goods (CISG) and excluding the application of conflict of law principles. A.3 Dispute Resolution Exclusive place of jurisdiction shall be the location at which the Licensor has his registered seat. The Licensor is however entitled to bring the case before the court of jurisdiction for the registered seat of the Licensee. Section B: The provisions of this Section B shall apply to Licensee if Licensee is domiciled outside of Germany: B.1. (No) Warranty and Liability In view of the fact that the License is granted free of charge Licensor in view of the Software or any part thereof hereby disclaims any warranty or defect liability whatsoever as well as any warranty and liability in view of defect in title or intellectual property rights. No oral or written information or advice given by Licensor or Affiliates of Licensor shall create any warranty of either of them. AFFILIATE shall mean any one or more business entities, which in relation to a party is (are) directly or indirectly: (i) owned or controlled by the party, (ii) owning or controlling the party, or (iii) owned or controlled by the business

16 entity owning or controlling the party, at the relevant time. For the purposes of this definition, a business entity shall be deemed to own and/or to control another entity if more than 50% (fifty per cent) of the voting stock of the latter business entity, ordinarily entitled to vote in the election of directors (or, if there is no such stock, more than 50% (fifty per cent) of the ownership of or control in the latter business entity) is held by the owning and/or controlling business entity. Notwithstanding anything contained in the Agreement to the contrary, Licensor s liability (including his employees, agents, sub-contractors) irrespective of the legal grounds (e.g. in connection with defects, delay, third party intellectual property rights, indemnity) - shall be as follows: a) Licensor shall not be liable for loss of profit, loss of revenues, loss of use, loss of production, costs of capital or costs connected with interruption of operation, loss of anticipated savings or for any special indirect or consequential damage or loss of any nature whatsoever; b) Licensor s total liability in respect of any and all claims for damages or losses which may arise in connection with its performance or non-performance under the Agreement shall in no event exceed in total 500 Euros. The preceding limitations shall not apply to Licensor's intention or gross negligence, but shall apply to intention or gross negligence of persons employed by the Licensor for the performance of Licensor's obligations. B.2 Applicable Law The Agreement shall be governed by substantive Swiss law to the exclusion of the United Nations Convention on Contracts for the International Sale of Goods (CISG) and excluding the application of conflict of law principles. B.3 Dispute Resolution Exclusive venue shall be Zürich/Switzerland. The Licensor, however, at its option shall be entitled to bring the case before the court of jurisdiction for the registered seat of the Licensee. 13. Miscellaneous a) These conditions shall apply exclusively. Any conditions of the Licensee deviating from, or supplement, the Agreement shall not be binding on Licensor even if Licensor does not object thereto. This also applies if the Licensee declares that he is only willing to enter into the license agreement based on his own terms. b) The terms of this Agreement will also govern any upgrades provided by Licensor that replace and/or supplement the original Software, unless such upgrade is accompanied by a separate license terms in which case the terms of that license will govern.

17 c) In order to comply with national and international foreign trade regulations/laws, the Parties will support each other and provide all necessary documentation and information, such as relating to the registration of items to be exported in export control lists or to the final destination and end use of the items. Neither party is obliged to perform its obligation under the contract in violation of any statutory or internal export control regulations. Licensor shall have the right at any time to withdraw from the contract, without incurring any liability for either party, if the Licensee, despite request, does not provide either any or sufficient enough information about the final destination and the end use of the items; Licensor obtains knowledge of an unintended end use after tendering or knowledge of any previously unknown person involved in the business and cannot perform the contract due to any export control or intra-group regulations; the items or services are intended for military end use, civil nuclear use or for use in connection with weapons of mass destruction or for missiles capable of delivering such weapons; substantive evidence shall be sufficient to prove this intent; or a possibly illegal or unlicensed export or an infringement of embargo rules cannot be fully ruled out. The Licensee must represent and warrant that (i) he/she is not located in a country that is subject to a U.S. Government embargo, or that has been designated by the U.S. Government as a terrorist supporting country; and (ii) he/she is not listed on any U.S. Government list of prohibited or restricted parties. d) Amendments to this Agreement shall require a written agreement between the Parties hereof. e) If individual conditions of this Agreement are or become void or unenforceable, the effectiveness and enforceability of all the remaining clauses shall not be affected. The invalid or unenforceable provision shall be replaced with a valid and enforceable provision which comes as close as possible to the economic purpose of the invalid or unenforceable one, respectively.
