TEMPLATE BANK GUARANTEE WITH PRINCIPAL LIABILITY (the Guarantee ) Poststrasse 2-4 D-60329 Frankfurt am Main Germany (Letterhead of the Bank) At the request of ---[(insert name, full legal name and address of the Agent]--- ("our Customer") and in order to enable our Customer to comply with the s ( IATA ) requirements under the applicable IATA Resolutions, rules and procedures, as may be amended from time to time ( the Rules ), governing participation in the IATA Billing and Settlement Plan Germany (the BSP Germany ), ---[insert name and full address of bank]--- ( we, us, our or the Bank ) hereby irrevocably provides a guarantee ( Bürgschaft ) for the due and punctual payment of any and all amounts due and payable, at any time, by our Customer to IATA, or to any airline participating in the BSP Germany (a Member Airline ), which has appointed our Customer as its agent in BSP Germany. Further, we hereby waive and renounce any and all legal defences, exceptions or rights with respect to this Guarantee to require IATA or any Member Airline to enforce its right to any payment guaranteed hereunder. Therefore, this Guarantee shall be a guarantee with principal liability ("selbstschuldnerische Bürgschaft"), directly enforceable against us, in accordance with the following conditions: 1. If and when our Customer shall fail to pay any sum(s) whatsoever when due to IATA or any Member Airline, whether owing in connection with Traffic Documents, Transportation Orders or otherwise payable under the Rules (such sum(s) hereinafter referred to as the Debt ), we agree to pay that sum to IATA (up to the Limit Sum as defined below) on demand being made as hereinafter provided. For the avoidance of doubt, the Debt shall include any payment of interest owing in connection with any outstanding payment referenced in this clause 1, provided that such sum shall not include payments of interest on interest, but shall include any lump sum damages ( pauschalierter Schadensersatz ) owed by our Customer for failure to pay accrued interest. 2. Our total liability under this Guarantee for any outstanding Debt is limited to and shall in no circumstances exceed the sum of ---[Insert currency and amount in figures]--- (the Limit Sum ). 3. This Guarantee shall not be satisfied, discharged or affected by any intermediate payment or settlement of account. 4. Any failure, neglect or forbearance by IATA or any Member Airline to enforce its right to payment of any Debt hereunder (whether or not such failure, neglect or forbearance is intentional and whether or not such failure, neglect or forbearance is required by, or provided in accordance with, any agreement by and between IATA, or any Member Airline, and our Customer), shall not in any way prejudice or otherwise affect this Guarantee. 5. Payment against this Guarantee shall be conditional on a written demand by IATA, stating that our Customer has failed to pay the Debt and accompanied by a letter signed by an authorized IATA representative stating that our Customer has been declared in default under the Rules. The Debt so stated by IATA shall be deemed conclusive and final and we hereby confirm that we will not require proof of the same. 6. This Guarantee shall remain in full force and effect, notwithstanding any change in the constitution or control of our Customer. 1
7. This Guarantee shall be in addition to and shall not be in any way prejudiced or affected by any other security or guarantee, provided at any time, by our Customer to IATA or any Member. Notwithstanding any other provision of this Guarantee, if our Customer provides a separate guarantee (or any other type of security) in favour of any Member or other airline participating in any other IATA Billing and Settlement Plan in terms of which payment is guaranteed to such Member or airline for all amounts that may become due and payable by our Customer to such Member or airline, such Member or airline which is the beneficiary of such separate guarantee shall not be entitled to any payment under this Guarantee until all outstanding indebtedness of our Customer to such Member or airline under such other guarantee shall have been discharged up to the limits of the applicable guarantee. 8. No event of bankruptcy, liquidation, restructuring or insolvency of our Customer shall prejudice or otherwise affect or determine our liability under this Guarantee. 9. The obligations under this Guarantee shall be valid and effective regardless of any law, regulation or decree now or after this date in effect which affects or might in any way affect the Rules, and we hereby confirm that neither IATA nor any Member is bound to take any steps or to exhaust any remedies against our Customer before calling on this Guarantee up to Limit Sum payable under this Guarantee, to the extent permitted by applicable law. 10. This Guarantee shall be governed by and construed in accordance with the Laws of Germany. 11. This Guarantee is non-assignable. The English language of this Guarantee shall be controlling, provided that where a German term has been inserted in parenthesis and/or italics such German term alone (and not the English term to which it relates) shall be controlling and authoritative for the purpose of interpretation and application of any applicable law. 12. The parties irrevocably submit to the exclusive jurisdiction of the courts of Frankfurt am Main, Germany....... Die Abtretung dient für alle gegenwärtigen und künftigen Verbindlichkeiten des(r) (Name und Anschrift des IATA-Reisebüros, Firmensitz) gegenüber der (IATA) und Luftverkehrsgesellschaften, die am Billing Settlement Plan teilnehmen (BSP), für die (Name des IATA Reisebüros) aufgrund des Antrags auf Ernennung zum IATA-Agenten oder als ernannter IATA-Agent Verkäufe von Flugscheinen oder Gutscheinen für Flugscheine etc. (MCO's) durchgeführt hat oder durchführen wird. Die Rechte und Ansprüche auf Kündigung der(s) Guthaben(s) gehen mit dieser Abtretung an die (IATA) über. Werden die Nummern der oben bezeichneten Konten geändert oder ergänzt, so bleibt die Abtretung hinsichtlich dieser Konten wirksam. Falls die (das) der aufgrund dieser Abtretung zustehende(n) Guthaben auf andere für den Sicherungsgeber bei der Bank geführten Konten umgebucht werden (wird), so umfasst diese Abtretung auch diese Konten. Der Sicherungsgeber versichert, dass die abgetretenen Forderungen frei von Rechten Dritter bestehen, dass er berechtigt ist, uneingeschränkt über sie zu verfügen und ihnen keine aufrechenbaren Ansprüche gegenüberstehen.
