UBS AG has entered into an agreement for Northern Trust Corporation or any of its legal entities ("NT") to acquire UBS Asset Management's fund administration servicing units in Luxembourg and Switzerland. Fund administration services are currently provided by UBS Fund Services (Luxembourg) S.A. ("UBS FSL") in Luxembourg. The Management Company has been properly informed about this transaction, the consequence of which is that the Management Company will have to mandate another fund administrator in replacement of UBS FSL for the Funds it manages. Based on the various workshops organized with NT and the due diligence performed by UBS Group, in which the Management Company was deeply involved, the Management Company has come to the conclusion that NT would be a valuable partner to act as fund administrator for the Funds managed by the Management Company. Upon completion of the transaction, Northern Trust Global Service Limited ("NTGSL") will replace UBS FSL in Luxembourg and become the fund administration service provider for the Funds. Costs related to the change of service provider will not be borne by the Fund. The changes are expected to enter into effect on or after 1 September 2017 (the Effective Date ). An updated prospectus reflecting the amendments detailed above will be available on or around the Effective Date at the registered office of the Funds. Copies of the agreement entered into with NTGSL will also be available for inspection by share-/unitholders of the Funds on or around the Effective Date at the registered office of the Funds. UBS AG hat eine Vereinbarung über den Verkauf der Fondsverwaltungsdienstleistungseinheiten von UBS Asset Management in Luxemburg und in der Schweiz an Northern Trust Corporation bzw. jeden ihrer Rechtsträger ( NT ) geschlossen. Die Fondsverwaltungsdienstleistungen werden derzeit von UBS Fund Services (Luxembourg) S.A. ( UBS FSL ) in Luxemburg bereitgestellt. Die Verwaltungsgesellschaft wurde ordnungsgemäß über diese Transaktion informiert, aufgrund derer die Verwaltungsgesellschaft einen neuen Fondsverwalter anstelle von UBS FSL für die von ihr verwalteten Fonds bestellen muss. Basierend auf den verschiedenen Workshops, die zusammen mit NT organisiert wurden, und der von UBS Group vorgenommenen Due-Diligence-Prüfung, in die die Verwaltungsgesellschaft eng eingebunden war, kam die Verwaltungsgesellschaft zu dem Schluss, dass NT für die Fondsverwaltung der von der Verwaltungsgesellschaft verwalteten Fonds ein hervorragender Partner wäre. Nach Abschluss der Transaktion wird Northern Trust Global Service Limited ( NTGSL ) UBS FSL in Luxemburg ersetzen und die Fondsverwaltungsdienstleistungen für die Fonds bereitstellen. Die mit dem Wechsel des Dienstleistungsanbieters in Zusammenhang stehenden Kosten werden nicht vom Fonds getragen. Die Änderungen treten voraussichtlich am bzw. nach dem 1. September 2017 in Kraft ( das Datum des Inkrafttretens ). Ein aktualisierter Prospekt, der die oben aufgeführten Änderungen enthält, wird am oder um das Datum des Inkrafttretens am eingetragenen Sitz der Fonds erhältlich sein. UBS AG a conclu un accord en vue de l'acquisition par Northern Trust Corporation ou l'une quelconque de ses entités juridiques («NT») des unités de services d'administration de fonds d'ubs Asset Management au Luxembourg et en Suisse. Les services d'administration de fonds sont actuellement assurés au Luxembourg par UBS Fund Services (Luxembourg) S.A. («UBS FSL»). La Société de gestion a été dûment informée de cette transaction, en conséquence de laquelle elle devra mandater un autre administrateur de fonds en remplacement de UBS FSL pour les Fonds qu'elle gère. Sur la base des différents ateliers organisés avec NT et de la procédure de due diligence suivie par UBS Group, dans lesquels la Société de gestion s'est activement investie, cette dernière a conclu que NT représenterait un administrateur de fonds appréciable pour les Fonds qu'elle gère. A l'issue de la transaction, Northern Trust Global Service Limited («NTGSL») remplacera UBS FSL au Luxembourg et deviendra l'administrateur des Fonds. 6 Les frais d'exploitation des Fonds ne devraient pas augmenter. Les coûts liés au changement de prestataire de services ne seront pas supportés par le Fonds. Les modifications devraient entrer en vigueur le 1 er septembre 2017 ou après cette date (la «Date d'effet»). Un prospectus mis à jour en vue de prendre en compte les changements exposés ci-dessus sera disponible à la Date d'effet ou aux alentours de cette date au siège social des Fonds. UBS AG ha stipulato un contratto in virtù del quale Northern Trust Corporation ovvero una delle sue entità giuridiche ("NT") acquisirà le unità di servizi di amministrazione di fondi di UBS Asset Management in Lussemburgo e in Svizzera. I servizi di amministrazione di fondi sono attualmente offerti da UBS Fund Services (Luxembourg) S.A. ("UBS FSL") in Lussemburgo. La Società di gestione è stata debitamente informata di questa operazione, in conseguenza della quale la Società di gestione dovrà delegare un altro amministratore di fondi in sostituzione di UBS FSL per i Fondi che gestisce. Sulla base di diversi workshop organizzati con NT e della due diligence effettuata da UBS Group, ai quali la Società di gestione ha partecipato molto attivamente, la Società di gestione è giunta alla conclusione che NT rappresenta un ottimo partner per fungere da amministratore di fondi dei Fondi gestiti dalla Società di gestione. Una volta completata l'operazione, Northern Trust Global Service Limited ("NTGSL") sostituirà UBS FSL in Lussemburgo e diventerà il fornitore di servizi di amministrazione di fondi dei Fondi. UBS AG ha formalizado un acuerdo en virtud del cual Northern Trust Corporation o cualquiera de sus entidades jurídicas («NT») adquirirán las unidades de servicios de administración de fondos de UBS Asset Management en Luxemburgo y Suiza. En la actualidad, UBS Fund Services (Luxembourg) S.A. («UBS FSL») presta los servicios de administración de fondos en Luxemburgo. La Sociedad gestora ha sido debidamente informada de esta operación, cuya consecuencia será que la Sociedad gestora tendrá que designar a otro administrador de fondos en sustitución de UBS FSL para los Fondos que gestiona. Sobre la base de varios talleres organizados con NT y el proceso de diligencia debida efectuado por UBS Group, en los que la Sociedad gestora participó activamente, la Sociedad gestora ha llegado a la conclusión de que NT representará un valioso socio para actuar en calidad de administrador de fondos para los Fondos gestionados por la Sociedad gestora. Una vez concluida la operación, Northern Trust Global Service Limited («NTGSL») reemplazará a UBS FSL en Luxemburgo y se convertirá en el proveedor de servicios de administración de fondos para los Fondos.
