1 Corporate Investor Relations Bayer übernimmt neues Fungizid von Novartis Produkt-Linie FLINT hat Blockbuster-Potenzial / 300 Millionen Euro Jahresumsatz erwartet Leverkusen Bayer will sein Pflanzenschutzgeschäft ein Kerngebiet des Life-Science-Bereichs durch den Erwerb der FLINT -Strobilurin-Produktlinie von Novartis nachhaltig stärken. Das vielversprechende Fungizid einer noch jungen Wirkstoffklasse erweitert das Unternehmens-Portfolio um ein zusätzliches Blockbuster -Produkt. Das Umsatz-Potenzial der FLINT -Linie wird auf rund 300 Millionen Euro pro Jahr veranschlagt. Der Kaufpreis beträgt 1,333 Milliarden CHF (rund 880 Millionen Euro). "Diese Akquisition verdeutlicht unsere Strategie, in Kernbereiche und deren Wachstumsmärkte zu investieren. Dadurch werden wir die Wettbewerbskraft unseres Bereichs Pflanzenschutz und seine schon heute hohe Wertschöpfung weiter steigern", kommentierte Dr. Manfred Schneider, Vorstands-Vorsitzender der Bayer AG. Die EU-Kommission hat den Erwerb durch Bayer genehmigt, die Zustimmung der US-Kartell-Behörde sowie weiterer nationaler Wettbewerbs-Behörden steht noch aus. Die Übernahme von FLINT umfasst weltweit alle Patente, Zulassungen und Warenzeichen sowie das Produktions- und Formulierungs-Knowhow. Gleichzeitig wird Bayer die Produktionsanlagen in Muttenz, Schweiz, mit ihren 90 Beschäftigten übernehmen. Zusätzlich zur FLINT -Linie erwirbt Bayer die exklusiven Vermarktungsrechte für einige Produkte auf der Wirkstoffbasis Cyproconazole in der EU. Dieses Azolfungizid mit dem Handelsnamen ALTO ist in allen bedeutenden EU-Märkten eingeführt. Laut Dr. Jochen Wulff, Leiter des Geschäftsbereichs Pflanzenschutz der Bayer AG, ist die Akquisition ein bedeutender strategischer Schritt und wird Bayers weltweite Marktposition weiter stärken. "FLINT passt hervorragend in unser Produktportfolio. Wir sind nun in der Lage, unseren Kunden komplette und hochwirksame Lösungspakete anzubieten. Zudem lässt sich das Potenzial der FLINT -Linie durch neue Produktkombinationen steigern, insbesondere auch mit neuen Präparaten aus unserer eigenen Entwicklungs- Pipeline. Damit wird Bayer wieder Technologieführer im Fungizid-Markt."

2 2 Die FLINT -Produktlinie zeichnet sich durch überragende Eigenschaften im Vergleich zu anderen Fungiziden aus und verfügt über eine große Anwendungsbandbreite. FLINT ist bereits in 35 Ländern zugelassen, einschließlich der bedeutenden Märkte USA und Großbritannien. Die weltweite Einführung soll bis 2003 abgeschlossen sein. Aufgrund des neuen Wirkprinzips und einer hervorragenden biologischen Wirkung hat sich FLINT in kurzer Zeit am Markt etabliert und einen hohen Bekanntheitsgrad erworben. Bayer erwartet, dass das gesamte Blockbuster-Potenzial der FLINT -Produkte innerhalb der nächsten drei Jahre erschlossen werden kann. Besonders attraktiv ist dabei die ideale Ergänzung mit der umsatzstarken Folicur -Fungizidlinie von Bayer. Mit dem Verkauf seiner FLINT -Fungizidlinie einschließlich der Verkaufsrechte an Cyproconazole erfüllt Novartis kartellrechtliche Auflagen für den geplanten Zusammenschluß der Agrargeschäfte von Novartis und AstraZeneca zu Syngenta. Bayer ist ein internationales, forschungsorientiertes Unternehmen mit Kernaktivitäten in den Bereichen Gesundheit, Landwirtschaft, Polymere und Chemiespezialitäten. Mit rund Mitarbeitern weltweit erzielte der Konzern im Geschäftsjahr 1999 bei einem Umsatz von 27,3 Milliarden einen Konzerngewinn von zwei Milliarden Euro. Für das laufende Geschäftsjahr 2000 sind 2,4 Milliarden Euro für Investitionen in Sachanlagen sowie 2,2 Milliarden Euro für Forschung und Entwicklung geplant. 3 Bayer to acquire FLINT strobilurin fungicide from Novartis The acquisition of the FLINT product line will strengthen Bayer s position in the fungicide market and take us from number 4 to the number 2 position in that field. FLINT (Trifloxystrobin) is a second generation broad spectrum strobilurine type fungicide with improved protective and curative properties against main plant diseases. A sales potential of up to 300 million is to be realised within the next 3 years. Sales of the FLINT product line in the second year after launch (2000) will be at about 15% of peak potential. Purchase price: CHF 1,333 mill. (US$ 760 mill./ 880 mill.) Closing of the deal is expected as soon as possible following the closing of the Syngenta merger. The deal includes the right to sell Cyproconazole (currently sold as Alto ), a broad spectrum triazole fungicide, in the EU under Bayer own trademark.

5 Strobilurins: A new class of fungicides is gaining market share Originally isolated from cultures of the mushroom Strobilurus tenacellus chemical modification of the strobilurin core molecule resulted in new broad spectrum fungicides. Main strobilurin products in the market are: Stroby / BASF (kresoxim-methyl), launched 1996 Amistar / Zeneca (azoxystrobin), launched 1997 Flint / Novartis (trifloxystrobin), launched 1999 The strobilurin class of fungicides is projected to grow to 1 bn in 2000 and achieve over 1.25 bn annual sales revenues until 2005 (total fungicide market will grow 1-2% p.a.). Especially in cereals and fruit & vegetables, the main market segments for Trifloxystrobin, Bayer will achieve a strong and competitive position. With its broad and balanced spectrum of disease control and the high efficacy even at low application rates, Trifloxystrobin is a powerful force in the 5.4 bn fungicide market. Co-formulations and tank mixtures of Trifloxystrobin with other products from our existing fungicide portfolio will ensure efficient resistance management.
