1 Pooling and Carry Agreement 1. Contracting Parties 1.1. This contract (hereafter "the contract") is concluded between Companisto Beteiligungs GmbH & Co. KG, Köpenicker Str. 154, Berlin, registered in the commercial register [Handelsregister] of the local court [Amtsgericht] Charlottenburg under HRA (hereafter "Companisto") and you (hereafter "Companist"). The contracting parties are hereafter also referred to as "the parties" (together) or as "one party" (individually). 2. Preliminary Remarks 2.1. The Companist has granted a profit-participating loan to Alarmtab UG (limited liability), Industriepark 1, Straße A-9, Gommern, registered in the commerical register [Handelsregister] of the local court [Amtsgericht] Stendal under HRB (hereafter "startup") Apart from the Companist, a multitude of other investors have also granted a profit-participating loan to the startup on the website Companisto.com (hereafter "website") The Companist and the other lenders (hereafter "Companists" when mentioned together) are aware that their investment in the startup is an integral part of the venture capital financing of the startup. The Companists are also aware that the startup may have to incorporate additional capital (hereafter "follow-up financing") in order to grow further and to increase its company value in the future. Finally, the Companists are aware that the yield opportunities are the best if the startup is partially or entirely sold to a large investor, or enters the stock exchange (hereafter "exit") The parties agree that the opportunity for follow-up financing or for an exit increases significantly if the Companists act uniformly with regard to the loans they grant so that venture capital companies, company purchasers, or the parties preparing an IPO do not have to negotiate with a large number of investors individually Furthermore, the parties agree that the participatory loan agreements, any appendices to the participatory loan agreements and/or this pooling and carry agreement may need to be adjusted in order to increase the chances of an exit, follow-up financing or an IPO, or to meet regulatory requirements, or to increase the chances of the startups positive economic development in any other way. In these cases, too, the Companists want to act in a uniform manner with regard to possible contract amendments The Companists thus intend to make decisions in regard to their loans together by means of a voting procedure. It is planned that the voting procedure of the Companists is carried out by Companisto. Furthermore, it is planned that Companisto serves as a single contact for the Companists in all matters related to the startup Companisto shall receive a commission (carry) on the profits of the Companists from the profitparticipating loans This pooling agreement shall be concluded by clicking the investment button on the website during the conclusion of a profit-participating loan contract. The conclusion of a written contract in addition to the above procedure is not necessary This said, the parties agree on the following: 3. Provision of an Electronic Voting Procedure 3.1. Companisto shall provide the technical infrastructure necessary for the voting procedures described in this pooling agreement. Companisto may use a third party for this purpose. 4. Pooling in the Case of Redemption Offers 4.1. The parties agree that the bundled sale to or redemption of all profit-participating loans by an investor (apart from an exit according to point 12 of the profit-participating loan contract) offers the best opportunity for profit. It is thus desirable to receive offers from investors, the startup, or other third parties to purchase or redeem all profit-participating loans (hereafter "redemption offer" when mentioned together) so that the Companist has the opportunity to obtain a price for his or her profitparticipating loan that is above the loan amount (including fixed interest).

2 4.2. If a redemption offer is available, a vote of the Companists shall be carried out on the website. In this vote, a Companist shall have one vote for each 100 euros of the loan amount granted to the startup. The vote may be cast only uniformly and only on the website. The redemption offer shall be considered accepted if three quarts of the votes cast are in favor of the sale or the termination of the profit-participating loans in return for the payment of a redemption sum. The result of the vote is binding for all Companists. The vote shall last for a minimum of seven days. It shall be announced by Companisto at least three days before the start of the vote via and on the website. The announcement shall be sent to the address provided by the individual Companist in the user profile on the website. Therefore, the Companist shall be obliged to keep the stored address upto-date at any time If the redemption offer is accepted according to point 4.2, all profit-participating loan contracts shall be terminated or transferred prematurely before the fixed term ends as soon as the Companists have received the redemption sum or as soon as this sum has been placed in escrow (hereafter "community sale"). If the redemption fee is deposited, this must be done at a payment service provider permitted to operate financial transfer transactions. A deposited redemption fee must be paid out within 14 days of deposit. All payments to the Companists will be made exclusively by payment service providers authorized to carry out financial transfer transactions or by the startup itself, but not by Companisto. As soon as the redemption fee is paid or deposited, Companisto is authorized to arrange the termination or sale on behalf of the Companists of the profit-participating loans decided by the Companists with the startup or the purchaser of the profit-participating loans In order to protect the Companists from dubious offers, Companisto shall only be obliged to forward a redemption offer if the investor offers at least twice the par value including outstanding interest for each 100 euros of the loan amount. Companisto may also forward lower offers, but shall not be obliged to do so Points 4.1 to 4.4 shall also apply respectively to all other cases where there is the possibility to sell or terminate all profit-participating loans in return for the payment of a redemption sum; these cases shall also constitute redemption offers according to this contract. 5. Pooling in the Case of Changes to the Contract 5.1. The parties are aware that the participatory loan agreements, potential appendices to the participatory loan agreements and/or this pooling and carry agreement may have to be adapted to the new situation in order to increase the chance of an exit, of follow-up financing, or of an IPO, or to meet regulatory requirements, or to increase the chances of the startups positive economic development in any other way. Therefore, in the case of planned amendments to the contracts or of a planned waiver of individual provisions, the Companists agree to vote whether such amendments to the profitparticipating loan contracts are to be made or whether individual provisions are to be waived. In regard to the quorum and the procedure, point 4.2 shall apply respectively. It shall not be permissible to agree on an obligation to make further contributions If the changes to the contract are accepted according to points 5.1 and 4.2, the changes or waivers agreed on shall be binding for all Companists. In this case, Companisto shall be authorized to agree on the changes decided by the Companists with the startup on behalf of the Companists or to submit the respective waivers. 6. Share in profits 6.1. Companists shall not pay any fees for the conclusion of the profit-participating loan contracts. Therefore, the entire investment of the Companist shall be used for the profit-participating loan; there shall be no deductions. Companisto shall only benefit if Companists receive income from their profitparticipating loan. We win if you win. Companists may thus rest assured that Companisto will always do its best. For the same reason, Companisto shall receive a ten percent commission on the amounts paid out to the Companist (hereafter "commission") due to bonus interest from the profit-participating loans (points 11 and 12) and due to all other earnings that exceed the repayment of the Companist's loan amount. Profit participation also refers to the offer to obtain shares in the context of an IPO or another exchange offer (e. g. in the case of the conversion of participatory loans into other company shares). In these cases, profit-sharing is paid in shares and not in cash. The commission shall not apply to the fixed interest rate that is independent of the earnings (point 10 of the profit-participating loan contract). To the amount of the commission, the Companist shall assign his or her claims against the startup to Companisto. Companisto shall accept the assignment. The startup shall pay the

3 commission directly to Companisto each time it pays out the bonus interest or the shares are directly allocated to Companisto for subscription or acquisition. The commission shall be due only if the Companist actually receives bonus interest or shares for subscription or acquisition in addition to the fixed interest independent of the earnings. 7. Duration of the Agreement, Transfer of Rights 7.1. The Companist shall automatically withdraw from this agreement if his or her profit-participating loan contract ends This agreement shall be valid regardless of whether all Companists have concluded it. Moreover, this agreement shall remain valid between the remaining parties if an individual Companist withdraws from it The parties of this agreement commit themselves to placing the duties resulting from this agreement on their potential singular legal successors to the profit-participating loan contracts in such a way that these singular legal successors are bound by the obligations resulting from this agreement as if they had accepted these obligations themselves. This shall also apply to the obligation accepted in this point 7.3 to place the duties resulting from this agreement on potential singular legal successors Insofar as one party is entitled to rights according to this agreement, these rights shall be transferred to a legal successor when this successor enters into the agreement. 8. Payout Data and Taxes 8.1. As all payments from the startup to the Companist according to the profit-participating loan contract are made to the bank account stored on the website by the Companist and require the previous submission of the tax identification number of the Companist (only in the case of Companists from Germany) (point 14 of the profit-participating loan contract), the Companist agrees to keep the bank details stored on the website up-to-date at any time and to store his/her tax identification number of the website If the Companist has stored data in his/her profile on the Companisto website or if Companisto receives data from financial authorities, Companisto is authorized to use these data and to make them available to those crowdfunding projects in which the Companist has invested as well as to these projects' service providers in order for payouts to the Companists resulting from the Companist's participations (e.g., interest payments or loan repayments) to be made and in order for the necessary declarations, particularly those related to capital gains tax, the German solidarity surcharge, and (if applicable) church tax, to be made to the responsible authorities by Companisto or the crowdfunding projects or these projects' service providers. This includes, but is not limited to, the Companist's first and last name, sex, address, investment amount, bank information, information on tax exemptions, and the Companist's tax identification number The Companist hereby agrees that Companisto, the crowdfunding projects, and these projects' service providers may request the Companist's church tax information from the German Federal Central Tax Office and any other responsible authority. The Companist may restrict the submission of his data by the Federal Central Tax Office. In order to do so, the Companist must submit a declaration restricting the submission of his/her data to the Federal Central Tax Office. Once you have restricted the retrieval of your data, this restriction will remain effective until you notify the Federal Central Tax Office that you no longer wish to restrict the retrieval The Companist notes, with approval, that if he/she or his/her heirs and/or other entitled beneficiaries do not provide the information necessary for payouts (particularly the bank details and, for Companists from Germany, the tax identification number), he/she shall irrevocably waive his/her right to payouts due to him/her (loan repayments, fixed and bonus interest payments, or any other payments) and his/her right to these amounts once a period of two years from the due date of the repayment claim has passed; ownership of these amounts shall then be transferred to Companisto in order to cover, among other things, the costs of administration and billing for the membership account that has been inactive for two years. The startup, Companisto GmbH, or Companisto shall remind the Companist of this provision at least one month before the end of the two-year period by sending an to the address stored by the Companist on the website. Therefore, the Companist is obliged to keep the provided address up to date at all times. 9. Final Provisions

4 9.1. This contract is subject to the laws of the Federal Republic of Germany. Venue for the settlement of disputes arising from and in relation to this contract shall be Berlin insofar as is permitted by law Alterations or amendments to this contract must be made in writing in order to be effective. This shall also apply if the above obligation is to be waived. Subsidiary agreements between the contracting parties do not exist Should any individual provision of this contract be or become entirely or partly void or illegal or should this contract lack any provision, the validity of the remaining provisions shall in no way be affected. Instead of the void provision, a valid provision shall be agreed upon that corresponds to the sense and purpose of the void provision, particularly in regard to its economic intention. In case this contract lacks any provision, the parties shall agree upon the provision that they would have agreed upon if this aspect had been considered in the first place This contract is issued in German and English; in the case of discrepancies between the two versions, the German version shall govern.

5 Pooling- und Carryvereinbarung 1. Parteien 1.1. Dieser Vertrag (nachfolgend der Vertrag genannt) wird zwischen der Companisto Beteiligungs GmbH & Co. KG, Köpenicker Str. 154, Berlin, eingetragen im Handelsregister des Amtsgerichts Charlottenburg unter HRA (nachfolgend Companisto genannt) und Ihnen (nachfolgend Companist genannt) geschlossen. Die Parteien werden nachfolgend gemeinsam auch als die Parteien und einzeln als eine Partei bezeichnet. 2. Vorbemerkungen 2.1. Der Companist hat der Alarmtab UG (haftungsbeschränkt), Industriepark 1, Straße A-9, Gommern, eingetragen im Handelsregister des Amtsgerichts Stendal unter HRB (nachfolgend Startup genannt) ein partiarisches Darlehen gewährt Neben dem Companisten haben eine Vielzahl weiterer Investoren auf der Webseite Companisto.com (nachfolgend Webseite ) dem Startup ebenfalls partiarische Darlehen gewährt Dem Companisten und den weiteren Darlehensgebern (nachfolgend zusammen Companisten genannt) ist bewusst, dass ihre Investition in das Startup ein elementarer Bestandteil der Venture- Capital-Finanzierung des Startups ist. Den Companisten ist ferner bewusst, dass das Startup für sein weiteres Wachstum und für die Steigerung seines Unternehmenswertes in der Zukunft möglicherweise weiteres Kapital (nachfolgend Anschlussfinanzierungen genannt) aufnehmen muss. Schließlich ist den Companisten bewusst, dass die beste Chance auf eine Rendite besteht, wenn das Startup ganz oder teilweise an einen Großinvestor verkauft wird oder einen Börsengang realisiert (nachfolgend Exit genannt) Die Parteien sind sich darüber einig, dass die Chancen für eine Anschlussfinanzierung oder für einen Exit erheblich gesteigert werden, wenn die Companisten in Bezug auf die von ihnen gewährten Darlehen einheitlich agieren, sodass Venture Capital-Gesellschaften oder Unternehmenskäufer oder die einen IPO vorbereitenden Parteien nicht mit einer Vielzahl von Investoren einzeln verhandeln müssen Die Parteien sind sich ferner darüber einig, dass die partiarischen Darlehensverträge, etwaige Anhänge zu den partiarischen Darlehensverträgen und/oder diese Pooling- und Carryvereinbarung ggf. angepasst werden müssen, um die Chancen auf einen Exit, auf eine Anschlussfinanzierung oder auf einen IPO zu erhöhen oder um aufsichtsrechtlichen Erfordernissen gerecht zu werden oder um in sonstiger Weise die Chancen auf eine positive wirtschaftliche Entwicklung des Startups zu erhöhen. Auch in diesen Fällen wollen die Companisten einheitlich in Bezug auf mögliche Vertragsänderungen agieren Die Companisten beabsichtigen daher Entscheidungen in Bezug auf ihre Darlehen in einem Abstimmungsverfahren gemeinsam zu fassen. Es ist geplant, dass das Abstimmungsverfahren der Companisten von Companisto durchgeführt wird. Ferner ist geplant, dass Companisto dem Startup als zentraler Ansprechpartner für die Companisten dient Companisto soll eine Gewinnbeteiligung (Carry) aus den Gewinnen der Companisten aus den partiarischen Darlehen erhalten Diese Poolingvereinbarung kommt durch Anklicken des Investitionsbuttons auf der Webseite bei Abschluss des partiarischen Darlehensvertrages zustande. Eines gesonderten schriftlichen Vertragsschlusses bedarf es darüber hinaus nicht Dies vorausgeschickt vereinbaren die Parteien das Folgende: 3. Zurverfügungstellung eines elektronischen Abstimmungsverfahrens 3.1. Companisto stellt die für die in dieser Poolingvereinbarung genannten Abstimmungsverfahren benötigte technische Infrastruktur zur Verfügung. Companisto kann sich hierfür eines Dritten bedienen. 4. Pooling bei Ablöseangeboten

6 4.1. Die Parteien sind sich darüber einig, dass die gebündelte Veräußerung oder Ablösung sämtlicher partiarischer Darlehen an einen Investor (neben einem Exit gemäß Ziffer 12 des partiarischen Darlehensvertrages) die besten Chancen auf einen Gewinn bietet. Es ist daher erstrebenswert, Angebote von Investoren, dem Startup oder sonstigen Dritten für den Erwerb oder die Ablösung sämtlicher partiarischer Darlehen zu erhalten (nachfolgend gemeinsam Ablöseangebot ), sodass der Companist die Möglichkeit hat, für sein partiarisches Darlehen einen über dem Darlehensbetrag (einschließlich fester Verzinsung) liegenden Preis zu erzielen Liegt ein Ablöseangebot vor, so wird auf der Webseite eine Abstimmung der Companisten durchgeführt. Bei dieser Abstimmung gewähren jede 100 Euro gewährter Darlehensbetrag an das Startup eine Stimme. Die Stimmabgabe ist nur einheitlich und nur auf der Webseite möglich. Das Ablöseangebot ist angenommen, wenn drei Viertel der abgegebenen Stimmen für die Veräußerung oder die Beendigung der partiarischen Darlehen gegen Zahlung einer Ablösesumme stimmen. Das Abstimmungsergebnis ist für alle Companisten verbindlich. Die Abstimmung dauert mindestens sieben Tage. Sie ist von Companisto mindestens drei Tage vor Beginn der Abstimmung per und auf der Webseite anzukündigen. Die Ankündigung per erfolgt an die von dem jeweiligen Companisten auf der Webseite in seinem Benutzerprofil hinterlegte -Adresse. Der Companist ist daher verpflichtet die hinterlegte -Adresse stets aktuell zu halten Wird das Ablöseangebot gemäß Ziffer 4.2 angenommen, so werden sämtliche partiarische Darlehensverträge vorzeitig vor Ablauf der Festlaufzeit beendet oder übertragen, sobald die Ablösesumme bei den Companisten eingegangen ist oder für die Companisten treuhänderisch hinterlegt wurde (nachfolgend Community-Verkauf ). Wird die Ablösesumme hinterlegt, so hat dies bei einem Zahlungsdienstleister mit der Erlaubnis zum Betreiben von Finanztransfergeschäften zu erfolgen. Die Auszahlung einer hinterlegten Ablösesumme hat innerhalb von 14 Tagen ab Hinterlegung zu erfolgen. Sämtliche Zahlungen an die Companisten werden ausschließlich von Zahlungsdienstleistern mit der Erlaubnis zum Betreiben von Finanztransfergeschäften oder von dem Startup selbst durchgeführt, nicht jedoch von Companisto. Sobald die Auszahlung oder Hinterlegung der Ablösesumme stattgefunden hat, ist Companisto ermächtigt, die von den Companisten beschlossene Beendigung oder Veräußerung der partiarischen Darlehen in ihrem Namen mit dem Startup oder dem Erwerber der partiarischen Darlehen zu vereinbaren Zum Schutz der Companisten vor unseriösen Angeboten ist Companisto zur Weiterleitung eines Ablöseangebotes nur verpflichtet, wenn der Investor je 100 Euro Darlehensbetrag mindestens das Doppelte des Nominalwertes zuzüglich offener Zinsen bietet. Eine Weiterleitung von niedrigeren Angeboten ist zulässig, jedoch besteht für Companisto keine Verpflichtung Die Ziffern 4.1 bis 4.4 gelten auch in allen übrigen Fällen entsprechend, bei denen die Möglichkeit besteht sämtliche partiarische Darlehen gegen Zahlung einer Ablösesumme zu veräußern oder zu beenden; diese sind ebenfalls Ablöseangebote im Sinne dieses Vertrages. 5. Pooling bei Vertragsänderungen 5.1. Den Parteien ist bewusst, dass die partiarischen Darlehensverträge, etwaige Anhänge zu den partiarischen Darlehensverträgen und/oder diese Pooling- und Carryvereinbarung ggf. angepasst werden müssen, um die Chancen auf einen Exit, auf eine Anschlussfinanzierung oder auf einen IPO zu erhöhen oder um aufsichtsrechtlichen Erfordernissen gerecht zu werden oder um in sonstiger Weise die Chancen auf eine positive wirtschaftliche Entwicklung des Startups zu erhöhen. Die Companisten erklären sich deshalb dazu bereit, im Falle von geplanten Vertragsänderungen oder im Falle eines geplanten Verzichts auf die Anwendung einzelner Vorschriften darüber abzustimmen, ob eine entsprechende Änderung der partiarischen Darlehensverträge oder ein entsprechender Verzicht vorgenommen wird. Für das Quorum und das Verfahren gilt Ziffer 4.2 entsprechend. Die Vereinbarung einer Nachschusspflicht ist nicht zulässig Werden die Vertragsänderungen gemäß der Ziffern 5.1 und 4.2 angenommen, so sind die beschlossenen Änderungen oder Verzichtserklärungen für alle Companisten verbindlich. Companisto ist in diesem Fall ermächtigt, die von den Companisten beschlossenen Änderungen in ihrem Namen mit dem Startup zu vereinbaren oder die entsprechenden Verzichtserklärungen abzugeben. 6. Gewinnbeteiligung 6.1. Companisten zahlen keine Gebühr für den Abschluss der partiarischen Darlehensverträge. Die gesamte Investition des Companisten fließt damit ohne Abzüge in das partiarische Darlehen. Companisto profitiert nur dann, wenn der Companist mit seinem partiarischen Darlehen Einnahmen

7 erzielt: We win if you win. Companisten können sich also sicher sein, dass Companisto immer sein Bestes geben wird. Companisto erhält deshalb aus sämtlichen Bonuszinserträgen aus den partiarischen Darlehen (Ziffern 11 und 12) und aus allen sonstigen Erträgen, die über die Rückzahlung des Darlehensbetrages des Companisten hinausgehen, eine Provision in Höhe von zehn Prozent der an den Companisten ausgeschütteten Beträge (nachfolgend Gewinnbeteiligung ). Die Gewinnbeteiligung bezieht sich auch auf das Angebot zur Zeichnung von Aktien im Rahmen eines IPOs oder eines anderen Umtauschangebots (z.b. bei Umwandlung der partiarischen Darlehen in sonstige Unternehmensanteile). In diesen Fällen wird die Gewinnbeteiligung in Aktien und nicht in bar erhoben. Die Gewinnbeteiligung bezieht sich nicht auf die ertragsunabhängige feste Verzinsung (Ziffer 10 des partiarischen Darlehensvertrags). In Höhe der Gewinnbeteiligung tritt der Companist seine Ansprüche gegen das Startup an Companisto ab. Companisto nimmt die Abtretung an. Die Gewinnbeteiligung wird von dem Startup jeweils bei Auszahlung von Bonuszinsen direkt an Companisto gezahlt bzw. die Aktien werden direkt Companisto zur Zeichnung oder Übernahme zugeteilt. Sie ist nur fällig, wenn dem Companisten über die ertragsunabhängige feste Verzinsung hinaus tatsächlich Bonuszinsen ausgezahlt werden oder Aktien zur Zeichnung zur Übernahme zugeteilt werden. 7. Dauer der Vereinbarung, Übergang von Rechten 7.1. Der Companist scheidet aus dieser Vereinbarung automatisch aus, wenn sein partiarischer Darlehensvertrag endet Diese Vereinbarung gilt unabhängig davon, ob diese von sämtlichen Companisten abgeschlossen wird. Im Übrigen gilt diese Vereinbarung im Falle eines Ausscheidens eines Companisten aus diesem Vertrag zwischen den übrigen Parteien weiter Die an dieser Vereinbarung beteiligten Parteien verpflichten sich, ihren etwaigen Einzelrechtsnachfolgern aus den partiarischen Darlehensverträgen, die sich aus dieser Vereinbarung ergebenden Pflichten in der Weise aufzuerlegen, dass diese Einzelrechtsnachfolger an die Verpflichtungen aus dieser Vereinbarung so gebunden sind, als hätten sie diese Verpflichtungen selbst übernommen. Dies gilt auch für die in dieser Ziffer 7.3 übernommene Verpflichtung, die Verpflichtungen aus dieser Vereinbarung etwaigen Einzelrechtsnachfolgern aufzuerlegen Soweit einer Partei nach dieser Vereinbarung Rechte zustehen, gehen diese Rechte auf einen Rechtsnachfolger über, wenn dieser der Vereinbarung beitritt. 8. Auszahlungsdaten und Steuern 8.1. Da sämtliche Auszahlungen des Startups an den Companisten nach dem partiarischen Darlehensvertrag auf das auf der Webseite von dem Companisten hinterlegte Bankkonto erfolgen und die vorherige Mitteilung der Steueridentifikationsnummer des Companisten erfordern (nur bei Companisten aus Deutschland und nur bei natürlichen Personen) (Ziffer 14 des partiarischen Darlehensvertrages), verpflichtet sich der Companist, die auf der Webseite hinterlegte Kontoverbindung stets aktuell zu halten und auf der Webseite seine Steueridentifikationsnummer zu hinterlegen Soweit der Companist auf der Companisto-Webseite Daten in seinem Profil hinterlegt oder Companisto von den Finanzbehörden Daten übermittelt bekommt, ist Companisto berechtigt, diese Daten zu verwenden und denjenigen Crowdinvestingprojekten, an denen sich der Companist beteiligt hat, sowie deren Dienstleistern zur Verfügung zu stellen, damit Auszahlungen aus den Beteiligungen (z.b. Zinsen oder Darlehensrückzahlungen) an die Companisten erfolgen können und die entsprechenden Anmeldungen, insbesondere Kapitalertragsteuer, Solidaritätszuschlag und ggf. Kirchensteuer von Companisto oder den Crowdinvestingprojekten oder von deren Dienstleistern bei den hierfür zuständigen Stellen vorgenommen werden können. Dies bestrifft insbesondere, jedoch nicht ausschließlich, den Vor- und Nachnamen des Companisten, das Geschlecht, die Adressdaten, die Beteiligungshöhe, die Bankverbindung, Informationen zu Freistellungsaufträgen und die Steueridentifikationsnummer des Companisten Der Companist erklärt sich damit einverstanden, dass Companisto, die Crowdinvestingprojekte und deren Dienstleister beim Bundeszentralamt für Steuern sowie bei jeder weiteren hierfür zuständigen Stelle die Kirchensteuermerkmale des Companisten abfragt. Der Companist kann der Herausgabe seiner Daten durch das Bundeszentralamt für Steuern widersprechen. Hierfür muss der Companist gegenüber dem Bundeszentralamt für Steuern einen Sperrvermerk erteilen. Ein einmal erteilter Sperrvermerk bleibt bis auf einen schriftlichen Widerruf bestehen.

8 8.4. Der Companist nimmt zustimmend zur Kenntnis, dass, falls er oder seine Erben und/oder sonstigen Anspruchsberechtigten nicht die für eine Auszahlung notwendigen Angaben hinterlegen (insbesondere die Bankverbindung und bei Companisten aus Deutschland die Steueridentifikationsnummer), nach Ablauf eines Zeitraumes von zwei Jahren ab Fälligkeit seines Auszahlungsanspruches, sein unwiderruflicher Verzicht auf seine fälligen Auszahlungsbeträge (Darlehensrückzahlungen, Fest- und Bonuszinszahlungen oder sonstige Zahlungen) und auf sein Anrecht auf diese Beträge als erklärt gilt, die damit auf Companisto übergehen, um unter anderem die im Zusammenhang mit dem für die Dauer von zwei Jahren inaktiven Mitgliedskonto entstandenen Verwaltungs- und Abrechnungskosten zu decken. Das Startup, die Companisto GmbH oder Companisto werden den Companisten spätestens einen Monat vor Ablauf der Zweijahresfrist an diese Vorschrift per an die von dem Companisten auf der Webseite hinterlegte -Adresse erinnern. Der Companist ist daher verpflichtet die hinterlegte -Adresse stets aktuell zu halten. 9. Schlussbestimmungen 9.1. Dieser Vertrag unterliegt dem Recht der Bundesrepublik Deutschland. Gerichtsstand für sämtliche Streitigkeiten aus und im Zusammenhang mit diesem Vertrag ist, soweit gesetzlich zulässig, Berlin Änderungen oder Ergänzungen dieses Vertrages bedürfen zu ihrer Wirksamkeit der Schriftform. Dies gilt auch für einen etwaigen Verzicht auf das vorgenannte Erfordernis. Nebenabreden wurden außerhalb dieses Vertrages nicht getroffen Sollten einzelne Bestimmungen dieses Vertrages ganz oder teilweise unwirksam sein oder werden oder sollte sich in diesem Vertrag eine Lücke befinden, so wird hierdurch die Gültigkeit der übrigen Bestimmungen nicht berührt. Anstelle der unwirksamen Bestimmung ist eine solche wirksame Bestimmung zu vereinbaren, die dem Sinn und Zweck der unwirksamen Bestimmung, insbesondere ihrer wirtschaftlichen Intention entspricht. Im Falle einer Lücke ist diejenige Bestimmung zu vereinbaren, die nach dem Sinn und Zweck dieses Vertrages vereinbart worden wäre, hätte man diesen Punkt von vornherein bedacht.
